Oil and gas production and sales
With effect from first quarter 2019, Aker BP will change its accounting principle for income recognition. Petroleum revenues will from now on be recognized when the petroleum is sold by the company, rather than when the petroleum is produced.

Aker BP’s net production in the first quarter 2019 was 158.7 mboepd and net sold volume was 162.0 mboepd. Production per field is specified below. The volumes are subject to final re-allocation. Numbers may not add due to rounding.

Impairment of technical goodwill
The company expects to make an impairment charge in the first quarter 2019 of approximately USD 70 million related to technical goodwill. As there is no deferred tax associated with technical goodwill, the effective tax rate for the first quarter is expected to be higher than normal due to this impairment.

Implementation of IFRS 16 Leases
The accounting standard IFRS 16 Leases was effective from 1 January 2019. The standard introduces a single on-balance sheet accounting model for all leases, which results in the recognition of a lease liability and a right of use asset (“RoU asset”) in the balance sheet.

The lease liability and corresponding RoU asset amount to approximately USD 390 million at initial recognition on 1 January 2019. Existing onerous lease contract values of approximately USD 150 million reduces the value of the corresponding RoU asset. No impact on equity is recognized upon transition.

The IFRS 16 impact on the income statement is expected to be immaterial in first quarter 2019, as the majority of the RoU assets are used in activities not charged to the income statement, such as field development (including production drilling) and plugging and abandonment. The main impact on the statement of cash flows is that lease payments will now generally be presented under financing activities instead of operating or investing activities.

Currency and hedging effects
The company’s financial results are normally sensitive to changes in the USD/NOK currency exchange rate. In the first quarter the exchange rate was relatively stable and the company does not expect any significant currency effects for the period.

Due to an increase in oil prices in the first quarter, the company’s oil hedging positions incurred a cost of approximately USD 26 million, which will be charged to Other income for the first quarter. Gains and losses on hedging are subject to corporate tax only.

Selskapets produksjon i første kvartal var 158,7 (158,6) tusen fat
oljeekvivalenter per dag («mboepd»). Netto solgt volum var 162,0 (167,3) mboepd.
Totale driftsinntekter endte på 836 (944) millioner dollar. Petroleumsinntekter
og produksjonskostnader for sammenlignbare perioder har blitt omarbeidet som
følge av endring i regnskapsprinsipp som er nærmere beskrevet i note 1 til
kvartalsrapporten.

Gjennomsnittlig realisert væskepris (olje og ngl) var 63,9 (67,4) dollar per fat
oljeekvivalent («boe»), mens realisert gasspris var 0,24 (0,28) dollar per
standard kubikkmeter («scm»). Driftsinntektene ble påvirket negativt med 26
millioner dollar som følge av verdijustering på selskapets sikringsinstrumenter
for oljepris.

Produksjonskostnadene for olje og gass solgt i kvartalet var 200 (195) millioner
dollar. Produksjonskostnaden per produsert boe var 13,4 (12,1) dollar.
Utforskingskostnader utgjorde 90 (55) millioner dollar. Totalt brukte selskapet
159 (80) millioner dollar på utforsking. Selskapet deltok i tre
utforskingsbrønner i kvartalet, og gjorde et funn på Froskelår-prospektet.

Avskrivinger ble 183 (185) millioner dollar, tilsvarende 12,8 (13,0) dollar per
boe. Nedskrivinger utgjorde 69 (0) millioner dollar relatert til teknisk
goodwill, utløst av endringer i forventede kostnads- og produksjonsprofiler for
framtidige utbygginger i Ula-området.

Resultat før skatt beløp seg til 249 (458) millioner dollar. Skattekostnaden var
239 (290) millioner dollar, som tilsvarer en effektiv skattesats for kvartalet
på 96 prosent. Hovedårsaken til den høye effektive skattesatsen var
nedskrivingen av teknisk goodwill, som ikke gir skattefradrag. Netto resultat
endte dermed på 10 (169) millioner dollar.

Investeringer i varige driftsmidler utgjorde 364 (257) millioner dollar i første
kvartal. Alle selskapets feltutbygginger, inkludert Johan Sverdrup, Valhall
Flanke Vest og Ærfugl, utviklet seg som planlagt.

Netto rentebærende gjeld var 2,5 (3,0) milliarder dollar ved utgangen av
kvartalet. Dette inkluderte 0,4 milliarder dollar i leasinggjeld som har blitt

in the quarter.
The company’s net production in the first quarter was 158.7 (158.6) thousand
barrels of oil equivalents per day (“mboepd”). Net sold volume was 162.0 (167.3)
mboepd. Total income amounted to USD 836 (944) million for the quarter.
Petroleum revenues and production costs for the comparative period have been
restated following a change in accounting principle as described in Note 1 to
the interim financial statements.

Average realised liquids price was USD 63.9 (67.4) per barrel, while the
realised price for natural gas averaged USD 0.24 (0.28) per standard cubic metre
(“scm”). Total income was negatively affected by USD 26 million in value
adjustments on the company’s oil price hedging positions.

Production costs for the oil and gas sold in the quarter amounted to USD 200
(195) million. Production cost per produced barrel oil equivalents (“boe”)
amounted to USD 13.4 (12.1). Exploration expenses amounted to USD 90 (55)
million. Total cash spend on exploration was USD 159 (80) million. The company
participated in three exploration wells in the quarter, of which the Froskelår
well was a discovery.

Depreciation was USD 183 (185) million, equivalent to USD 12.8 (13.0) per boe.
Impairments amounted to USD 69 (0) million related to technical goodwill,
driven by changes in expected cost and production profiles for future
developments in the Ula area.

Profit before taxes amounted to USD 249 (458) million. Tax expense was USD 239
(290) million, representing an effective tax rate of 96 per cent. The main
reason for the high effective tax rate was the impairment of technical goodwill
which is not deductible for tax purposes. Net profit was USD 10 (169) million.

Investments in fixed assets amounted to USD 364 (257) million in first quarter.
All field development projects, including Johan Sverdrup, Valhall Flank West and
Ærfugl, progressed according to plans.

Net interest-bearing debt was USD 2.5 (3.0) billion at the end of the quarter,
including USD 0.4 billion in lease debt recognized in the financial statement
due to implementation of IFRS 16 Leases. Total available liquidity at the end of
the quarter was USD 3.0 (3.5) billion.

In February, the company paid a quarterly dividend of USD 0.5207 (NOK 4.41) per
share. The Board has resolved to pay a quarterly dividend of USD 187.5 million
(USD 0.5207 per share) in May 2019.

On 16 May 2019 (the “Distribution Event Date”), the Issuer made a distribution
to its shareholders in the aggregate amount of NOK 1,629,020,273. This notice
constitutes a Distribution Event Notice as defined in the loan agreement.

The maximum aggregated number of Bonds to be repurchased by the Issuer is equal
to 1,629,020,273 divided by the Face Value, being 1,629,020,273 (the
“Distribution Put Bonds”).

As a consequence of this dividend payment, each Bondholder may require the
Issuer to acquire Bonds at a price of 107% of par plus accrued interest, up to
its pro rata share of 1,629,020,273 based on the proportion that such
Bondholder’s holding of Bonds as of the Distribution Event Date (less Bonds
owned directly by the Issuer) bear to the Distribution Put Bonds. The Issuer
holds NOK 7,690,568 nominal worth of DETNOR02.

The Leverage Ratio as shown in the latest Compliance Certificate is 0.72x.

(PUBL) jointly acted as Mandated Lead Arrangers and Bookrunners. Crédit Agricole
Corporate and Investment Bank, Citigroup Global Markets Limited, HSBC France,
J.P. Morgan AG, UniCredit Bank AG and Wells Fargo Bank International UC joined
as Mandated Lead Arrangers. ABN AMRO and SEB acted as joint Documentation Agent
and DNB Bank ASA as Facility Agent for the transaction.

The Facilities were launched at USD 4.0 billion on 17 April 2019 after gaining
strong initial interest from its core relationship banks. Following strong
demand from banks, the Facilities were oversubscribed by more than 47%,
resulting in Aker BP choosing to scale back the largest commitments and closing
the transaction as a 17 bank club deal with equal tickets.

The Facilities comprise a 3-year USD 2.0 billion Working Capital Facility and a
USD 2.0 billion 5-year Liquidity Facility. The Liquidity Facility includes two
12-month extension options. The Facilities will be used for general corporate
purposes and working capital as well as providing a liquidity reserve.

“The successful closing and transition towards the senior unsecured credit
facilities is another very strong message sent by our banking partners. The high
oversubscription highlights their deep understanding about Aker BP and reflects
our strong performance and financing structure. We look forward to continuing to
