Share issue related to the settlement of earn out obligation related to the acquisition of Integra Associates Limited

Arribatec Group ASA (the “Company”) entered into a share purchase agreement on 8 October 2021 where the Company agreed to purchase 100% of the shares in Integra Associates Limited. The share purchase agreement included an earn-out provision which stipulated that the sellers was entitled to additional shares in the Company if certain terms were met. The terms of the earn out provision were met on 30 April 2023.

To settle the earn out obligation, the Board of Directors resolved to issue 514,844 new shares to the sellers of Integra Associates Limited on 13 December 2023. The new shares have been issued based on an authorization to increase the shares capital granted to the Board of Directors on 24 May 2023.

Arribatec Group ASA – Fourth quarter 2023 financial results

(Oslo, Norway, 15 February 2024) Arribatec Group ASA (OSE: ARR, Arribatec) today reported revenues of NOK 142.6 million in the fourth quarter of 2022, up 1.7% from NOK 140.6 million in the corresponding quarter last year. EBITDA for the quarter ended at NOK 1.8 million (-9.7), an 11.5 million improvement compared to the same quarter last year. During the last quarter of the year, the company signed 459 new contracts and scope extensions for a combined value of NOK 215 million, which is NOK 87 million (68%) above the fourth quarter of 2022.

“We are pleased to report another quarter with growth in revenue, in particular since the growth is all organic. Additionally, we improved the quarterly EBITDA by NOK 11.5 million. With new sales of NOK 215 million in Q4, we see that the market responds well to our offering, so we are on the right track and remain optimistic looking forward,” says Geir Johansen, CEO of Arribatec.

Arribatec reported revenues of NOK 142.6 million (140.6) in the fourth quarter of 2023 and an EBITDA of NOK 1.8 million (-9.7). The reported EBIT ended at a negative NOK 9.4 million (-26.3), with recognized recurring revenues of NOK 55.0 million (49.8). The company had NOK 39.4 million (40.4) in cash at the end of the fourth quarter 2023.

For the full year 2023, the company reported a revenue of NOK 573.0 million (505.0), a 13.5% growth compared to 2022. EBITDA for the year ended at NOK 24.5 million (-34.1), an improvement og NOK 58.6 million. The 2023 EBIT ended at a negative NOK 23.8 million (-90.3), with recognized recurring revenues of NOK 214.2 million (184.5).

Arribatec Group ASA – First quarter 2024 financial results

(Oslo, Norway, 30 April 2024) Arribatec Group ASA (OSE: ARR, Arribatec) today reported revenues of NOK 144.6 million in the first quarter of 2024 down 3.6% % from NOK 150.0 million in the corresponding quarter last year. EBITDA for the quarter ended at break-even (5.3), a 5.3 million reduction compared to the same quarter last year. Adjusted EBITDA came in at NOK 1.1 million. During the first quarter of the year, the company signed 430 new contracts and scope extensions for a combined value of NOK 138 million.

“During Q1 we saw a slight reduction in activity compared to the first quarter in 2023. This reduction partly stems from Easter moving from Q2 in 2023 to Q1 in 2024, thus less consulting hours were delivered in Q1 this year. Business Services in region Nordics on the other hand, had a record high revenue and EBITDA in the first quarter. This comes on the back of delivering services to existing Unit4 customers, and more importantly, projects delivered with software from other partners; Hypergene, Visma and Rambase, and our own InstiPro software,” says Geir Johansen, CEO of Arribatec.

Arribatec confirms EUR 6.3 million ERP contract with EU agency

Reference is made to the stock exchange announcement on 9 May 2024 regarding the award of an ERP support contract with an undisclosed European public agency, pending customary processes for public tenders. Following the closing of the process, European External Action Service is announced as contract partner. EEAS is the European Union’s diplomatic service and carries out the EU’s Common Foreign and Security Policy across the globe.

The contract will include multiple projects over the next four years, e.g. support and improvements of the EEAS Unit4 ERP solution and related business processes, in addition to migration to the Unit4 Cloud. The project will be delivered by the consortium of CST Advisory, a Belgian management consultancy company, and Arribatec.
