Axactor ASA: Employee share option plan 2025

In accordance with the authorization granted by the AGM on 6 May 2025, the board of directors of Axactor ASA has decided to establish a long-term incentive program (LTI 2025) for senior executives employed by the Axactor group. The plan encompasses up to 3 500 000 shares. The company’s liability with respect to the scheme will be met through holdings of treasury shares or by issuing new shares.

Under the LTI 2025, participants will receive share options, which, if certain predefined performance criteria are met within a performance period, can be exercised by paying the predefined strike price. The strike price is set as the average share price of the last 30 days prior to grant. One share option gives a contingent entitlement to one share after paying the strike price.

The following criteria determine the award of options during the three-year performance period
1/3: employed when the performance period ends
1/3: share price development equal to or better than peers
1/3: return on equity meeting target set by the board of directors

Vesting of share options presumes that the individual is an employee of the Axactor group. The total gain from exercised options during one calendar year shall not exceed 200 per cent of the participant’s base salary at grant. The number of options will be adjusted in the event of a dividend payout to preserve, but not increase, the value of the share option allocation.

The LTI 2025 is effective from 6 May 2025 and the share options will be vested after three years.

Primary insiders in the company have been allocated and accepted the following grants of options according to the terms described above

Johnny Tsolis, CEO, has been granted 950 000 share options. Following the grant, he holds 4 266 667 options in the company.

Nina Mortensen, CFO, has been granted 175 000 share options. Following the grant, she holds 858 333 options in the company.

Kyrre Svae, Chief of Strategy and IR, has been granted 275 000 share options. Following the grant, he holds 1 183 333 options in the company.

Arnt Andre Dullum, COO, has been granted 175 000 share options. Following the grant, he holds 983 333 options in the company.

Karl Mamelund, Chief of Investments, has been granted 275 000 share options. Following the grant, he holds 800 000 options in the company.

Vibeke Ly, Chief of Staff, has been granted 175 000 share options. Following the grant, she holds 983 333 options in the company.

Further the following have been granted and accepted share options according to the terms described above

Stina Koren, country manager 3PC in Norway, has been granted 150 000 share options. Following the grant, she holds 1 008 333 options in the company.

Lisa Sohtell, country manager NPL in Sweden and Norway, has been granted 100 000 share options. Following the grant, she holds 908 333 options in the company.

Heidi Piispanen, country manager in Finland, has been granted 100 000 share options. Following the grant, she holds 783 333 options in the company.

Yvonne Wagner, country manager in Germany, has been granted 100 000 share options. Following the grant, he holds 100 000 options in the company.

Antonio Cataneo, country manager in Italy, has been granted 125 000 share options. Following the grant, he holds 1 058 333 options in the company.

Andres Lopez, country manager in Spain, has been granted 400 000 share options. Following the grant, he holds 2 033 333 options in the company.

Of the 3 500 000 share options, 3 000 000 share options have been granted.

Axactor ASA: Fixed income investor meetings

Axactor ASA (“Axactor”) has mandated Arctic Securities, DNB Carnegie and Nordea to arrange a series of fixed income investor meetings commencing Monday, 2 June 2025.

A senior unsecured bond issue with expected size of EUR 100 million and a 4-year tenor may follow, subject to inter alia market conditions. The net proceeds will be applied towards refinancing of existing debt.

Axactor ASA: Successful placement of new senior unsecured bond issue

Axactor ASA (“Axactor”) has successfully completed a new 4-year senior unsecured floating rate bond issue of EUR 125 million. The bond will carry a coupon of 3m EURIBOR + 7.50%. The net proceeds from the bond issue will be used to reduce the outstanding amount of the “ACR03” bond loan (ISIN NO0011093718).

Arctic Securities, DNB Carnegie and Nordea acted as joint bookrunners in connection with the placement of the bond issue. An application will be made for the bonds to be listed on Oslo Børs.

Axactor ASA: Axactor announces milestone 3PC contract in Norway

Axactor Norway AS, a wholly owned subsidiary of Axactor ASA, has reached a strategic agreement with one of the largest financial institutions in Norway. Axactor has been chosen as the sole debt collection service provider for the bank, illustrating Axactor’s ability to deliver superior services at competitive prices. The bank states that Axactor’s flexible and efficient technical solutions, focus on innovation, and solution-oriented approach to collection were the decisive success factors.

This landmark deal builds further on the successful growth story for Axactor Norway’s 3PC business and is expected to more than double the Norwegian 3PC revenue. The on-boarding will start in October, with a gradual ramp-up going into 2026.

Axactor ASA: Exercise of employee share options under long term incentive program

Key employees of Axactor ASA (“the Company”) have on 1 July 2025 exercised 1,183,337 share options out of 1,650,004 vested share options under the long-term incentive program, ESOP2022. The Board of Directors has decided in accordance with the terms and conditions of the long-term incentive program, on a cash settlement of the share options. After this share option exercise, the Company has 466,667 outstanding share options under ESOP2022. Axactor ASA: Axactor moves from two to one credit rating agency

In an effort to save costs and reduce the administrative burden, Axactor today announces the cancellation of its credit rating agreement with Moody’s Investors Service.

As Axactor’s latest bond offerings have been smaller in size and directed more towards Nordic based investors, the perceived investor demand for a corporate family rating has been reduced. As the credit rating subscriptions are costly and time consuming to maintain, Axactor has consequently decided to cancel one of its two credit rating subscriptions. Axactor will retain its rating subscription with S&P Global, and as such remain a rated company.

“The curve adjustments we implemented in 2024 are affirmed by a 102% collection performance, and we are very pleased to deliver an all-time high return on equity to our shareholders in the first half of 2025,” says CEO Johnny Tsolis.

During the quarter Axactor successfully refinanced the RCF and the majority of the ACR03 bond. The ACR05 bond was placed at more than 3pp lower total interest rate compared to the most recent bond placement, ACR04.

“The successful refinancing completed in the second quarter provides greater financial flexibility to focus on investments that drive growth and build on the positive operational development achieved in recent quarters,” states Mr. Tsolis.

Axactor ASA: Axactor has secured the option to utilize the Revolving Credit Facility (RCF) to repay the residual outstanding balance of the ACR03 bond loan

Oslo, 17 September 2025 – Axactor has reached an agreement with its lending banks which secures the option to utilize the Revolving Credit Facility (RCF) and/or available cash to repay the residual outstanding balance of EUR 65 million of the ACR03 bond loan, valid from today until September 2026.
