Results of secondary placement of existing shares in B2 Impact ASA, disclosure of large shareholding
Reference is made to the announcement made on 15 September 2026 regarding a potential block sale of existing shares in B2 Impact ASA (“B2 Impact” or the “Company”) by Nevedal Invest AS (the “Seller”), ultimately controlled by Searchlight Capital Partners, L.P. and Gulen Invest AS, through an accelerated bookbuilding process (the “Placing”).
The Seller confirms that it has successfully sold 26.0 million existing ordinary shares (the “Placing Shares”), representing approx. 7.0% of the total outstanding shares and voting rights in the Company, to certain eligible institutional investors and other professional investors at a price of NOK 23.35 per Placing Share, for a total transaction size of approximately NOK 607.1 million.
Following completion of the Placing, the Seller will hold 63,740,738 ordinary shares in the Company, representing approx. 17.2% of the total outstanding shares and voting rights in the Company, thereby crossing below the 20.0% disclosure threshold set out in the Norwegian Securities Trading Act Section 4-2. The Seller has entered into a lock-up commitment for the remaining shares in the Company held by the Seller (subject to customary exceptions and waivers) for a period ending 90 days following settlement of the Placing.
The notification of allocation in the Placing is expected to be communicated on or about 16 September 2026 (T) before 08:00 CEST. The proceeds of the Placing are payable in cash on customary settlement terms, and settlement of the Placing is expected to occur on a normal delivery-versus-payment basis (DVP T+2) on 18 September 2026. The Placing Shares will be tradeable on Euronext Oslo Børs from notification of allocation (T).
The Seller will receive the net proceeds from the Placing. The Company is not a party of the Placing and will not receive any proceeds from the Placing.

Advokatfirmaet Schjødt AS acted as Norwegian legal counsel and Paul Weiss Rifkind, Wharton & Garrison LLP acted as U.S. legal advisor to the Seller in connection with the Placing.
