Denne aksjen er en skjult perle. En ekte diamant på Oslo Børs. Det er bare så trist at flertallet ikke ser de underliggende verdiene i selskapet (finansiell posisjon og markedsposisjon) , hvor godt de er rigget for fremtiden og hvor flott management dette selskapet har.

Jeg har slått meg til ro med at dette er en aksje man trygt kan kjøpe, legge i skuffen, og vente på at selskapet selges og verdiene realiseres med solid premie til de som er tålmodige.

Ledelsen og Styret er tydelige på at selskapet skal selges - så det er kun snakk om tid - og tiden er på aksjonærene side!

Et flott selskap og en deilig aksje.

Jeg tenker kursen er rundt 30-35 når budet kommer og at budpremien er noe konservativ.
Bud i intervallet 40-50 må kunne forventes som et minimum. Jeg tenker et bud kan komme når som helst, men gjerne i 2022.

Selskapet er normalt kjedelig og tørt på nyheter… idag ville de det annerledes!

Kursen derimot, den har jeg aldri forstått meg på. Men gjelder å henge på de få dager om året denne setter fart.

B2Holding ASA: Exercise of employee share options

Jan Pettersson, Country Manager and CEO of B2Holding’s Swedish subsidiary Sileo
Kapital AB, has exercised share options to purchase 100,000 shares in the
Company at a subscription price per share of NOK 14.11, adjusted for dividend of
NOK 0.15 per share paid in June 2017, total subscription amount NOK 1,411,000.

As a result of the exercise of share options, the Company’s Board of Directors
has, pursuant to an authorisation granted by the general meeting on 24 May 2017,
resolved to increase the Company’s share capital with NOK 10,000 by issuing
100,000 new shares, each with a par value of NOK 0.10. Following completion of
the transaction, the Company’s share capital will be NOK 40.653.259.80, divided
into 406,532,598 shares

Upon receipt of the shares, Jan Pettersson will in total hold 160 000 shares.
Jan Pettersson has 200,000 remaining share options in the Company, in which
100,000 can be exercised from May 2019 and 100,000 from May 2020. All options
have to be exercised by 31.12.2020.

Disclosure of voting rights for the Chairman of the Board, Mr. Jon Harald Nordbrekken

At close of business on 24 May 2018, the Chairman of the Board of Directors of
B2Holding ASA, Mr.Jon Harald Nordbrekken, has received power of attorneys to
represent and vote for 47,434,312 shares or 11,67% of the voting shares at
B2Holding’s Annual General Meeting to be held on 25 May 2018.

In addition, Mr. Nordbrekken and associates hold or control 26,588,496 shares or
6,54% of the voting shares.

Hence, following the receipt of the powers of attorney, Mr. Nordbrekken controls
18,21% of the voting shares.

The power of attorneys are without voting instructions. The power of attorneys
are only valid at the Annual General Meeting on 25 May 2018.

Q1 2018 Report - CONTINUED POSITIVE OPERATIONAL DEVELOPMENT - 46% GROWTH IN CASH EBITDA, 50% PROFIT MARGIN, ERC OF NOK 18.1BN, INCREASED GROWTH CAPACITY, STRONG PIPELINE NPL PORTFOLIOS

First quarter 2018

  • Cash EBITDA of NOK 581 million (399)

    • up 46% y-o-y

B2Holding (“B2H”) continued the positive operational development from 2017, and
through the acquisition of NACC the Group expanded into France. The Group
recorded all-time high levels in key performance indicators, such as Operating
profit and Cash EBITDA, and see a strong outlook with the NPL portfolio pipeline
at the end of the quarter at very high levels.

The Group posted a record-high quarterly cash EBITDA of NOK 581 million, an
increase of NOK 182 million compared to Q1 2017 (+46%). The operating profit
reached NOK 326 million (+53%) and net profit increased to NOK 152 million from
NOK 104 million in Q1 2017 (+46%).

In Q1 2018, B2H invested NOK 1,485 million in new portfolios, distributed over
all segments. The Company has acquired portfolios for approx. NOK 5.3 billion
over the last 12 months (+112%) and grown the total gross ERC to approx. NOK
18.1 billion (+84%).

B2Holding ASA was early May 2018 assigned with a public rating: Moody’s assigned
a “Ba3” corporate family rating, and S&P has assigned a “BB-” long-term issuer
credit rating.

B2Holding successfully completed a NOK 747 million equity issue in March. In
May B2H amended and increased the RCF with EUR 150 million, and successfully
issued a new unsecured bond of EUR 200 million. Following the increases, the
Group has NOK 4.1 billion investment capacity at the end of the quarter, in
addition to strong operating cash flow from collection on purchased loan
portfolios.

Wow… Monster.

Men markedet ser ikke til å bry seg merkeverdig. Vi er godt under emisjonsprisen som fant sted for noen måneder siden, og selskapsdriften går på skinner. Ikke alltid lett å forstå aksjemarkedet :face_with_raised_eyebrow:

B2Holding ASA held the Annual General Meeting in Oslo today 25 May, 2018.

All items on the agenda were approved as proposed by the Board of Directors, cf.
notice for Annual General Meeting published on Oslo Børs NewsWeb 4 May 2018.

The proposed dividend of NOK 0.30 per share to shareholders registered per 25
May 2018 was approved with payment date 6 June 2018. The shares in B2Holding ASA
will be quoted ex-dividend on Monday 28 May 2018.

Members to the Board of Directors were elected in accordance with the proposal
by the Nomination Committee. In addition, Grethe Wittenberg Meier was elected as
a deputy board member pursuant to a proposal by the Nomination Committee
presented in the general meeting.
