Ljones, 30 June 2025: Reference is made to the stock exchange announcement
published on 6 June 2025, regarding the launch of a recommended voluntary cash
tender offer by Langøylaks Holding 2 AS (“Langøylaks” or the “Offeror”) to
acquire all outstanding shares of Biofish Holding AS (the “Company” or
“BioFish”) at a price of NOK 1.77 per Share and NOK 0.47 per Warrant (the
“Offer”), as further set out in the offer document dated 6 June 2025 (the
“Offer Document”), and the stock exchange announcement published on 23 June
2025 regarding the extension of the acceptance period until 27 June 2025.
The extended acceptance period for the Offer was originally set to expire on
27 June 2025 at 16:30 (CEST). Pursuant to the terms stated in the Offer
Document, the Offeror has resolved to extend the acceptance period until 16:30
(CEST) on 11 July 2025. The full terms and procedures for accepting the Offer
are described in the Offer Document.
The Offeror further confirms that the offer price of NOK 1.77 per Share and
NOK 0.47 per Warrant is its best offer, meaning that there will be no increase
of the offer price.
“The Board is confident that the Offer price represents a fair reflection of
today’s values and believe Langøylaks will be good owners and partners for
BioFish. We unanimously recommend that shareholders accept the proposed
offer”, said Thorbjørn Gjelsvik, chair of the Board.
As at 16:30 (CEST) 27 June 2025, the Offeror has received acceptances of the
Offer for a total of 86,145,258 Shares and 59,632,062 Warrants, representing
approximately 81.21 per cent of the shares (on a fully diluted basis), subject
to verification of acceptances received. Shareholders who have undertaken to
accept the Offer include the Company’s largest shareholders, Awilco AS,
Odfjell Land AS, Stoksund AS and Biofish Aquafarm AS, as well as the CEO and
the CFO. Since the announcement of the Offer, several major shareholders have
increased their ownership shares, signaling their support for the planned
transaction.
It follows from the Offer Document that the Offeror is not required to
complete the Offer if less than 90 per cent of the fully diluted shares have
accepted it but may choose to do so at its own discretion. Completion of the
Offer is subject to fulfilment or waiver by the Offeror of customary closing
conditions.
The Offer is only capable of being accepted pursuant to the Offer Document.
