seven producing Vestas turbines with an estimated annual production of 70 GWh,
having been in commercial operation since 2018 and is under the Norwegian
resource rent tax regime.

The enterprise value is NOK 322 million, with the share price for Svåheia set at
NOK 264 million. Cloudberry will use the proceeds from the share sale to repay
approximately NOK 145 million in external debt, freeing approximately NOK 120
million in cash. This amount corresponds approximately to the total liquidity
effect Cloudberry had in the Skovgaard transaction as a significant part of the
Skovgaard transaction was settled through a share issue at NOK 17 per share. The
purchase price for Svåheia matches what Cloudberry paid for the shares in
Svåheia as part of the Skovgaard transaction signed on 5 December 2024. The
valuation for Svåheia is based on the same principles in the recently concluded
Skovgaard transaction which supports the valuation for the overall transaction.

“We are pleased to demonstrate effective capital allocation to our investors. By
executing this transaction, we have enabled the previously announced Skovgaard
transaction without any material liquidity effect and can now allocate the funds
to other accretive opportunities,” says Anders Lenborg, CEO of Cloudberry.

Dalane Kraft, a local utility focusing on wind and hydropower, owns the
remaining 20% of Svåheia and will now take full ownership.

individual member amounts to at least two years of board remuneration. The
members of the Board of Directors shall after the threshold of two years board
remuneration has been achieved, be offered to use up to 30% of the gross board
remuneration (prior to tax) to acquire shares. The shares that are acquired
pursuant to the program subject to a three-year lock-up and will be offered at a
subscription price which is 15% below the prevailing market price.

In relation to this program, the Board of Directors has today resolved to
increase the Company’s share capital by NOK 18 658.00 through issuance of 74 632
new shares at a subscription price of NOK 10.39 per share. The subscription
price represents a 15% discount on the closing price of Cloudberry’s shares
following Q1 2025 reporting on 13 May 2025 in accordance with previous years
practice. Tove Feld, Petter W. Borg, Henrik Joelsson, Nicolai Nordstrand,
Alexandra Koefoed, Benedicte Fossum and Mads Andersen have subscribed for
shares.

The new shares are subject to a three-year lock-up.

Following the issuance of the new shares, the Company will have 317 379 624
shares outstanding, each with a nominal value of NOK 0.25. The total share
capital of the company will be NOK 79 344 906.00. The Company’s Articles of
Association will be updated accordingly.

Energy Storage System (“BESS”) project, located outside Karlstad, Sweden. The
project’s size will be 24 MW/ 48 MWh and the partners will own 50% of the
project each.

The project is made possible by pivoting from offshore wind to energy storage,
enabled by a significant reduction in battery cost over the past three years and
strong market outlook for grid flexibility in the Nordics, as evidenced by the
record-high imbalance price in recent months. Both Hafslund and Cloudberry view
this as an attractive opportunity to invest in emerging technology with
substantial market potential.

transition in the Nordics. Together with Hafslund, we are proud to take a
pioneering role in deploying new storage technologies that enable a more

The project will be financed with a 50/50 split between equity and debt, making
it one of the first BESS projects in the Nordics to achieve project financing.
The total estimated CAPEX cost is approximately 11 million Euros on a 100%
basis. Construction is scheduled to begin in August 2025, with commissioning
expected in the third quarter of 2026. Looking ahead, the project partners see
potential to expand the site with additional battery capacity and explore the
integration of power production, enabling further value creation and supporting
the ongoing energy transition in the region.

This transaction will increase Cloudberry’s proportionate hydro production from
~200 GWh to ~300 GWh and the consolidated HydroCo portfolio will comprise around
500 GWh (70 GWh currently consolidated) of producing and under-construction
hydropower plants. The majority of the combined portfolio is located in
attractive southern price regions.

Key Transaction Highlights:

· Cloudberry will inject its hydropower portfolio and hydro projects as
contribution in kind in HydroCo. Through an additional cash payment of
approximately EUR 5m, Cloudberry will obtain an ownership stake of approximately
60% in HydroCo.
· HydroCo’s hydropower portfolio will total ~500 GWh on a 100% basis.
Cloudberry’s proportionate exposure will be approximately 300 GWh, of which 6
projects are under construction.
· HydroCo will consist of a team of 6 people with leading small-scale hydro
capabilities
· Following the inclusion of Cloudberry’s hydro projects, the portfolio will
benefit from a project backlog of a total of approximately 300 GWh, including
the existing Cloudberry backlog projects.
· HydroCo will have its own corporate financing structure, targeting an
approximately 50/50 loan to value ratio. This will, together with approximately
EUR 5-8m in expected funding from Cloudberry, be sufficient to fund the
remaining capex on the projects under construction.

Strategic Rationale:
This partnership provides Cloudberry with control over a large, diversified
hydro portfolio, with a limited liquidity impact. The collaboration brings
increased development competence and capabilities, a substantial project
backlog, and a strengthened industrial network complementary to Cloudberry’s
existing team. Cloudberry will manage the portfolio, doubling its hydro asset
management volumes and increasing both profitability and operational leverage.
The combined portfolio is expected to deliver stable, long-term cash flows, with
an average asset life exceeding 50 years.

the largest small-scale hydro platforms in the Nordics, with Cloudberry as the
controlling shareholder.

Cloudberry have now closed the announced transaction with Swiss Life Asset
Managers through its managed funds to achieve a ~60% ownership in the Forte
portfolios.

Transaction structure

· Cloudberry has injected all of its hydropower portfolio and projects as
contribution in kind into Forte Vannkraft AS (“FVK”). Cloudberry’s 73 GWh in
annual estimated production from producing hydropower assets and one project
under construction is priced at an enterprise value of EUR 53.2m. Combined with
its projects, platform value and other the total Enterprise Value on the
Cloudberry contribution is EUR 58.6m. Adjusted for debt, cash, remaining capex
and other items the total equity value for the Cloudberry contribution in kind
is EUR 36.2m.

· FVK’s 197 GWh in annual estimated proportionate production from of hydro
assets in production and under construction is priced at an enterprise value of
EUR 107.2m. Combined with its projects, platform value and other the total
Enterprise Value on the FVK is EUR 113.8m. Adjusted for debt, cash, remaining
capex and other items the total equity value for FVK is priced at EUR 24.2m.

· Through the contribution in kind Cloudberry will obtain a 60% ownership in
FVK. FVK has its own corporate financing structure, targeting an approximately
50/50 loan to value ratio on the combined portfolio when all assets are fully
completed. In combination with approximately EUR 5-8m in expected funding from
Cloudberry, this will be sufficient to fund the remaining capex on the projects
under construction in FVK.

· Cloudberry has also acquired 5.01% in the Forte Energy Norway (“FEN”)
portfolio from a fund managed by Swiss Life Asset Managers. Forte is a Norwegian
hydropower portfolio which consist of 14 hydropower plants and one power offtake
agreement with an annual estimated production of 234 GWh and 20 GWh
respectively: in total 254 GWh. The Transaction increases Cloudberry’s ownership
in the Forte portfolio to 55%. The price for 5.01% of the shares is ~EUR 5m, in
line with the previous FEN transaction.

· Through the transaction Cloudberry will also receive an indirect ownership
of 45% in Norhard Equipment AS reflected in equity values above. Norhard is a
construction company specializing in drilling for small scale hydro, enabling
project realization and possibility to attract new hydro projects for FVK that
require waterways through hard rock.

· The FVK and the FEN portfolios will operationally be treated as one
portfolio. Through these transaction Cloudberry’s will increase its
proportionate hydro production from ~200 GWh to ~300 GWh and the consolidated
hydro portfolio will comprise around 500 GWh (73 GWh currently consolidated) of
producing and under-construction hydropower plants. The majority of the combined
portfolio is located in attractive southern price regions.
· Following the inclusion of Cloudberry’s hydro projects, the portfolio will
benefit from a project backlog of a total of approximately 300 GWh, including
the existing Cloudberry backlog projects.
· FVK will consist of a team of 6 people with leading small-scale hydro
capabilities.

157m (288m). LTM Q2 2025 proportionate revenue of NOK 657m
· Consolidated EBITDA of NOK 43m (180m) and proportionate EBITDA of NOK 54m
(194m). LTM Q2 2025 proportionate EBITDA of NOK 297m
· Reduced financials compared to the same quarter last year primarily due
to a large gain on sale recorded in Q2 2024. Underlying financials improved year
