In connection with the liquidation of eHealth AS, which until now has been a joint holding company for the shares in CSAM Health Group AS (“CSAM Health Group”) beneficially owned by primary insiders and one minority investor of CSAM Health Group AS, the following share transfers from eHealth AS have now been completed:

2.197.038 shares have been transferred from eHealth AS to Equilibrium AS.
216.813 shares have been transferred from eHealth AS to Ipec AS.

Equilibrium AS is jointly controlled by Sverre Flatby (CEO) and Einar Bonnevie (CFO).
Ipec AS is controlled by external investor Hans Erik Robbestad.

Following the transfer, eHealth AS will be liquidated.

The above transfers do not imply any change in the beneficial ownership to the shares and have consequently been implemented without any consideration.

CSAM Health wins national agreement for Danish e-health blood bank solution - secures 100% of market

Boosts reach of CSAM Prosang blood management solution to service all 5 national regions across Denmark

Oslo, Norway, July 28th, 2021: CSAM Health Group AS (“CSAM”), the leading provider of niche eHealth solutions in the Nordics, today announced it has signed a contract with the five regions within the Danish health authority for CSAM’s Prosang blood, cell, and tissue management system for blood banks. In an agreement between CSAM and all five health regions, the new contract will translate to approximately NOK 75-100 million NOK over at the next six years and will be implemented in all blood banks in the country.

Until today, the CSAM Prosang solution was rolled out in four of five Danish regions: Mid Jylland, North Jylland, South Denmark and Sjælland. The new nation-wide contract, including the country’s fifth region, Region Hovedstaden (Capital Region), secures CSAM’s position as niche provider of blood bank management services for national health providers across the country.

“We are pleased to enter this new agreement with CSAM Health Group, that essentially enables the Danish health regions to provide a nationwide, consolidated solution for blood bank management services,” says Kim Brixen, Chairman of the Steering Group.

“All current CSAM Prosang installations in Denmark, in addition to the new installation in the Copenhagen region will be migrated into a national service supporting data quality, security, information sharing, workflow support and integrations.”

The new e-health solutions agreement reconfirms CSAM’s sustainability, adding another national market win and further enhancing its strong Nordic leadership within niche e-health solutions.

“In December 2019, CSAM reached 100% market share in Sweden within the blood bank management segment when we signed an agreement with Region Skåne,” says Daniel Wiman, Product Manager at CSAM.

“Four of the five Danish regions have been using the CSAM ProSang solution for several years in separate installations throughout the country. Thus, we are very excited that now all health regions have selected ProSang as their common platform and preferred national blood bank management program for blood, cells, and tissues,” continues,” continues Wiman.

According to CSAM, the complete Danish national installation will service thousands of regular users, manage over 300.000 blood donations, several hundred transplants, and approximately 700.000 examinations every year.

CSAM Health Group expands executive team - further cultivates ambitious growth trajectory

The eHealth niche software provider is rapidly making a name for itself outside the Nordics with the acquisitions of four new, complementary product portfolios since December 2020. CSAM’s completely new Health Analytics offering was established with the acquisition of MedSciNet in May.

In March, with the acquisition of Carmenta Public Safety, Johan Hedensiö, was appointed to Executive VP of the newly established Public Safety business area at CSAM – which will be a significant business driver moving forward. Hedensiö is based in Gothenburg, Sweden, with a team of product, sales, and support staff for managing CSAM’s Public Safety products and serving customers globally. CSAM’s recurring revenues are growing steadily based on a solid and predictable platform for viable expansion and profitability through its “Buy, Integrate and Build methodology”. Thus, our EBITDA margin in the H1 represents profitability as expected and a solid foundation for CSAM’s 24-month BIB margin expansion project.”

CSAM leverer 64% vekst og 23% EBITDA i Q3

Oslo, Norge, 26. november, 2021: CSAM Health Group AS (“CSAM”), den ledende leverandøren av nisjeprogramvare innen eHelse i Norden publiserte i dag sin finansielle rapport for tredje kvartal 2021. Selskapets rapporterte topplinjevekst var 64% sammenlignet med tredje kvartal i fjor.

Tallene viser en EBITDA på 23% til tross for at selskapet i løpet av første halvår kjøpte fire virksomheter med svak eller negativ margin. 75% av rapportert topplinje ved utgangen av kvartalet er langsiktige repeterbare inntekter fra offentlige institusjoner, deriblant de fleste helseregioner i Norden samt et økende antall globale kunder.

64% vekst og 23% EBITDA er en tilfredsstillende kombinasjon og demonstrerer nok en gang styrken i CSAM’s forretningsmodell, sier CEO Sverre Flatby. - Kontinuerlig lønnsom vekst sammen med stabile repeterbare inntekter forblir fundamentet i vår kommuniserte verdiskapningsplan, fortsetter Flatby.

For å styrke selskapets arbeid med oppkjøp og organiske vekst, har CSAM ansatt to nye konserndirektører. Chief HR Officer Kjetil Skogen og Executive VP Anna-Karin Østlie er begge ansatt i tredje kvartal.

Vellykkede anbud og økt ordrereserve gir organiske vekstmuligheter mens vi samtidig kjøper og innlemmer virksomheter. Erfaringen og kompetansen Kjetil og Anna-Karin bringer ombord bidrar til å sette fart på videre vekst og lønnsomhet, avslutter Flatby.

Hovedpunkter – Q3 2021:

• Rapportert inntektsvekst 64% sammenlignet med 3. kvartal 2020
• Rapportert EBITDA på 20.1 MNOK som innebærer en EBITDA-margin på 23%
• Repeterbare inntekter utgjør 75% av omsetningen i kvartalet.
• Sikret 100% av det danske blodbankmarkedet gjennom å vinne et nasjonalt anbud. Kontrakten om blodbankløsningen CSAM Prosang har en verdi på ca 100 MNOK over en seksårsperiode.
