Petroleum Holdings BV (“RAK BV”), to RAK Petroleum (the “Intra-Group Transfer”).

Following completion of the Intra-Group Transfer, RAK BV has reduced its
shareholding in DNO from 438,379,418 to 0 shares and has therefore crossed below
several thresholds for disclosure of large shareholdings, including the 5
percent threshold.

RAK Petroleum did not previously hold any DNO shares directly. Following the
Intra-Group Transfer, RAK Petroleum owns 438,379,418 DNO shares, equivalent to
44.94 percent of the outstanding shares in DNO, and it has accordingly passed
several thresholds for disclosure of large shareholdings, including the one-
third threshold.

RAK Petroleum is a Close Associate of Bijan Mossavar-Rahmani, DNO’s Executive
Chairman, and of Shelley Watson, a member of DNO’s Board of Directors.

The Intra-Group Transfer will in principle trigger a mandatory offer by RAK
Petroleum for all outstanding DNO shares. However, as RAK Petroleum will
transfer its DNO shares to the RAK Petroleum shareholders pursuant to its
proposed capital repayment within the four week deadline set out in Section 6-9
of the Norwegian Securities Trading Act, it will not be under an obligation to
put forward a mandatory offer for DNO. RAK Petroleum’s proposed capital
repayment is further described in that company’s announcements and Circular
published on 22 August 2022.

Today’s announcement is made pursuant to sections 4-2, 5-12 and 6-8 of the

Enterprises LLC to DNO ASA in exchange for 78,943,763 new DNO shares (the
“Transfer”), following which RAK Petroleum will distribute all its DNO shares
and USD 20 million in cash to its shareholders through a UK court-approved
capital repayment (the “Capital Repayment”).

The completion of the Transfer and the Capital Repayment trigger several
obligations to disclose shareholdings by Persons Discharging Managerial
Responsibilities (“PDMRs”) in DNO and Close Associates of such persons. Both
Bijan Mossavar-Rahmani, Executive Chairman of RAK Petroleum and Shelley Watson,
Chief Operating Officer and Chief Financial Officer of RAK Petroleum, are PDMRs
with regard to DNO in their capacity as Executive Chairman of the board of
directors of DNO and board member of DNO, respectively. RAK Petroleum is
considered a Close Associate of these individuals due to their roles in this
company.

RAK Petroleum has subscribed for 78,943,763 new DNO shares as consideration for
the Transfer (the “Consideration Shares”). Following the Transfer, RAK Petroleum
will hold 517,323,181 shares in DNO, corresponding to 49.06 percent of the
issued and outstanding shares of DNO.

Pursuant to the Capital Repayment, RAK Petroleum will distribute all the DNO
shares to its shareholders. As a result, RAK Petroleum’s shareholding in DNO
will cross below several thresholds for disclosure of large shareholdings,
including the 5 percent threshold, and RAK Petroleum will following the Capital
Repayment hold no shares in DNO.

Bijan Mossavar-Rahmani will beneficially own 125,683,241 DNO shares,
representing 11.92 percent of the issued and outstanding shares and votes in
DNO after issuance of the Consideration Shares. Accordingly, pursuant to the
Capital Repayment, he will cross the 5 percent and 10 percent thresholds for
disclosure of large shareholdings. Bijan Mossavar-Rahmani does not directly or
indirectly hold any other DNO shares.

Shelley Watson will beneficially own 593,700 DNO shares, equivalent to 0.06
percent of the issued and outstanding shares and votes in DNO after issuance of
the Consideration Shares. Shelley Watson does not directly or indirectly hold
any other DNO shares.

Foxtrot International LDC, whose principal assets are operated stakes in
offshore production of gas and associated liquids in Côte d’Ivoire.

Pursuant to the approval given by DNO’s Extraordinary General Meeting of 13
September 2022, the Company will issue 78,943,763 new shares to RAK Petroleum,
its largest shareholder, as consideration for the transfer between the
companies. RAK Petroleum will distribute by way of a capital repayment the
entirety of its DNO shareholding to its shareholders, which include DNO (5.1
percent). Prior to the issuance of the consideration shares, RAK Petroleum holds
438,379,418 shares in DNO, representing 44.94 percent of shares outstanding. The
capital repayment is expected to take place on or about 19 October 2022.
Following the distribution, DNO will have 26,269,183 own shares which will be
retained as treasury shares.

Selected cash flow items

During the quarter, DNO received USD 220.2 million net from the Kurdistan
Regional Government, of which USD 133.8 million represents the entitlement share
of April and May 2022 Tawke license crude oil deliveries. Of the balance, USD
18.0 million represents override payments equivalent to three percent of gross
April and May 2022 Tawke license revenues and USD 68.4 million represents
payments towards arrears built up from non-payment of certain invoices in 2019
and 2020.

DNO paid one tax instalment of USD 1.8 million in Norway, the first of six
instalments related to estimated 2022 results on the Norwegian Continental Shelf
(NCS).

Other items

DNO participated in four exploration wells in the North Sea in the quarter. The
Ofelia well in PL 929 on the NCS (10 percent working interest) was spudded on
24 July and completed on 25 August and has been announced as a discovery. The
Edinburgh well in P255 on the UK Continental Shelf (45 percent working interest)
was spudded on 15 March and completed on 5 August. The Brage South well in PL
055 (14.3 percent working interest) on the NCS was spudded on 10 June and
completed on 26 July. Both Edinburgh (fully expensed in Q2) and Brage South have
been announced as dry wells. The Uer well in PL 943 on the NCS (30 percent
working interest) was spudded on 21 September and drilling was still ongoing as
of end of Q3 2022.

DNO announced on 22 August an agreement to acquire assets in West Africa in an
all-share transaction with RAK Petroleum plc. The transaction was completed on
11 October, and does as such not impact the Q3 2022 results.

“Program”) through which the Company will repurchase up to 53,107,326 shares,

representing approximately five percent of total shares outstanding, for a
maximum total consideration of USD 80 million.

The Program will be conducted in accordance with article 5 of the Market Abuse
Regulation (EU) No 596/2014, as adopted in the Norwegian Securities Trading Act
of 2007, ancillary regulations and the Oslo Stock Exchange’s Guidelines for
buyback programmes and price stabilisation of February 2021.

Buyback transactions will be executed at market prices on the Oslo Stock
Exchange. The Program will be managed by Arctic Securities AS, which will make
its trading decisions in relation to the Program independently of the Company;
this may result in DNO acquiring shares through periods where the Company
otherwise would have been restricted from doing so.

The Program will be in force from 9 December 2022 and until the earlier of i)
the maximum number of shares as set out above has been acquired, ii) the maximum
total consideration has been reached or iii) 30 April 2023.

The Program is based upon the authorization to acquire treasury shares granted
to the Board of Directors at DNO’s Annual General Meeting on 25 May 2022 and
registered in the Norwegian Register of Business Enterprises. According to the
authorization, the maximum number of shares that can be acquired is 97,543,272,
the minimum price that can be paid per share is NOK 1 and the maximum price is
NOK 100. The authorization is valid until the Company’s 2023 Annual General
Meeting, but no later than 30 June 2023.

The purpose of the Program is to reduce the capital of the Company. The Board of
Directors plans to propose to the Annual General Meeting in 2023 to cancel
repurchased shares under the Program as well as 26,269,183 treasury shares
(approximately 2.5 percent of shares outstanding) already held by the Company.

the acquisition, DNO Norge AS holds a 30 percent interest in the 2018 gas and
condensate discovery offshore Norway, with operator OMV (Norge) AS and Equinor
Energy AS retaining 30 percent and 40 percent interests, respectively.

The partnership will submit a plan for development and operation (PDO) to the
Ministry of Petroleum and Energy before the end of December with a
recommendation that the Berling field be developed as a subsea tieback to the
Åsgard B platform some 20 kilometers away. The Berling field stretches across
three licenses with aligned ownership interests (PL644, PL644B and PL644C).

Separately, plans have been submitted to the Ministry for the Andvare field
development (previously Gjøk) by a partnership comprising DNO Norge AS (32
percent), operator Equinor Energy AS (53 percent) and PGNiG Upstream Norway AS
(15 percent). The field lies within a license (PL159B) that also includes the
producing Alve field as a subsea tieback to Norne FPSO. Andvare will use
existing infrastructure and an available Norne well slot, allowing for a fast-
track development of the gas discovery.

A third DNO field development that was matured towards a 2022 investment
decision is the DNO-operated Brasse project also offshore Norway (PL740). As
recent changes in the temporary petroleum tax system and industry cost pressures
have significantly weakened the project’s economics, the license partners (DNO
and Vår Energi ASA with 50 percent each) have decided not to submit a PDO by
yearend 2022. DNO is considering its options to commercialize the Brasse oil and
gas discovery, including through a modified development concept.
