Reference is made to the previous stock exchange announcements published by EAM Solar AS (the “Company”) regarding the rights issue of up to 20 000 000 shares in the Company (the “Offer Shares”), at a subscription price of NOK 1.0 per Offer Share, to raise gross proceeds of NOK 20 million (the “Rights Issue”).

The subscription period for the Rights Issue (the “Subscription Period”) expires on 20 October 2025 16:30 (CEST).

Subscription rights that are not used to subscribe for Offer Shares before the expiry of the Subscription Period on 20 October 2025 at 16:30 hours (CEST) or not sold before close of trading today, 14 October 2025 at 16:30 hours (CEST), will have no value and will lapse without compensation to the holder upon expiry of the Subscription Period.

The Rights Issue is conditional upon that the company raises at least NOK 7,649,740 in the Rights Issue. If it becomes clear that the condition mentioned above will not be fulfilled, the Rights Issue will be withdrawn. Furthermore, the Rights Issue may be withdrawn, or the implementation of the Rights Issue may be delayed, if the total subscription amount for the Offer Shares is not received by the Company in time or at all.

If the Rights Issue is withdrawn, all Subscription Rights will lapse without value, any subscriptions for, and allocations of, Offer Shares that have been made will be disregarded and any payments for Offer Shares that have been made will be returned to the subscribers without interest or other compensation. The lapse of Subscription Rights will be without affecting the validity of any trades in Subscription Rights, and investors will not receive any refund or compensation with respect to Subscription Rights purchased in the market.

Subscriptions for Offer Shares must be made within the expiry of the Subscription Period and may either be made through the VPS online subscription system or by submitting a correctly completed subscription form to Norne Securities AS (the “Settlement Agent”).

Subscription rights that are not used to subscribe for Offer Shares before the expiry of the Subscription Period will have no value and will lapse without compensation to the holder.

Update on progress of discussions with Intesa Sanpaolo

Reference is made to the Company’s previous announcements and reporting in relation to the ongoing dialogue with Intesa Sanpaolo about finding an alternative solution to the ongoing dispute between the parties.

The parties have engaged in discussions since January 2025 about finding such alternative solution. After ten months of discussion, EAM believes that the parties are now close enough that an arrangement can be reached on concrete terms which benefit both EAM and Intesa.

Oppdatering om fremdriften i diskusjonen med Intesa Sanpaolo

Utvikling i samtalene mellom Intesa Sanpaolo og EAM Solar

Development in Matter Between Intesa Sanpaolo and EAM Solar

Reference is made to the Company’s communication on 20 October 2025 in relation to the ongoing discussions between EAM Solar AS and Intesa Sanpaolo.

Due to the progress of the ongoing negotiations, the parties have agreed to petition the court of appeal for a postponement of the hearing on stay of execution, currently scheduled for 5 November 2025.

In addition, Intesa Sanpaolo has agreed not to enforce the Brescia Judgement against EAM until the earlier of either a signed settlement agreement or the conclusion of the hearing on stay of execution. It is not yet confirmed if and when the postponed hearing will take place. The Company will revert to the stock market once this is known.

Reference is also made to the ongoing NOK 20 million Rights Offering.

Due to the development mentioned above, the Company will publish a supplementary prospectus (‘tilleggsprospekt’). Such supplementary prospectus is expected to be published tomorrow.

Reference is made to the previous stock exchange announcements published by EAM Solar AS (the “Company”) regarding the rights issue of up to 20 000 000 new shares in the Company (the “Offer Shares”), each with a nominal value of NOK 1.0 at a subscription price of NOK 1.0 per Offer Share (the “Subscription Price”), to raise gross proceeds of NOK 20 million (the “Rights Issue”).

The subscription period for the Rights Issue (the “Subscription Period”) expired today, 27 October 2025 at 16:30 hours (CET). Preliminary results indicate that the Company has received subscriptions for a total of approximately 12 671 240 Offer Shares.

The final result of allocation of Offer Shares is expected to be published tomorrow, 28 October 2025, and notification of allocated Offer Shares and the corresponding subscription amount to be paid by each subscriber is expected to be made available in the VPS on or about 28 October 2025. The due date for payment of the Offer Shares is 30 October 2025.
