Highlights for the third quarter of 2025:

· Total sales were NOK 3,528 million, representing a growth of 9.0 per cent

· Strong performance in the segment Norway, with sales increasing 11.6 per
cent to NOK 2,508 million

· Segment Sweden had sales of NOK 1,020 million, with the reported increase of
3.1 per cent, which was positively impacted by currency translation effects -
the ÖoB chain had 0.4 per cent like-for-like sales growth in local currency

· Gross margin of 40.7 per cent (39.7), up 1.0 percentage point

· Includes unrealised currency gain of NOK 7 million this year vs unrealised
loss of NOK 7 million last year

· Opex-to-sales ratio of 25.9 per cent (26.5), an improvement of 0.6
percentage points

· Last year’s opex was impacted by one-off costs and costs related to IT
projects in the segment Sweden, amounting to SEK 13 million

· EBIT of NOK 256 million (168) and EBIT margin of 7.3 per cent (5.2)

· EBIT of NOK 293 million in the segment Norway, up 37.8 per cent

· EBIT-loss of NOK 37 million in the segment Sweden vs loss of NOK 45 million
last year

· Net profit of NOK 154 million (84)

· Unrealised gain on interest rate swaps of NOK 2 million (loss of 12)

Comment from CEO Espen Eldal:

“We once again succeeded in attracting customers, delivering desired campaigns,
well-stocked stores with relevant seasonal products, and low prices as always.
Combined with improved gross margins and good cost control, this generated a
solid third quarter in Norway. Sales were stable in Sweden, and we need to
restore ÖoB as a relevant shopping destination through a fully remodelled store
portfolio before we can expect to attract new customers and see significant
sales growth.”

In Norway, Europris benefited from its position as a preferred destination for
seasonal shopping during a warm summer, with strong campaigns and well-stocked
stores. Total sales growth was 12.1 per cent for the Europris chain in the third
quarter, reflecting both increased footfall and a higher average basket size,
outgrowing both the broad variety retail market and the shopping centres.

In Sweden, ÖoB showed a modest like-for-like sales growth of 0.4 per cent in
local currency. ÖoB does not yet have the same strong seasonal position, and the
warm weather in July did not benefit sales to the same extent. While the first
remodelled store performed well, with higher footfall, sales and margins, a
complete remodelling of the store portfolio will be necessary to broaden the
customer base and increase footfall. The remaining store portfolio will be
remodelled over the next two years.

Total operating income amounted to NOK 3,528 million (3,238), a reported
increase of 9.0 per cent from the same quarter last year, and a growth of 8.0
per cent in constant currency. Gross profit amounted to NOK 1,437 million
(1,286), with one percentage point improvement in the gross margin to 40.7 per
cent (39.7). The group recognised unrealised currency gains of NOK 7 million on
hedging contracts and accounts payable in the quarter, compared to unrealised
losses of NOK 7 million in the same period last year. Adjusted for this, the
gross margin improved by 0.6 percentage points.

Operating expenditure (Opex) increased by 6.6 per cent to NOK 915 million (859).
Last year was impacted by one-off costs and costs related to IT projects in the
segment Sweden, amounting to SEK 13 million. The opex-to-sales ratio improved by
0.6 percentage points, to 25.9 per cent (26.5).

Net debt amounted to NOK 5,140 million at 30 September 2025 (5,091), and NOK
1,795 million (1,614) adjusted for lease liabilities. Cash and liquidity
reserves amounted to NOK 1,160 million at 30 September 2025 (1,360).

Outlook

Consumer spending figures have been relatively strong so far this year,
responding to lower inflation and several interest rate cuts from the central
banks in both Norway and Sweden. Consumers in Norway have also seen real wage
growth over the past years, and with the outlook for real wage growth in Sweden,
this should support a continued positive consumer sentiment in both countries.

The integration of ÖoB in Sweden is progressing as planned, with promising
results from upgraded and harmonised non-food categories and the two pilot
stores. Two more pilot stores will be opened in the fourth quarter this year,
with the remaining store portfolio to follow in 2026 and 2027.

While the costs associated with the store remodelling programme are expected to
offset profit improvement in segment Sweden in 2026, the group expects the
programme to significantly improve the customer shopping experience and attract
new customer segments to ÖoB. Over time this is expected to generate significant
sales growth and margin improvement, and the board and management remain
confident in the ambition to grow ÖoB sales in the existing store portfolio to
SEK 5 billion with an EBIT margin of 5 per cent by the end of 2028.

The fourth quarter is typically the strongest of the year, and the group is
prepared and ready with well-stocked stores.

customers over the past few years and demonstrated its relevance as a shopping
destination across all major seasons.

The turnaround initiatives in Sweden began to show some effect in the fourth
quarter. Campaign sales continued to grow while enhanced store operations and
value chain improvements also contributed to positive performance for
the ÖoB chain. Like-for-like sales showed an improvement of 3.8 per cent in
local currency in the fourth quarter.

Financial highlights for the fourth quarter of 2025:

· Total group sales reached NOK 4,611 million in the fourth
quarter, an increase of 5.3 per cent on a reported basis and 4.1 per cent in
constant currency
· Sales growth of 4.6 per cent to NOK 3,372 million in segment Norway
· Sales growth of 7.3 per cent to NOK 1,283 million in segment Sweden, with
sales increasing 2.8 per cent in local currency

Total operating income amounted to NOK 4,611 million (4,378) in the fourth
quarter of 2025, a reported increase of 5.3 per cent. In constant currency the
growth was 4.1 per cent.

Gross profit amounted to NOK 1,962 million (1,862), with a gross margin of 42.6
per cent (42.5). Operating expenditure (Opex) increased by 4.0 per cent to NOK
1,017 million (978), with an opex-to-sales ratio of 22.1 per cent (22.3). EBIT
was NOK 677 million (624), an increase of NOK 53 million or 8.6 per cent. This
reflected improvement in segment Sweden compared to the previous year. The EBIT
margin was 14.7 per cent (14.3).

Net debt amounted to NOK 4,292 million at 31 December 2025 (4,181), and NOK 858
million adjusted for lease liabilities (720). Cash and liquidity reserves
amounted to NOK 2,108 million at 31 December 2025 (2,244).

The board of Europris ASA proposes a dividend of NOK 3.75 per share for 2025
(3.50), representing an increase of 7.1 per cent. The dividend amounts to
NOK 614 million excluding treasury shares (573) and represents a pay-out ratio
of 75.4 per cent of the majority’s share of the profit (68.4).

Outlook

Both Norway and Sweden saw declining inflation and lower interest rates in 2025,
contributing to relatively strong consumer spending. The positive consumer
sentiment is expected to continue into 2026, supported by projections for real
wage growth in both countries.

The supply side may be affected by geopolitical developments and an uncertain
international trade environment, which could affect product availability,
freight operations, costs, tariffs, currencies, and other value chain factors.
To mitigate potential adverse impacts, the group employs strategic sourcing and
logistics practices as well as financial derivatives wherever feasible.

The turnaround initiatives for ÖoB are progressing as planned. The upgrading of
non-food product categories, harmonised with Europris’ offering, has been well
received by ÖoB’s current customers, and the planning and execution of campaigns
has improved significantly. However, the group believes that full store
remodellings will be required across the entire store network to enhance
customer experience and drive footfall and sales growth from new customer
segments.

Following the four remodelled pilot stores in 2025, the group will accelerate
the remodelling programme to 35-45 stores in both 2026 and 2027. The costs
associated with the programme are expected to offset any underlying profit
improvements in segment Sweden in 2026 - as a consequence, the group expects the
operating profit for ÖoB in 2026 to be in line with the loss reported for 2025.
Results are expected to improve from 2027 onwards, and the board and management
remains confident in its ambition to grow ÖoB’s sales from the existing store
portfolio to SEK 5 billion with an EBIT margin of 5 percent by the end of 2028.

Tom Vidar Rygh (chair) has informed the nomination committee that he does not
want to be nominated for re-election at the upcoming annual general meeting. Mr.
Rygh has taken an active part in Europris as chair since 2012. The nomination
committee therefore proposes Per Arthur Sørlie as the new chair of the board.
From 1999 to 2025 Sørlie was CEO of Borregaard ASA. In addition to his extensive
leadership experience, he has deep strategic and financial knowledge that will
be beneficial for his role as chair of the board.

Terje Andersen is nominated as a new member of the board of directors, after
Bente Sollid who has served as a member for 11 years. Andersen has extensive
experience from Nordic consumer companies and international industrial
companies. Since 1989 he has held several senior positions in the Orkla Group,
including Group CFO and CEO of Orkla Investments AS.

The nomination committee proposes that Hege Bømark, Pål Wibe, Susanne Holmström,
Martin Klafstad and Ros-Marie Grusén to be re-elected for the coming period.

growth of 12.3%. An earlier timing of Easter this year is estimated to have
contributed with around 6 percentage points of the sales growth.

The gross margin development in Norway was negatively affected by product mix,
with a higher share of sales from consumables and intensified promotional
activity, partly attributable to the earlier timing of Easter this year.

In Sweden, the positive performance trends in the fourth quarter continued into
the first quarter. The turnaround programme progressed according to plan,
with a total of nine store upgrades completed during the quarter.

Financial highlights for the first quarter of 2026

· Total sales amounted
to NOK 3,300 million (2,938), representing a reported growth of 12.3% and growth
of 11.6% in constant currency

strong campaigns, and the right assortment drive traffic and volume - and we
gain market share because we stay relevant. In Sweden, we made important steps
on our value creation journey, and we remain confident in our long-term goals.
In short, Norway delivers cash flow, Sweden is a long-term value creation case,
and we are building a strong Nordic platform with discipline.”

Total operating income amounted to NOK 3,300 million (2,938), representing year
-on-year growth of 12.3%. The earlier timing of Easter is estimated to have
contributed with around 6 pp of the sales growth.

Gross profit increased to NOK 1,302 million (1,136) and included unrealised
currency losses of NOK 4 million (unrealised losses of 34). The gross
margin improved by 0.8 pp to 39.5% (38.7%) and declined
by 0.2 pp when excluding the impact of unrealised currency effects.

Operating expenses increased by 5.4% to NOK 962 million (913), and the opex-to
-sales ratio was 29.1% (31.1%). EBITDA increased to NOK 340 million (224),
corresponding to an EBITDA margin of 10.3% (7.6%). EBIT improved
to NOK 71 million (loss of 37), corresponding to an EBIT margin of 2.2% (-1.3%).

Outlook

Consumer sentiment has strengthened over the past year in both Norway and
Sweden, supported by lower inflation, real wage increases and declining interest
rates. However, the continued volatile and uncertain geopolitical environment is
expected to reignite inflationary pressures. In Norway, expectations for
interest rates reductions have been revised, with rate increases now anticipated
before the summer. Although real wage growth is still projected for both
countries in 2026, consumers may nonetheless adopt a more cautious approach to
spending. Both Europris and ÖoB are strategically positioned to benefit from
price-conscious consumers seeking value for money and compelling campaigns.

Higher and more volatile energy prices are expected to adversely impact certain
cost components. Any impacts are expected to be market-wide, and potential
effects on the group’s profit and loss will depend on the duration and scope of
these developments.

The group has renewed its inbound freight agreement for overseas shipments,
securing capacity for deliveries at competitive rates through next summer.
Seasonal products for the upcoming spring and summer seasons have been received,
and the group is well prepared for this important season.

In Sweden, the ÖoB turnaround programme continues according to plan. Financial
performance for 2026 and 2027 will be adversely impacted by costs related to the
store remodelling programme. The group expects gradual improvement in financial
performance from 2027 and remains confident in achieving its ambition to grow
ÖoB sales to SEK 5 billion and reach an EBIT margin of 5% by the end of 2028.
