The deal will see GiG provide its award winning platform and represents a
continued strengthening of a targeted strategy to leverage their extensive

casino market. The unique domain, Luckiest.com, will be utilized as a casino for
the first time, affirming GiG’s assertion that its platform and solutions are
perfectly suited for online challengers keen to access and expand a new business
in the casino sector.

The agreement has been signed for an initial four year period with the
opportunity to be further renewed. It is expected that the team from
Luckiest.com will be able to call on their significant SEO potential and build a
positive brand equity, helping to successfully launch and power the brand
towards growth in the .com markets.

· GiG Media reached a seventh successive all-time high in quarterly revenues
and player intake, FTDs ended at 86,500 (46,700), up 85%
· Granted a supplier licence for Ontario province in Canada, first two brands

· Platform & Sportsbook signed six new agreements in the quarter, whereof
three in Europe, two in LATAM and one in North America
· Four brands went live in Q3 2022, and the number of live brands were 62 at
quarter end

Events after Q3

· Signed agreement to power a leading land-based operator’s online expansion,
strengthening GiG’s position within the large and growing LATAM market
· Three brands have gone live so far in Q4 2022
· October has developed positively, and revenues are up 34% compared to the

This new alliance, the 14th now in operation for GiG technology in Spain, will
allow Starcasino to enter the large and highly competitive Spanish market.
Having secured both sports and casino licenses in the jurisdiction, Starcasino

Indeed, the online Spanish market generates more than Euro 800 million of GGR on a
yearly basis, with casino and sports representing 90% of that figure.

Starcasino is one of the largest regulated online and landbased casino groups in

twelve months after closing and the EUR 15 million balance 24 months after
closing. Closing is expected in Q1 2023.

Askgamblers.com is an award-winning website recognised as a well-trusted website
source in the iGaming industry with strong brand recognition by users.
Johnslots.com and Newcasinos.com build on GiG Media’s strategy to diversify its
business. With this acquisition, GiG Media cements its position in the industry
as the leading casino affiliate.

The acquired websites generated revenue of EUR 12.9 million in the first nine
months of 2022 with an EBITDA of EUR 8.4 million. GiG expects to have an EBITDA
margin between 60-70% from the assets going forward. The assets are expected to
generate around 53.000 FTDs in 2022.

The acquisition will diversify GiG Media’s business further in line with the
strategy to create sustainable long-term growth and provide the business with
several key strategic assets and multiple revenue opportunities. The acquired
websites are strong in markets that currently are non-core markets for GiG
Media, therefore expanding our current geographical reach. Further to the
revenue growth potential, operational synergies are expected to be realised
after the acquisition via the shared use of marketing technologies, business
intelligence systems and key functions.

The transaction is structured by way of a Share Purchase Agreement (SPA) with
GiG’s subsidiary Innovation Labs Ltd. (part of GiG Media) and includes the
acquisition of the two companies Catena Publishing Ltd (Malta) and Catena Media
D.O.O. Beograd (Serbia). These companies currently employ around 90 people.

GiG will finance the initial consideration through a combination of own cash, a
revolving credit facility (RCF) and a share issue. Existing shareholders have
committed to participate in the share issue and the RCF, securing sufficient
financing to complete the transaction at closing.

Morten Hillestad, Director of Business Development in GiG Media, said: “After
three years of consolidating and expanding the GiG Media business - realising
strong annual organic growth - the time was ripe to act when this acquisition
opportunity emerged. GiG Media has developed world class marketing technology

marketplace, starting the new year in a similar fashion to 2022, in which it

For its Platform and Sportsbook, GiG now offers innovative and proprietary

becoming shareholder in GiG in connection with the acquisition of Sportnco
Gaming SAS. Ahearne has closely followed the development of GiG during this

As stated in the announcement, GiG will finance part of the initial
consideration through a share issue and the Board of Directors has approved
commitments of EUR 10.2 million from a group of investors to finance the equity
part of the acquisition. Pursuant to agreed terms, the share price has been set
to NOK 25.61, which represent a discount of 2.6% from the volume-weighted
average share price for the GiG share so far in 2023.

4,267,112 new shares will be issued, and the number of outstanding shares will
increase by 3.5%, from 122,786,526 to 127,053,638. The new shares are expected
to be issued and admitted to trading next week and will be issued under the
Company’s 150,000,000 authorized shares.

Closing of the acquisition is expected by end of January 2023.
