capabilities and reinforces its market leadership within Gentoo Media (formerly
GiG Media), its thriving media and affiliate business.

The integration of Titan will drive cost savings and operational efficiencies
for Gentoo Media’s publishing division. SEO and content costs are expected to be
significantly reduced for operations consolidated under Titan. Additionally,
Titan’s expertise will optimize the quality and time-to-market of the business,
which is expected to increase revenue within the division.

Jonas Warrer, CEO of Gentoo Media and acting group CEO of GiG, says, “I’m

Andreas Söneby brings a wealth of experience and a proven track record in the
gaming and technology sectors, making him an invaluable addition to the GiG
Platform Board as we continue to grow and innovate in the industry. His
extensive experience includes key leadership roles at some of the most prominent
companies in the field, including Unibet, Kindred Group, and Kambi.

Throughout his distinguished career, Mr. Söneby has demonstrated his ability to
lead and innovate at the highest levels. As Chief Information Officer at Kambi,
he was instrumental in driving the company’s technology strategy, overseeing a
team of over 300 professionals, and managing exponential transaction growth. His
work at Unibet Group plc, where he served as CTO and IT Director, further
underscores his ability to manage complex operations and deliver significant
results. Notably, he played a crucial role in establishing Kambi as an
independent entity within the Unibet Group.

In addition to his industry-specific experience, Mr. Söneby has held executive
positions at companies such as White Hat Gaming and Instabox, and currently

Juroszek Holding, a company controlled by Zbigniew Juroszek, the father of
Mateusz Juroszek, has today transferred 4,340,666 shares in GiG to ZJ Foundation
FR, a company controlled by Zbigniew Juroszek, in connection with an internal
restructuring of shares held indirectly by him. After the transaction, ZJ
Foundation FR holds 10,710,041 shares, representing approximately 7.96% of the
total registered share capital and voting rights in GiG. ZJ Foundation FR has
thereby passed the 5% threshold.

The Special Meeting of Shareholders resolved an amendment to the Company’s
Amended and Restated Certificate of Incorporation authorizing (i) a change in
the par value per share of the Company’s Common Stock from one dollar (USD 1.00)
to one tenth of a cent (USD 0.001) and (ii) a change in the name of the Company
from “Gaming Innovation Group Inc.” to “Gentoo Media Inc.”

The Special Meeting of Shareholders also resolved to approve the split of the
Company as further described in the Plan of Separation attached to the Notice of
Special Meeting of Shareholders dated 4 September 2024, whereby the GIG Platform
business will be spun off to operate as an independent public company, GiG
Software PLC. The assets and subsidiaries of the GiG Platform business will
thereby be extracted from the Company and distributed to the shareholders. This
will result in the Company being split into two separate unaffiliated public
companies. The Media Business, which is not extracted through the spin-off, will
remain with the Company, which is renamed to Gentoo Media Inc.

The Company’s Amended and Restated Certificate of Incorporation, reflecting the
change of name, has today been filed with the Company Secretary of the State of
Delaware, and the name change is now effective. The Company will initiate the
name and ticker change on the Oslo Stock Exchange and Nasdaq Stockholm,
expecting the changes to be effective from 25 September 2024. The ticker for the
shares listed on Oslo Stock Exchange will change from “GIG” to “G2MNO”, while
the ticker for the shares listed on Nasdaq Stockholm will change from “GIGSEK”
to “G2M”. This is an administrative matter and shareholders do not need to take
any action. The Company’s ISIN code will remain unchanged, US36467X2062.

The Board of Directors will now initiate the final steps of the restructuring
process through which the GiG Platform business will be spun off to operate as
an independent public company, GiG Software PLC, (the “Spinoff”). The assets and

Platform, whereby GiG Platform will be spun off to operate as an independent
public company (the “Spinoff”). Further reference is made to the announcement on
23 September 2024 regarding the special meeting of shareholders held that day on
which the Company resolved to complete the Spinoff.

The shares in GiG will be traded on Oslo Børs (Ticker: GIG) ex the rights to
receive Norwegian Depository Receipts (NDRs) as of today, 24 September 2024. The
same applies to shares trading on Nasdaq Stockholm (Ticker: GIGSEK) as regards
the right to receive Swedish Depository Receipts (SDRs).
