Hexagon is pleased to announce that the transaction has been successfully
completed, and Hexagon Composites now owns 40% of Cryoshelter’s liquid
(renewable) natural gas (LNG) business, with options to buy remaining interests
over the next 3-10 years. The initial investment of EUR 2.5 million extends
Hexagon’s product portfolio to include leading liquid gas solutions.

Hexagon Purus ASA (owned 73.3% by Hexagon Composites) has also completed its
previously announced 40% stake in Cryoshelter’s cryogenic tank technology for
liquid hydrogen (LH2) (reference Hexagon Purus announcement, 1 August 2022).

Purus’ type 4 cylinders will be used to deliver hydrogen for industrial
applications in Germany. The value of the order is approximately EUR 5.2 million
(approximately NOK 52 million).

for infrastructure and industrial segments. However, further cost escalation and
supply chain inefficiencies in the industry continue to weigh on margins.

In accordance with its ambitious business plan, Hexagon Purus more than doubled
revenues year over year to NOK 210 (94) million and recorded operating profit
before depreciation (EBITDA) of NOK -112 (-69) million. The strong revenue
growth was primarily driven by hydrogen distribution, and the company is
continuing its ramp-up in personnel and infrastructure to accelerate growth.
Hexagon Purus remains fully consolidated in the Hexagon Group accounts after its
spin-off in December 2020, with Hexagon currently retaining a 73% ownership.

Hexagon Group, including Hexagon Purus, generated NOK 1 180 (788) million
in revenues and recorded an operating profit before depreciation (EBITDA) of NOK
-21(3) million.

“We delivered strong 50% revenue growth year-over-year, and an acceptable EBITDA
when considering supply chain challenges and further cost inflation. Mitigating
actions are in place, but the effects of these actions lag the cost increases
and supply chain inefficiencies in the second half of the year. We expect
margins to improve and normalize from the first quarter 2023,” says Jon Erik
Engeset, CEO of Hexagon Group. “We see that our results are backed by continued
high demand for Hexagon’s clean energy solutions and growing supportive
regulatory frameworks.”

Acoustic Emission (MAE) requalification of Type-4 cylinders used for
transportation of compressed natural (renewable) gas (CNG/RNG). MAE enables the
requalification of Type-4 cylinders without removal from the trailer, resulting
in reduced downtime and operator overhead, all while providing the most
effective assessment of composite structural integrity available. The testing
service agreement has a 1-year term and estimated value of USD 1 million.

MAE uses advanced electronics and sensors that capture broadband waveforms to
identify whether structural integrity deficiencies are present in Composite
Overwrappped Pressure Vessels (COPVs). The use of MAE is a requalification
method adopted by the US Department of Transportation (US/DOT) Pipeline and
Hazardous Materials Safety Administration (PHMSA) for every five (5) year
requalification requirement.

Hexagon Digital Wave performs requalification of COPVs under its US DOT special
permit 20396. By performing inspections in situ, the need to vent trailer
contents to the atmosphere is eliminated, enabling our customers to reduce
greenhouse gas (GHG) emissions and meet their sustainability goals.

A significant increase in customer demand for compressed gas transport is

The follow-on order can be viewed in conjunction with the two separate
announcements in Hexagon Purus’ Q4 2021 presentation and on June 16 for hydrogen
distribution systems and mobile hydrogen refueling stations. The value of the
second follow-on order is approximately EUR 6 million (approximately NOK 60
million). With this recent order, the total value of hydrogen systems being
delivered by Hexagon Purus is EUR 13 million (approximately NOK 130 million).

hydrogen available for use in industrial processes and mobility is critical to

Poland emits more than 400 million tons of carbon emission annually and
approximately 70% of the total energy production is still sourced from coal.
Making green hydrogen available is a key prerequisite for the Polish energy
sector to transition into zero-emission energy and to secure cheaper energy.

On 2 November 2021, the Council of Ministers approved the Polish Hydrogen
Strategy to the year 2030 with an outlook to the year 2040. The strategy sets
out the main objectives and covers 40 actions for the development of a low
carbon hydrogen economy in Poland with emphasis on the use of hydrogen in the
energy, transport, and industry sectors. Within transport, key goals of 2030
include capacity for 2 GW electrolyzers, the roll-out of 800-1,000 new FCEV
buses and the installation of a minimum of 32 hydrogen refueling stations.

is scheduled from Q2 to Q3 2023.

stated between NOK 3.7 to 3.9 billion and EBITDA target of around NOK 400
million, with downside risk, for full year 2022.

Demand remains robust and revenues for 2022, mainly secured by backlog, are
expected to meet the guided target. However, we continue to experience
exceptionally high costs of production which we are unable to mitigate in the
short term. Hexagon is accordingly adjusting its EBITDA guidance for full year
2022 to approximately NOK 325 million.

The high costs of production are due to continued high costs of energy,
materials and components. While some raw material prices, such as aluminum and
steel, have come down from their peak, it will take two to three quarters before
these affect our component input prices. Additionally, Hexagon continues to
experience challenging operating conditions from supply chain disruptions
impacting production planning and efficiency. The unpredictable timing and
impacts of these factors are making precise profitability forecasting
challenging.

Since the first half of 2022, Hexagon’s business units have passed on the
relevant price rises to their customers. Purchase orders confirmed before the
price increases and deliveries under Long Term Agreements (LTAs) with only
annual price adjustment clauses have not yet benefitted from these price
increases, but all new business and most deliveries under LTAs will be at
adjusted prices from the first quarter 2023. We will carefully consider further
price increases, balancing the need to restore healthy profit margins with the
need to support our customers in a challenging time for all levels in the value
chain. In addition, Hexagon has initiated other profitability initiatives taking
effect immediately.

RNG results in the greatest reduction of greenhouse gas emissions of any clean

Acoustic Emission (MAE) requalification of Type-4 cylinders used for
transportation of compressed natural and renewable natural gas (CNG/RNG). MAE
enables the requalification of Type-4 cylinders without removal from the
trailer, resulting in reduced downtime and operator overhead, all while
providing the most effective assessment of composite structural integrity
available. The long-term agreement has a 3-year term and estimated value of USD
2 million ( approx. NOK 21 million).

provider of green hydrogen projects. Hexagon Purus’ hydrogen distribution
systems including its type 4 hydrogen cylinders will be used to both transport
hydrogen and as mobile storage for the planned network of green hydrogen
refueling stations in Germany. The value of the order is approximately EUR 2.2
million (approximately NOK 22 million) and represents the first hydrogen
distribution systems order with delivery in 2024.

Driving Energy Transformation

The mobility sector is accountable for approximately 20% of annual carbon
emissions globally, and hydrogen has a significant role to play in reducing
these emissions, particularly in “hard to abate” sectors. Making green hydrogen
available for use in amongst other the mobility sector is critical to reduce
carbon emissions.

As hydrogen, a key contributor to the energy transition, continues to build
momentum globally, more than 30 countries have released hydrogen roadmaps, over
USD 70 billion in government funding is committed to hydrogen investments, more
than 500 large-scale hydrogen projects have been announced by the industry to
date and green hydrogen is projected to supply up to 25% of the world’s energy
needs by 2050.

Timing

Delivery of the hydrogen systems is scheduled in Q1 2024.
