Agility Fuel Solutions extends long-term agreement with UPS

trucks as well as terminal tractors. The agreement represents a total value of
USD 65 million to USD 95 million (approx. NOK 595 to 870 million) over the
three-year period.

“We are proud to continue our collaboration with UPS, a front-runner in clean
transportation,” says Seung Baik, President of Agility Fuel Solutions. “With our
range of proven and reliable clean fuel technologies and aftermarket support
capabilities, we will assist UPS in reaching its sustainability targets.”

As part of the new agreement, Agility will provide complete end-to-end natural
gas systems for heavy-duty gas trucks, terminal tractors and medium-duty walk-in
vans, which are UPS’s familiar brown delivery trucks. These will include on-
board CNG fuel storage and management as well as Agility’s certified natural gas
engine fuel systems.

“UPS continues to expand and improve our smart logistics network by implementing
new technologies and creating a highly flexible, data-driven, and sustainable
network,” says Juan Perez, Chief Information and Engineering Officer at UPS.
“That is why we intend for 25 percent of our vehicles purchased in 2020 to run
on alternative fuels.”

Hexagon’s Mobile Pipeline® modules will allow renewable natural gas (RNG),
produced at dairy farms in Wisconsin, USA to access the pipeline distribution
system.

TITAN® modules are designed for the intermodal transport of compressed gases via

located off the gas grid.

Hexagon awarded fuel systems order for hydrogen buses in Italy

technology to the clean fuel portfolio. During the last decade, Hexagon has
delivered more than 1,000 CNG fuel systems to Solaris’ low-emission bus fleet,
ensuring sustainable public transport to European citizens,” says Eric Bippus,
Senior Vice President of Sales and Marketing at Agility Fuel Solutions. “This is
an important step in the expansion in the European hydrogen bus market - a
market representing a major opportunity for zero-emission hydrogen public
transport.”

The Solaris Urbino 12 hydrogen bus will have a driving range of up to 350 km on
a single fill. Thanks to the use of Agility’s Type 4 hydrogen fuel system,
Solaris has reduced the mass of the fuel system by ca. 20% compared to the
previous model. Hydrogen fuel cell vehicles stand out due to their long-range
capabilities and the short time needed to refill.

“The Solaris Urbino 12 hydrogen which had its world premiere in June this year,
complements Solaris’ e-mobility offerings. Hydrogen fuel cell and battery
electricity technologies will complement each other perfectly and benefit from
the technological progress of electric drivelines and their components,” says
Mateusz Figaszewski, Director of E-mobility Department at Solaris Bus & Coach
S.A.

The Italian city of Bolzano is investing strongly in clean public transportation
and is the first customer to order Solaris Urbino 12 Hydrogen buses. In
addition, Régie Autonome des Transports Parisiens (RATP) has signed an agreement
with Solaris for tests of the Urbino 12 hydrogen bus. The buses will be tested
in regular passenger traffic during the second half of 2020, preparing for the
transition to a zero-emissions vehicle fleet.

Deliveries of the Agility hydrogen bus systems are scheduled for the third
quarter of 2020.

Ragasco. In the fourth quarter of 2019 depreciation and amortization increased
to NOK 62.6 (35.9) million, primarily related to the inclusion of both tangible
and intangible amortization from the Agility acquisition.

In the fourth quarter of 2018, EBITDA included a positive impact of NOK 18.4
million from a reversal of an earn-out obligation related to the xperion
acquisition in 2016.

Reported Hexagon Group revenues for the year 2019 increased by 130% to NOK
3,416.2 million compared with 1,486.5 million in 2018 and reported EBITDA was
NOK 360.7 (234.5) million. This was primarily driven by strong performances in
Agility Fuel Solutions, which has been consolidated entirely after the
acquisition on 4 January 2019, and Hexagon Purus’ CNG Light-Duty Vehicles
business. The acquisition of Agility entailed a total profit impact for the full
year of NOK 44.2 million. EBITDA for the year 2018 included a positive impact of
NOK 108.5 million related to a reversal of an earn-out obligation related to the
xperion acquisition.

The Company has resolved to settle the economic value of the exercised options
through transfer of shares held in treasury and has therefore initiated the
transfer of 77,473 treasury shares to the employees as settlement of the
exercised options. After the transaction, the Company will hold 1,897,409
treasury shares.

Reference is made to the announcement on 5 April, 2017, in which Hexagon
Composites ASA (the “Company”) announced the grant of 1,640,000 share options to
employees under its employee share option program, each at a strike price of NOK

27 per share. Of the 1,640,000 options, 1,175,000 options were granted to senior
executives and managers listed as primary insiders.

The options may be exercised in part or in full within three weeks following the
official announcement of the financial results for the fourth quarter of 2019,
first quarter of 2020 and second quarter of 2020.

Pursuant to the grant, a entitled employee in said share option program has
exercised a total number of 50,000 of said options. The Company has resolved to
settle the economic value of the exercised options through transfer of shares
held in treasury and has therefore initiated the transfer of 12,291 treasury
shares to the employee as settlement of the exercised options. None of the
shares have been delivered to primary insiders. After the transaction, the
Company will hold 1,885,119 treasury shares.
