today that it has entered into an agreement and plan of merger (the “Merger
Agreement”) with Höegh LNG Partners LP (the “Partnership”). Pursuant to the
Merger Agreement and consistent with Höegh LNG’s desire to retain its ownership
interests in the Partnership and its general partner, Höegh LNG will acquire by
merger (the “Merger”) all of the outstanding common units representing limited
partner interests of the Partnership not already owned by Höegh LNG in exchange
for $9.25 in cash per common unit (the “Merger Consideration”). The Merger
Consideration represents an increase of $5.32 (135.4%) per common unit when
compared to the closing price per common unit of $3.93 on 3 December 2021,
immediately prior to Höegh LNG’s initial offer, and a premium of $2.40 (35.0%)
to the $6.85 closing price per common unit on 24 May 2022 and a premium of 39.2%
to the volume weighted average price of the Partnership’s common units for the
30-trading day period ended 24 May 2022. Pursuant to the terms of the Merger
Agreement, the Partnership’s outstanding preferred units will be unchanged and
remain outstanding by virtue of the Merger.

The Merger is expected to close in the second half of 2022 and is subject to
approval of the Merger Agreement and the transactions contemplated thereby by a
majority of the outstanding common units of the Partnership and certain
regulatory filings and customary closing conditions. Upon the closing of the
Merger, the common units will cease to be publicly traded.

Credit Suisse International and Morgan Stanley & Co. LLC acted as financial
advisors and Kirkland & Ellis LLP acted as legal counsel to Höegh LNG.

The FSRU contract with AIE has a term of 15 years with early termination options
for AIE after year 5 and 10. AIE is entitled to time the start-up of the
contract between 2023 and 2025, depending on AIE’s requirements.

Agreement and Plan of Merger (the “Merger Agreement”), dated as of 25 May 2022,
by and among Höegh LNG, Hoegh LNG Merger Sub LLC, the Partnership and Höegh LNG
GP LLC, and the merger contemplated thereby (the “Merger”). Pursuant to the
Merger Agreement, Höegh LNG has agreed to acquire all of the outstanding common
units of the Partnership (other than those held by Höegh LNG) for $9.25 per unit
in cash. The consideration to be paid by Höegh LNG will be funded in full
through an equity capital contribution from Höegh LNG’s sole shareholder.

The Merger is expected to close on or about 23 September 2022.

German Federal Ministry for Economic Affairs and Climate Action (the
“Charterer”). The floating storage and regasification unit (FSRU) Hoegh Gannet
is allocated to the contract. The vessel will be located at the Elbehafen LNG
project in Brunsbüttel operated by Deutsche Energy Terminal GmbH. The Elbehafen
LNG project is developed by RWE and its subsidiary Elbehafen LNG in close
cooperation with its partners Höegh LNG.

long-term contracts in Germany. The new loan facility agreement is for a total
amount of USD 685 million and has a tenor of 10 years. The loan amount will be
applied to repay the existing loan facilities and general corporate use. The
facility is split in two tranches, one per vessel. Subject to customary closing
conditions being fulfilled, Höegh LNG expects to complete the refinancing of
Höegh Esperanza in February. The refinancing of Hoegh Gannet is expected to be
completed March/April, depending on having successfully completed its
commissioning for regas operations in Germany.
