A webcast presentation of the interim report will be held by Vince Graziani,

Last year we focused on laying the foundation for biometric smart cards at
scale, advancing our position as a full solution company with the introduction
of IDEX Pay and IDEX Access, based on our scalable biometric platform.

This quarter, while we continue to engage with new potential customers, our
primary focus has been to support our pipeline of committed customers worldwide
as they complete their certifications and prepare for biometric card launches on
the IDEX Pay solution. As a result, we saw our first IDEX Pay card launches
coming to market, providing customers with highly secure and frictionless
payment experiences.

Several of our card manufacturers and partners across the globe are currently in
the process of commercializing their biometric solutions.

With IDEX Pay and IDEX Access, we have strong competitive platforms in the
market. The increasing need for better security solutions is expected to drive
the opportunity for biometric smart cards at scale. IDEX is committed to
propelling this market together with our strong card manufacturing partners and
by leveraging our implementation programs, reaching various segments of these
massive populations in our target markets.

Yesterday, after market close, IDEX successfully conducted a private placement
of 33.3 million shares at NOK 1.65 per share, compared to the closing price NOK
1.75 per share. The placement raised gross proceeds of NOK 55 million or USD
5.1 million. The subscribers will in addition receive one warrant at NOK 1.65
per share subscribed to. The board will also propose a subsequent rights
offering (repair issue) of up to 8.0 million shares on the same terms as in the
private placement.

Mr. Morten Opstad to continue for the second year of his term, in the role of
chair of the board. Ms. Annika Olsson and Ms. Adriana Saitta to continue as
board members for a period of two years.

The nomination committee proposes that the nomination committee shall be elected
as follows:

Mr. Håvard Nilsson is reelected as member of the Nomination Committee for a term
of two years. Mr. Robert N. Keith continues as chair of the Nomination Committee
for the second year of his term. Mr. Harald Voigt continues as member of the

The nomination committee proposes that the board remuneration and remunaration
to the nomination committee from the date of the 2023 Annual General Meeting

By inadvertence, the announcement contained a slight error in the allocation of
private placement shares between Tranche 1, as issued by the Board pursuant to
an authorization to issue shares granted by the extraordinary general meeting
dated 21 December 2023, and Tranche 2, to be issued subject to approval by an
extraordinary general meeting to be called and scheduled for on or about 12 June
2024.

The correct number of Tranche 1 shares is 27,940,213, and the correct number of
Tranche 2 shares is 5,393,120, each having a par value of NOK 0.15, with a
subscription price of NOK 1.65 per share in the private placement. Consequently,
following the issuance of Tranche 1 shares, the Company’s share capital is

Item 6 on the agenda, Board, was withdrawn because the nomination committee had
not put forward any proposals.

All other resolutions were passed as proposed by the board, with an update as
regards dates in item 4 on the agenda, Subsequent offering.

At agenda item 3, Private placement; Issue of Tranche 2 shares, the
extraordinary general meeting resolved to issue 5,393,120 shares at NOK 1.65 per
share in Tranche 2 of the private placement on 15 May 2024. Following the issue
of the Tranche 2 shares, the Company’s share capital is NOK 47,018,983.20
divided into 313,459,888 shares each with a nominal value of NOK 0.15 per share
and issued in name.

The change of dates at agenda item 4, Subsequent offering, was caused by the
Norwegian Financial Surveillance Authority’s approval schedule for the
forthcoming prospectus. Paragraph 4 of the resolution on agenda item 4 reads:
The subscription period for the Subsequent Offering will commence on 22 August
2024 and end on 5 September 2024 at 16:30 hrs (CET) or at such later date as
determined by the Board, but not later than commencing 23 September 2024 and
ending on 7 October 2024. In the event that the Prospectus related to the
Subsequent Offering has not been approved by the FSA by the end of 21 August
2024, the subscription period will commence on the first trading day on Oslo
Børs following FSA approval and no later than 23 September 2024 and end at
16:30 hrs (CET) 14 calendar days later. The more detailed criteria for
subscription will be determined by the Board and described in the prospectus.

At agenda item 5 Issue of warrants, the extraordinary general meeting resolved
to issue warrants to investors participating in the Private Placement (both
Tranche 1 and Tranche 2) and the Subsequent Offering. The number of warrants
which may be issued shall be one warrant for each share subscribed for and
allocated in the Private Placement or the Subsequent Offering. The exercise
price is NOK 1.65. The maximum number of warrants that may be issued is
41,333,333.
