its intent to grant Lifecare a new patent.

Lifecare will review the examining division’s comments to the patent
application and respond to the EPO for their final review and granting of the
patent. Lifecare expects the EPO to announce the granting of patent within the
next 6 months.

The present application relates to chemistry compositions, in special active
fluid compositions which may be used in glucose sensor systems, for example a
glucose sensor which relies on osmotic pressure as sensing principle. The
chemistry composition is a fundamental addition to Lifecare’s
Sencell-technology and an important part for Lifecare’s further development
and commercialization.

• In light of existing and granted patents for Lifecare’s sensor technology,
  this will strengthen our commercial position for accurate and continuous
  monitoring of glucose, for people with diabetes, says CEO Joacim Holter.

This new patent will strengthen Lifecare’s technology protection until 2037.

• Existing continuous glucose measurement technologies are inconvenient,
  complicated, costly, and have limited lifetime. The Sencell system together
  with the active fluid composition according to the invention has advantageous
  effect on sensor lifetime, measurement response time, and measurement
  sensitivity, says Lifecare CSO, Prof. Dr. Dr. Med. Andreas Pfützner.

operational update.

Lifecare completed Q3 with many important technology and operational
achievements. The Company is shifting focus from conducting research and
development to focusing on production preparations, industrialization and
finally commercialization of the Company’s sensor technology.

The main strategic goal for the Company is to initiate automated production
and product-launch in 2024. Achieving these goals requires focused investments
in production preparations, including production equipment. On this basis the
Lifecare Group priorities have reduce the capacity to provide third-party
services from the Group entities in Germany, and the Group revenues YTD Q3
2023 ended at 6,41 MNOK, in comparison to 15,43 MNOK YTD Q3 2022.

At the same time the Group R&D operations with preparations for production
drive the salary and personal costs, while other operating costs are in line
with forecast and expectations. Lifecare’s result per Q3 2023 was --21 MNOK.

• As we approach the initial production phase it is needed for us to invest in
  production preparations and production set up. This trend will continue as
  planned, until our first automated production line is ready by the end of Q2
  2024 - paving the way for commercial production, says Joacim Holter, Lifecare
  CEO.

Despite reduced revenues, the Group’s equity and cash position is strengthened
compared to the end of Q3 2022, not taking the recent capital increase taken
into account. The capital increase completed in October further strengthens
the Equity and Cash Position.

On the operational level Lifecare has met several objectives in Q3, in
accordance with the roadmap presented in previous investor communication. The
most important achievements include the approval from the regulatory
authorities to start the next study and placing order for software for
automated production.

Furthermore, the Company confirmed that prototype sensors reached an
operational lifetime of more than 24 weeks (172 days), including a sensor
chemistry shelf life of almost 27 weeks (187 days). These results from a
longevity in-vitro experiment confirms that Lifecare’s technology has a
superior operational longevity compared to existing needle based CGM sensors,
as well as an encouraging stability of the chemistry used in the sensor.

• We are very satisfied with the development throughout Q3 2023, both
  technical and operational. We are especially excited about the longevity
  experiment. The results validate the potential of Sencell to provide long-term
  and accurate glucose monitoring for people with diabetes, while reducing the
  need for frequent sensor replacements, says CEO Joacim Holter.

successfully audited as part of the upcoming ISO 13485 certification.

Reference is made to Lifecare’s list of trigger events, as presented at the
semi-annual report of August 20th, 2023, and later investor communication. The
launch of an automated production line at Lifecare Laboratory by end of Q2
2024 is set as a major milestone, and on this basis the company aim to launch
the first product in the veterinary market mid 2024.

Last week, the ISO 13495 audit was conducted, and finalized, at Lifecare
Laboratory. The purpose of the audit was to review Lifecare’s Quality
Management System in context of ISO 13485. The audit was concluded without any
major findings, and consequently Lifecare Laboratory will be recommended for
ISO 13485 certification.

Lifecare expect the ISO 13485 certificate will be issued early in 2024. This
progress is in accordance with the current list of communicated trigger
events. - Passing this milestone is a very important achievement for Lifecare,
The Lifecare QMS-team in Bergen and Mainz has worked dedicatedly and
systematically towards this goal and has proven their high standards,
dedication and progress when it comes to quality management. This is
confirming a solid fundament for our continued work on regulatory processes,
says CEO Joacim Holter at Lifecare.

ISO 13485 is a Quality Management System specific to medical devices and
covers the entire life cycle of a device, from design and development to
production, installation, and servicing. - Safety and quality are
non-negotiable in the medical devices industry, that’s why we decided to
certify for the ISO 13485, says Senior QMS Manager Barbora Tencer.

According to the International Organization for Standardization (ISO)
regulatory requirements are increasingly stringent throughout every step of a
product’s life cycle, including service and delivery. Increasingly,
organizations in the industry are xpected to demonstrate their quality
management processes and ensure best practice in everything they do. This
internationally agreed standard sets out the requirements for a quality
management system specific to the medical devices industry.

Lifecare Laboratory was ISO 9001 certified in April 2023. To be also be
compliant with ISO 13485 is an important step on the route towards Lifecare’s
ultimate goal; product CE mark necessary to enter the market with a medical
device for humans.

• It is vital for the integrity of the production of Sencell Continuous
  Glucose Monitor, and later commercialization of the product, that our Quality
  Management System are certified. We depend on the trust from the market and
  patient groups, that our processes meet international quality standards. It is
  therefore very motivating to successfully complete the ISO 13485 audit in
  accordance with the planned and communicated timeline. This is solid
  confirmation that Lifecares operations are compliant with the standards
  necessary to develop and produce medical devices. Lifecare will continue to
  improve our standards and quality systems to ensure regulatory compliance in

Carl Zeiss AG.

Reference is made to Lifecare’s list of trigger events, as presented at the
semi-annual report of August 20th, 2023, and later investor communication. The
launch of an automated production line at Lifecare Laboratory by end of Q2
2024 is set as a major milestone.

In order to achieve this, the company now has placed the purchase order for
the highly advanced and precise Zeiss XB350 electron microscope. The
microscope is especially suitable for the purpose of Lifecare and the setup of
the automated production line next year.

• This decision on the Zeiss XB350 is based on a comparison of diverse SEM
  suppliers. Based on pre-work that has been performed recently Lifecare is
  convinced that Zeiss offers the best SEM system solution in terms of reliable
  high-tech machinery, good support service, and availability of dedicated
  hardware and software solutions to enable Lifecare the automated batchwise
  production of Sencell sensors, says CSO Prof. Andreas Pfützner at Lifecare.

The purchase of the Zeiss microscope also coincides with communication from
Lifecare on October 2nd when the company announced the purchase of software
for automated production from Carl Zeiss IQS Deutschland GmbH.

The SEM is considered a key component to manufacture Lifecare’s unique sensor
for Continuous Glucose Monitoring applying osmotic pressure as the sensing
principle. . Sophisticated 3D-printing processes carried out in a SEM enables
Lifecare to obtain the precision necessary to apply pressure sensing elements
of a size as small as 40 nanometers (one nanometer corresponding to a
millionth of a millimeter).

• The Scanning Electron Microscope with customized software is essential for
  our transition towards the industrial phase. Next year, the microscope will be
  used to reach our goals of pilot production in Q1 and automated production in
  Q2. The next step in our preparations will be to order nanofluidic dispensing
  machines to fill our reactive chemistry composition - developed at our entity
  Lifecare Chemistry Ltd in Bristol (UK) - to the sensors, says CEO Joacim

Company’s automated production has been met as Lifecare has placed the
purchase order for a BioScaffolder ("BS 3.3) and a customized Nano-Plotter
(“NP 2.1”) from the German supplier GeSiM mbH.

This purchase order is in alignment with Lifecare’s planned progress roadmap
towards automated production by end of Q2 2024, and consequently product
launch in the veterinary marked. With reference to Lifecare’s previous market
communication (stock exchange notifications November 20th and 28th, 2023), the
order of BS 3.3 and NP 2.1 concludes the Company’s plan to order production
equipment for automated production in Q4 2023. Lifecare can now successfully
conclude the roadmap progress as presented at the Company’s semi-annual report
of August 20th, 2023, and later investor communication.

The BS 3.3 and NP 2.1 will be essential tools for the automated process of
filling Lifecare’s proprietary and patented glucose-reactive chemical solution
in the nanosized chambers of the sensors, as well as applying the nano-porous
membranes to seal the chambers after filling.

FINAL MAJOR PURCHASE ORDER
During the past year, Lifecare has carried out the necessary studies and
experiments that prove the Sencell sensor’s sensitivity and longevity. Quality
management systems have been established through compliance with ISO 9001 and
ISO 13485 and the company has recruited highly qualified key personnel for
production preparations. Placing this purchase order concludes Lifecare’s core
preparations to reach the goals to initiate pilot production in Q1 and
automated production Q2 2024.

• Following the successful conclusion of our clinical study in May 2023, the
  whole organization has worked focused on production preparations, and we have
  achieved a number of important technical and practical milestones. While some
  achievements might seem of minor importance on an individual base, the
  totality of our achievements and preparations in 2023 are nothing less than
  amazing, says CEO Joacim Holter at Lifecare.

• This is our final major investment of production equipment related to the
  automated production. We are now ready to start 2024 better prepared than

The transaction is related to financial needs due to a restructuring of IV and

Scientific Officer (CSO) will be adjusted from an consultancy agreement to an
employment agreement.

Since 2013, Prof. Dr. Dr. Med. Andreas Pfützner has been engaged in the role
of CSO in Lifecare. The professional relationship has so far been based on a
management-for-hire contract through his wholly owned and controlled company
Islay Ventures GmbH (“IV”). Aligned with Lifecare’s long term strategy, Prof.
Pfützner will now act as the Company’s CSO based on an employment
relationship, with effect from January 1st, 2024.

Prof. Pfützner is a highly recognized diabetologist and runs a diabetes
research institute co-located with Lifecare Laboratory GmbH in Mainz, Germany.
Prof. Pfützner has more than 30 years of experience with development of
medical devices and products primarily related to diabetes and diabetes
technology. He is a teaching professor at DTMD University in Luxembourg and
the University of Bingen, Germany.

For many years, Prof. Pfützner has been an attractive and sought-after speaker
at highly recognized and professionally relevant arenas. This naturally has
positive ripple effects for Lifecare and has also opened the doors to academic
circles, which have been of great benefit to the Company.

• Prof. Pützner has had a very important position at Lifecare for a decade and
  will permanently continue to do so. While the formal adjustment into an
  employment agreement implies no practical changes in the daily business of the
  Company and our projects, it indicates an even stronger commitment of the CSO
  and we are very pleased to conclude the formal connection into an employment
  relationship. This adjustment is in line with Lifecare’s long term strategy
  and not least secure the base of essential key personnel, says Joacim Holter,

Tony James is professor of Chemistry at the University of Bath and Fellow of
the Royal Society of Chemistry. He has received the Daiwa-Adrian Prize for
developing scientific links with Japan, the CASE Prize for establishing
scientific networks with China, the MSMLG Czarnik Award, the Frontiers in
Chemistry Diversity Award and a Royal Society Wolfson Research Merit Award. He
is also listed by Clarivate as a Highly Cited Researcher in Chemistry.

– Tony James has an outstanding academic record. He has published over 470
publications, including three books, 10 book chapters and 457 papers in
international peer reviewed journals. Professor James is also the named
inventor on 30 international patents and has delivered 266 invited lectures
within the UK and internationally. He is a remarkable asset for Lifecare,

One year ago, we communicated Lifecare’s focus in 2023 to continue the core
product development, achieve ISO 9001 and ISO 13485 certifications and
production preparations. Furthermore, we disclosed the intention to initiate
new development projects.

The entire Lifecare organization has executed the core development focus and
preparations in accordance with the communicated plan. Lifecare’s share price
development of +146.7% throughout the year is a confirmation that this
execution was well received by the market. Lifecare was by far the best
performing healthcare stock, and the overall 5th best performing stock at Oslo
Stock Exchange in 2023.

In 2023 Lifecare passed several company milestones and development events of
which we want to highlight:

Technology development

• Finalization of our first Clinical study (LFS-SEN-001), providing a clear
  Proof of Concept in humans.
• In addition, the data from LFS-SEN-001 confirmed that Lifecare’s sensor
  technology has an accuracy of MARD 9,7%. This result indicates a sensitivity
  in line with the regulatory “gold standard”, hence clinical decisions can be
  based on the Lifecare Sencell CGM.
• Lifecare’s laboratory experiments (in-vitro) confirmed that an operational
  lifetime of minimum 6 months can be expected.
• The European Patent Office communicated its intentions to issue a new patent
  to Lifecare.
• Representatives from the Lifecare Group have published several publications
  and presentations in various journals and global diabetes technology
  congresses throughout the year.

Regulatory compliance

• Our German main site Lifecare Laboratory GmbH was ISO 9001 certified in
  March 2023.
• In November 2023 Lifecare Laboratory was successfully audited under the ISO
  13485 standards. The formal certification is expected in January 2024.
• The Norwegian Food Safety Authority issued regulatory approval for
  LFS-SEN-002 longevity study.
• The Norwegian Medicines Agency confirmed that Lifecare’s microchip
  nanosensor is considered as a medical device in the veterinary market and
  consequently that Lifecare’s Sencell CGM will not be subject to any specific
  regulatory requirements for veterinary use.

Product and production development

• In April 2023 Lifecare signed a lease agreement for 1000 sqm production and
  laboratory premises in Mainz where the company’s main production facility
  will be located.
• In May 2023, Lifecare launched Lifecare Veterinary to manage veterinary
  product development, and prepare product launch in the veterinary market.
• From Q2 2023 Lifecare has focused on transforming the company and the
  technology towards automated production and market launch in the veterinary
  market.
• In Q4 2023 Lifecare has placed several orders for advanced production
  equipment essential for the automated production planned to be ready by the
  end of Q2 2024.
• In September and November 2023 Lifecare reported progress relating to the
  company’s Product Development Agreement with Sanofi.

Company development and valuation
Throughout 2023 Lifecare have continued to strengthen the organization with
additional human resources, including key personnel for transformation of the
company towards production and commercialization.

In October 2023 Lifecare successfully closed a capital increase of 42.5 MNOK
ensuring financing to bring the company into the production and product ready
phase. The capital increase led to a company market cap of 337.5 MNOK.
In November 2023, Lifecare published a commissioned technology valuation
report from the Danish Life Science Valuation company Xplico. The report
concludes that Lifecare’s technology have a risk-adjusted Net Present Value of
247 MEUR.

However, while we look back on 2023, we can conclude that the actual trading
price increased with 146.7%, and the market cap of Lifecare increased with
276% to 600 MNOK throughout the year. The share price increase positioned
Lifecare as the best performing healthcare stock and the overall 5th best
performing share at Oslo Stock Exchange in 2023.

Exciting year coming up
The main focus for 2024 is to continue the transformation towards marked
readiness based on establishing automated production by end of Q2 2024. On
this basis we aim to launch our first product in the veterinary market in
2024, as well as to initiate our longevity study in dogs (LFS-SEN-002) and our
next clinical study (LFS-SEN-003). The clinical study LFS-SEN-003 will be the
first of a sequence of activities specifically aimed towards obtaining the CE
mark for launch in the humane market.

In parallel with the production and product preparations we will intensify our
efforts to take advantage of our technology’s platform potential. We aim to
exploit product potential in new markets, including sensing and/or monitoring
of analytes beyond glucose. It is likely that our veterinary initiative will
play a major role in the additional business developments.

The Lifecare Group is better positioned than ever before as we prepare to
execute on our mission to make life for patients and pets with diabetes
easier, better, and more predictable.

received the official documentation for ISO 13485 certification.

Reference is made to Lifecare’s stock exchange notification 27th of November
2022 when the ISO 13495 audit was conducted, and finalized, at Lifecare
Laboratory. This progress is in accordance with the current list of
communicated trigger events.

ISO 13485 is a Quality Management System specific to medical devices and
covers the entire life cycle of a device, from design and development to
production, installation, and servicing. Lifecare’s ISO 13485 certification
covers “Development services for manufacturers of medical devices such as CGM
devices”.

Lifecare’s ultimate goal to enter the human market is product CE marking.
Lifecare has now received ISO 9001 and ISO 13485 certification and thus signed
off on two essential steps on the way to product CE mark.

• This was expected, but still incredibly gratifying to receive the
  confirmation that we are ISO 13485 certified. This is of course a very
  important step for the company and the organization. I can repeat that I am
  deeply impressed by how our QMS team in Bergen and Mainz have driven this
  process forward and finally received the final documentation of their
  dedication and high standards when it comes to quality management. This
  confirms a solid fundament for our continued work with regulatory processes,
  says CEO Joacim Holter at Lifecare.

• Safety, compliance and top-class quality are our unwavering guidelines in
  our market for medical devices. One thing is that there are demands from the
  authorities, but ISO certification also means something for the professional
  integrity of the employees, but also for the credibility of the company, says
  Senior QMS Manager Barbora Tencer.

According to the International Organization for Standardization (ISO)
regulatory requirements are increasingly stringent throughout every step of a
product’s life cycle, including service and delivery. Increasingly,
organizations in the industry are expected to demonstrate their quality
management processes and ensure best practice in everything they do. This
internationally agreed standard sets out the requirements for a quality
management system specific to the medical devices industry.

In November CEO Joacim Holter commented on the successful audit. - It is vital
for the integrity of the production of Sencell Continuous Glucose Monitor, and
later commercialization of the product, that our Quality Management System are
certified. We depend on the trust from the market and patient groups, that our
processes meet international quality standards. It is therefore very
motivating to successfully complete the ISO 13485 audit in accordance with the
planned and communicated timeline. This is solid confirmation that Lifecares
operations are compliant with the standards necessary to develop and produce
medical devices. Lifecare will continue to improve our standards and quality
systems to ensure regulatory compliance in our upcoming operations.

Kaarvik joins Lifecare from the position as Global Finance Officer at Grieg
Seafood ASA, a position she has held for close to six years.

Lifecares main operational focus is to establish automated manufacturing by
end of Q2 2024, including preparations for market launch in the veterinary
market. As part of the company’s growth strategy, the Board of Directors wish
to strengthen the company’s executive management with focus on financial
management and strategy. In addition to the expectation of increased
commercial activities that will bring the company into a new phase, the Board
of Directors wish to explore the potential of uplisting Lifecare to Oslo Børs
Main Market.

competence and experience to the Lifecare Group. During the last year we have

Group Controller, Compliance Officer and Finance Manager positions in Mowi ASA
and Marine Farms ASA, as well as Manager and Senior Associate positions in

Advisory Services and Auditing. Furthermore, Kaarvik’s professional experience
also include Senior Associate, Project Manager and Associate positions within
private equity at HitecVision Private Equity and Arthur Andersen (Portugal).
