Reference is made to the stock exchange announcement made by Nordic Nanovector ASA (âNordic Nanovectorâ or the âCompanyâ) on 28 June whereby it was disclosed that the Companyâs annual general meeting resolved (the âAGMâ), among other things, an extraordinary compensation to the Companyâs former chairman of the board of directors, Jon Magne Asmyr, and former board member Tina Bønsdorff, with settlement in the form of new shares in the Company, and the approval of a restricted share units program.
Pursuant to a board authorization granted by the AGM which was registered in the Norwegian Register of Business Enterprises on 30 June 2023, the Companyâs board of directors has today resolved to issue 734,205 new shares in the Company towards the two former board members, of which 229,345 new shares have been issued to Tina Bønsdorff at a subscription price of NOK 0.71944 and 416,990 new shares have been issued to Jon Magne Asmyr at a subscription price of NOK 0.71944, and 87,870 shares have been issued to Jon Magne Asmyr at a subscription price of NOK 2.27607. The share deposit for the new shares have been settled by conversion of debt established by the AGM.

At the AGM, the shareholders approved the remuneration to the Companyâs current board of directors whereby the board members were given the choice to receive their remuneration, or a part thereof, for the period from the AGM to the annual general meeting of 2024, in the form of restricted share units (âRSUâ), as a part of the Companyâs RSU program.
Each board member had the following three alternatives:
⢠Receive 100 % of the board remuneration in the form of RSUs;
⢠Receive 1/3 of the board remuneration in cash and 2/3 in the form of RSUs; or
⢠Receive 2/3 of the of the board remuneration in cash and 1/3 in the form of RSUs.
The board members have chosen to receive 100 % of their board remuneration in the form of RSUâs, with a subscription price of NOK 0,71944, as resolved by the AGM, with the allocation set out below:
- Ludvik Sandnes, chairman of the board of directors, has been granted 486,489 RSUs;
- John Andersen Jr., board member, has been granted 416,991 RSUs; and
- Mimi Kristine Berdal, has been granted 416,991RSUs.
The number of RSUs allocated to each board member has been determined based on the NOK value for the RSU-selected portion of the total compensation for the board member, divided by the subscription price of NOK 0,71944.
The exercise of the RSUs is subject to, among other things, the respective board member being a part of the board of directors following the ordinary general meeting of 2024.
