Nordic Financials: update possible investment

With reference to stock exchange message released 3 July regarding a possible investment in 1x Technologies. As previously described the investment was subsequent to right of first refusal (ROFR) from existing shareholders in 1x Technologies. The period for use of this right expired yesterday, and all shares subscribed by Nordic Financials were exercised through the ROFR from existing shareholders. Consequently Nordic Financials will not purchase any shares in 1x Technologies this time.

In July, the company completed a successful share issue that raised NOK 30 million in new equity. Investments under the renewed strategy have been initiated, and both testing and screening of opportunities with financial and more industrial character have begun.

After the end of the quarter, a reverse split of 175:1 was carried out in accordance with Oslo Stock Exchange rules, and the company’s ISIN has been changed. The company has participated as an underwriter in a successful share issue, and made one industrial and one financial investment of limited, but not insignificant size. We also had a planned share purchase fall through due to pre-emption rights held by existing shareholders.

With a strengthened capital structure, disciplined operations, and a growing pipeline of potential investments, we are well positioned to execute on our strategy in the months ahead. I look forward to keeping you updated as concrete results materialise.

I juli gjennomførte selskapet en vellykket emisjon som tilførte 30 millioner kroner i ny egenkapital. Investeringer under den fornyede strategien er igangsatt, og både testing og screening av muligheter med finansielle og mer industrielle karakter er igangsatt.

Etter kvartalslutt er det gjennomført en omvendt splitt i forholdet 175:1 i tråd med Oslo Børs’ regler, samt at selskapets ISIN er endret. Selskapet har deltatt som garantist i en vellykket emisjon, gjort én industriell og én finansiell investering av begrenset, men ikke ubetydelig størrelse. Vi har etter kvartalsslutt også hatt et planlagt aksjekjøp som bortfalt som følge av forkjøpsretter hos eksisterende aksjonærer.

Med en styrket kapitalstruktur, disiplinert drift og en voksende pipeline av potensielle investeringer står vi godt posisjonert for å gjennomføre strategien vår i månedene som kommer. Jeg ser frem til å holde dere oppdatert etter hvert som konkrete resultater materialiserer seg.
