the last sentence implies that the Competition Authority will use the whole given time for the assessment. So the announcement can come on Friday evening or Monday morning.

What does it mean that as of 11.09.2023 Voleon Capital Management LP has 6,515,869 shorted shares in NAS? does this mean that Valeon has borrowed and immediately sold these amaout of shares and now is buying back to return them to the lender OR Valeon can sell this amount of shares when it wants (i.e. Valeon can even borrow and not sell them)?

Update on regulatory approval relating to the transaction agreement to acquire Widerøe

Reference is made to the stock exchange announcements dated 6 July 2023 on the agreement by Norwegian Air Shuttle ASA (“Norwegian”) to acquire Widerøe AS (“Widerøe”).

The Norwegian Competition Authority (“NCA”) has today notified Norwegian that it will continue its review (“Phase II”) of the proposed acquisition of Widerøe by Norwegian. The NCA will now continue with its assessment into the potential effects of the proposed transaction to determine whether it is likely to significantly impede effective competition. The NCA has until 17 November 2023 to present its preliminary view for the parties’ comments. The final deadline for the NCAs review will expire on 3 January 2024. The NCA may however at any stage during its continued review close its investigation if it finds that the criteria for intervention are not met. Both Norwegian and Widerøe will continue to cooperate closely with the NCA and provide all relevant information in order to have the transaction approved as soon as possible.

Norwegian Air Shuttle ASA (NAS) - Conversion of New Capital Perpetual Bonds - New share capital registered

Reference is made to the Norwegian Air Shuttle ASA (the “Company”) FRN perpetual subordinated convertible bond loan with ISIN NO 0010996440, ISIN NO 0010996432, ISIN NO 0011157331 and ISIN NO 0011157356 in the outstanding amount of NOK 1,523,164,987(the “New Capital Perpetual Bonds”).

The Company has received conversion notices from bondholders representing NOK 395,440, which pursuant to standard terms set out in the bond terms are convertible into 42,112 new shares in the Company.

Following the conversion, the Company has New Capital Perpetual Bonds in issue in the nominal amount of NOK 1,522,769,547. The remaining New Capital Perpetual Bonds may be converted into approximately 162.2 million shares in the Company at a conversion price of NOK 9.39, subject to anti-dilution provisions.

The Company’s share capital is increased by NOK 4,211.20 by issue of 42,112 shares. The capital increase pertaining to the conversion of the New Capital Perpetual Bonds has today been registered in the Norwegian Register of Business Enterprises (Nw.: Foretaksregisteret). The Company’s new share capital is NOK 96,156,369.40 divided into 961,563,694 shares, each with a nominal value of NOK 0.10.

Issuance of the new shares in the VPS is expected to take place later today.
