Successful placement of a senior unsecured bond tap issue

Ocean Yield AS (“Ocean Yield” or the “Company”) has successfully completed a tap
issue of NOK 300 million of the Company’s outstanding senior unsecured bond
issue due 19 September 2028 with ISIN NO0013013813 (the “2028 Unsecured Bonds”).

Total outstanding amount under the 2028 Unsecured Bonds following the tap issue
is NOK 1,050 million. The tap issue was priced at 103.125% of par, implying a
margin of approximately 2.75% above the relevant reference rate. Net proceeds
from the tap issue shall be applied towards general corporate purposes.

The unsecured bonds issued in the tap issue will trade under a separate ISIN
(NO0013501767) until a tap issue prospectus has been approved and the bonds can
be merged with the existing 2028 Unsecured Bonds.

Arctic Securities and Nordea acted as Joint Bookrunners in connection with the
placement of the tap issue. BAHR acted as legal advisor to the Company.

Investment in two Suezmax tankers with long term charters

delivered to Ocean Yield during the second quarter. NAT is a leading crude
tanker company listed on the New York Stock Exchange with a fleet of 21 Suezmax
tankers.

CEO Andreas Røde said in a comment: “We are pleased to conclude another
transaction with NAT, reflecting the strong relationship between our two
companies. We have a long track-record of growing with our partners, and we are
pleased to continue to support NAT with its fleet growth and renewal.”

The transaction will add approximately USD 90 million to the Company’s
EBITDA backlog.

the original bond issue with ISIN NO0013177188. The Financial Supervisory
Authority of Norway has on 31 March 2025 approved the prospectus with appendices
covering listing of the additional bonds on the Oslo Stock Exchange.

The Bond Trustee has now been informed that the Tap Issue has been approved by
the Financial Supervisory Authority of Norway. The bonds in the temporary ISIN
(NO0013501130) for the Tap Issue will therefore now be merged with the original
ISIN (NO0013177188) for this Bond Issue.

ISIN NO0013177188 shall be the surviving ISINs and the settlement for the merger
will have record date on 1 April 2025 and settlement date for merger on 3 April
2025.

Further,

Reference is made to the stock exchange notice of 3 March 2025 related to the
successful tap issue of NOK 300 million senior unsecured bond issue due 19
September 2028 (“OCY09”) with Tap Issue Date 10 March 2025 and temporary ISIN
NO0013501767 under the original bond issue with ISIN NO0013013813. The Financial

investment in Geogas LNG, which provided an indirect economic interest of 34% in
the French company France LNG Shipping (“FLS”).

Ocean Yield is pleased to announce that it has now agreed to purchase Access
Capital Partners’ share in Geogas LNG. The transaction will increase Ocean
Yield’s indirect economic interest in FLS from 34% to 45%.

FLS owns a portfolio of 12 LNG carriers on long-term charters to tier-one
investment grade-rated European energy companies and is 50/50 owned by NYK and
Geogas LNG. The fleet consists of 7 vessels on the water and 5 newbuildings,
with an average contract duration of 9 years, or 13 years including extension
options. The transaction will add approximately USD 250 million to Ocean Yield’s
EBITDA backlog. Closing of the transaction is expected to occur during the
second or third quarter of 2025, subject to certain customary conditions.

Chief Executive Officer Andreas Røde said in a comment: “We are pleased to
increase our exposure in France LNG Shipping and further grow our presence in
the LNG segment. FLS has proven to be a well-established and solid performing
platform, backed by industry-leading partners in NYK and Geogas Maritime, both
of which retain their shareholding and economic interest in FLS.”

Highlights

· EBITDA for Q1 2025 was USD 51.4 million and Adjusted EBITDA was USD 91.6
million.
· Net profit for Q1 2025 was USD 18.3 million.
· Strong balance sheet, with an equity ratio of 31.7% and USD 201.1 million in
available liquidity.
· Investment in two Suezmax vessels with long-term charters to Nordic American
Tankers Ltd.
· Increased investment in France LNG Shipping, which owns 12 LNG carriers,
from 34% to 45% economic interest.
· Amendment and extension of charter agreements for three Suezmax vessels on
long-term charters to Nordic American Tankers Ltd.
· During the quarter and post quarter end, the Company has taken delivery of
seven vessels, which all commenced long-term charters upon delivery.

· The EBITDA charter backlog at the end of Q1 2025 was USD 4.1 billion with an
