Ocean Yield AS (“Ocean Yield” or the “Company”) announces that Nordic Trustee AS
has today issued summons for written resolutions to the bondholders in the
Company’s bond issues OCY 11 (ISIN NO0013321364), OCY 12 (ISIN NO0013639062) and
OCY 13 (ISIN NO0013737098).

As announced on 2 July 2026, a subsidiary of A.P. Møller Holding A/S will
acquire 100% of the shares in Ocean Yield from funds managed by KKR. The
acquisition is being made through APMH Invest A/S (“APMH”), acting via its
subsidiary APMH Invest 45 ApS. Upon closing, APMH will indirectly obtain
Decisive Influence over the Company. The transaction is expected to close on or
around 21 August 2026.

The Company is requesting bondholders to approve APMH Invest A/S as an “Equity
Investor” pursuant to the relevant bond terms. For complete details, please

announces results for the second quarter and first half year 2026.

Highlights

EBITDA for Q2 2026 was USD 47.7 million and Adjusted EBITDA was USD 80.5
million.

Net profit for Q2 2026 was USD 25.0 million.

Continued robust balance sheet, with an equity ratio of 29.7% and USD 281.9
million in available liquidity.

Post quarter end, A.P. Møller Holding A/S (“A.P. Moller Holding”) and KKR
announced that they had signed an agreement under which a subsidiary of A.P.
Moller Holding will acquire 100% of Ocean Yield from funds managed by KKR.

Delivery of two newbuilding LR1 product tankers with long-term charters to
subsidiaries of Braskem Shipping and Trading B.V.

The EBITDA charter backlog at the end of Q2 2026 was USD 4.9 billion with an
average remaining contract duration of 11.1 years.

Ocean Yield AS (“Ocean Yield” or the “Company”) has mandated Arctic Securities,
Danske Bank, and DNB Carnegie as Joint Lead Managers to arrange a series of
fixed income investor meetings commencing today, Tuesday 18 August 2026.

A new USD-denominated perpetual callable hybrid bond issue may follow, subject
to inter alia market conditions.

The proceeds from the potential bond issue will be applied towards refinancing
of OCY10 and for general corporate purposes.

In connection with the contemplated bond issue, the Company will offer a
conditional buyback of the outstanding perpetual hybrid bond with ticker OCY10
(ISIN NO0013177188). Following the contemplated closing of the sale of Ocean
Yield to A.P. Moller Holding, the Company intends to call OCY10 at 101.00% of
par as per the bond terms.

Ocean Yield AS (“Ocean Yield” or the “Company”) has successfully completed a new
perpetual callable hybrid bond issue of USD 100 million, carrying a coupon of
SOFR + 350 bps p.a. with quarterly interest payments. The bond issue attracted
strong interest and was oversubscribed.

The proceeds from the bond issue will be applied towards refinancing of the
outstanding bonds with the ticker OCY10 (ISIN NO0013177188) and for general
corporate purposes.

In conjunction with the new bond issue, Ocean Yield has repurchased USD 14.8
million of OCY10. Ocean Yield now holds USD 95.2 million of OCY10 where the
total nominal outstanding amount is USD 110 million. As previously announced,
the Company intends to call OCY10 at 101.00% of par following the contemplated
closing of the sale of Ocean Yield to A.P. Moller Holding, as per the bond
terms.

Certain primary insiders and close associates have subscribed and were allocated
bonds in the bond issue.

Arctic Securities, Danske Bank, and DNB Carnegie acted as Joint Lead Managers in
connection with the placement of the new bond issue. BAHR acted as legal advisor
to the Company. An application will be made for the bonds to be listed on Oslo
Børs.
