Reference is made to the stock exchange announcement by Standard Supply AS (the “Company”) on 19 June 2025 regarding completion of a private placement through issuance of new shares (the “Private Placement”) and the stock exchange announcement by the Company on 26 June 2025 regarding registration of the share capital increase pertaining to tranche 1 of the Private Placement with the Norwegian Register of the Business Enterprises. To arrange for settlement of the Private Placement, the Company has previously entered into a share lending agreement (the “Share Lending Agreement”) with Arctic Securities AS (the “Settlement Agreement”) and S.D. Standard ETC PLC (“SDSD”).

Pursuant to the Share Lending Agreement and for the purpose stated above, SDSD lent out 938,631 new shares to the Settlement Agent in connection with settlement of tranche 1 of the Private Placement. Following registration of the share capital increase pertaining to tranche 1 of the Private Placement, SDSD has now received 938,631 new shares from the Settlement Agent pursuant to the Share Lending Agreement.

SDSD is a close associate of the Company’s Chairman of the Board, Espen Lundaas, and Board member Espen Landmark Fjermestad. This information is subject to the disclosure requirements pursuant to MAR Article 19 and Section 5-12 the Norwegian Securities Trading Act.

Standard Supply AS: Minutes from extraordinary general meeting – update on NFSA request

An extraordinary general meeting in Standard Supply AS (the “Company”) was held today, 8 July 2025, at 11.00 CEST in the offices of Advokatfirmaet CLP DA, Sommerrogata 13-15, 0255 Oslo, Norway.

All items on the agenda were resolved in accordance with the Board of Directors’ proposals, including approval of name change for the company to StandardCoin AS, however the resolution in item 5 was amended in accordance with a proposal from the Board of Directors presented in the general meeting. Please find attached a copy of the minutes from the general meeting.

Reference is made to the stock exchange announcement from Standard Supply AS (“STSU” or the “Company”) published on 19 June 2025 regarding the completion of a private placement through issuance of new shares (the “Private Placement” and the “New Shares”). Reference is further made to the resolution of an extraordinary general meeting of the Company held on 8 July 2025 to approve the share capital increase in connection with the second tranche (“Tranche 2”) of the Private Placement.

To arrange for settlement of the Private Placement, the Company has entered into a share lending agreement (the “Share Lending Agreement”) with Arctic Securities AS (the “Settlement Agreement”) and SDSD.

Pursuant to the Share Lending Agreement and for the purpose stated above, SDSD will lend out 542,850 new shares to the Settlement Agent in connection with settlement of Tranche 2 of the Private Placement. The share loan shall be settled by re-delivery from the Settlement Agent of New Shares in the Company following registration of the share capital increase pertaining to Tranche 2 of the Private Placement.

StandardCoin AS (Standard Supply AS): Share capital increase and new company name registered

Reference is made to the stock exchange announcement from Standard Supply AS (“STSU” or the “Company”) published on 19 June 2025 regarding the completion of a private placement through issuance of new shares (the “Private Placement” and the “New Shares”). Reference is further made to the resolution of an extraordinary general meeting of the Company held on 8 July 2025 to approve the share capital increase in connection with the second tranche (“Tranche 2”) of the Private Placement, as well as approval of the amendment of the Company name to StandardCoin AS and the amendment of the Company’s purpose to reflect the new business strategy.

The share capital increase in connection with Tranche 2 has now been registered with the Norwegian Register of Business Enterprises. The new share capital of the Company is NOK 33,587,440 divided into 3,358,744 shares, each with a par value of NOK 10. The new company name StandardCoin AS has also been registered with the Norwegian Register of Business Enterprises. In connection with the change of name, the Company expects to change its ticker symbol from “STSU” to “SCOIN”. Further information on the ticker change will be given in due course.
