Techstep has been the main provider of mobile phones and accessories to Oslo
Kommune for the past four years. In this new tender, Oslo Kommune emphasised
facilitation of complete mobile technology solutions, with focus on cost
efficiency and sustainability, which represents further opportunities for
Techstep compared to the previous frame agreement.

“Oslo Kommune has high ambitions of reducing their climate footprint through
more sustainable procurement practices and reduced consumption. For Techstep,
this is an important win as it confirms the relevance of our products, where
sustainability and circularity are central”, says CEO Børge Astrup in Techstep.

supplier of mobile technology solutions”.

Total contract value has a potential of up to NOK 480 million over a four-year
period, of which NOK 240 million relates to mobile phones and accessories in the
SmartDevice portfolio. The contract period is two years, with options for an
additional two years’ extension with annual renewal.

Techstep has been awarded the contract after a tender offering, and the
agreement is expected to be signed shortly after the closing date for submission
of complaints, due 21 June, 2023.

A total of 460,000 share options have been granted to primary insiders,
distributed as follows:

· Børge Astrup (CEO) has been granted 50,000 share options and following this
grant has a holding of a total of 500,000 share options
· Ellen Solum (CFO) has been granted 150,000 share options and following this
grant has a holding of a total of 150,000 share options
· Mads Vårdal (Chief Product Officer) has been granted 50,000 share options
and following this grant has a holding of a total of 199,738 share options
· Bartosz Leoszewski (Chief Technology Officer) has been granted 50,000 share
options and following this grant has a holding of a total of 84,065 share
options
· David Landeborn (Chief Delivery & Advisory Officer) has been granted 60,000

Each share option gives the right to purchase one share in Techstep ASA. The
share options will become exercisable (vest) with 1/3 yearly after the grant
date and must be exercised within five years. The exercise price is NOK 18.7 per
share.

To maintain the purpose of the share options incentive programme, the Board of
Directors have further decided a repricing of options previously issued with
vesting in 2024, 2025 and 2026, respectively. The repricing of existing options
is as follows:

· Options vesting in 2024: NOK 21.70
· Options vesting in 2025: NOK 25.60
· Options vesting in 2026: NOK 29.50

25 million and restructures the interest-bearing debt, increasing long term debt
by NOK 50 million with a 50/50 five-year amortisation and five-year bullet, in
addition to flexible short term credit facilities.

In addition, Techstep has entered into an agreement with Stobor Invest AB for
the conversion of all remaining seller’s credit owed to Stobor into shares in
Techstep. Upon completion of the conversion into shares, Techstep has no
outstanding sellers’ credits from previous acquisitions.

Together, this will give Techstep a solid and flexible financial position going
forward.

“These two transactions secure Techstep additional funding and financial
flexibility, which will support strategic priorities and growth opportunities in
the ongoing transformation”, says CFO Ellen Solum in Techstep ASA.

The outstanding seller’s credit amounted to NOK 14,427,855, which has been
converted from SEK 14,553,011 by using a NOK/SEK exchange rate equal to 0.9914.
The subscription price per new share in the conversion equals NOK 13.70 and the
total number of new shares being issued to Stobor is 1,053,128. The agreed
subscription price reflects the market price per share in Techstep minus a
discount due to the new shares being subject to certain lock-up restrictions in
a 12-month period following conversion.

Based on the above, the board of directors has resolved to issue 1,053,128 new
shares to Stobor at a subscription price of NOK 13.70.

Mulig nedgangen skyldes at noen selger pga. konverteringen av gjeld til aksjer (Stobor Invest AB), uten å ha fått med seg at det er 12 måneders lockup på disse aksjene?

Tror heller på at det er noen tar gevinst etter at de deltok i emisjonen. Også mye usikkerhet ifht drift og lønnsomhet i “nye” Techstep. Lar meg ikke overbevise før jeg kan se at den nye forretningsstrategien de har valgt begynner å bære frukter (lønnsomhet).
