Techstep to deliver ticketing solutions for Stockholm’s public transport system

Techstep, in collaboration with ISS Facility Management AB, has won a tender for
the delivery of ticketing solutions for Stockholm’s public transport system, SL.

Acting as a subcontractor to ISS, Techstep will deliver a customised mobile
technology solution to be used by the ticket inspectors. The solution comprises
mobile devices, own software, managed services and security, as well as tailored
development, alongside consultancy services during the implementation phase.

Techstep and ISS has together successfully provided ticketing solutions to SL
since 2013. This newly awarded contract replaces the existing agreement which
expires by the end of December 2024, and includes both additional users, devices
and services.

“We are very proud to earn the renewed trust of SL and help improving the public
transport experience for Stockholm’s travellers by delivering a cutting-edge
ticketing solution. This is a significant contract within the Swedish ticketing
segment, and strengthens Techstep’s position in an accelerating digitalisation

The total contract value is estimated to SEK 30 million over a four-year period,
featuring recurring revenues annualised of SEK 6.5 - 7.7 million and one-time
implementation revenues of SEK 1.5-2.5 million. The agreement also includes
options of potential extensions for an additional four years.

Grant of share options to primary insiders in Techstep ASA

To incentivise and retain key personnel, the option programme for 2024 will
include several key employees in addition to management. In total 1,800,000
share options have been granted, of which 990,000 to primary insiders,
distributed as follows:

· Morten Meier, CEO, has been granted 350,000 share options and following this
grant has a holding of a total of 350,000 share options
· Ellen Solum, CFO, has been granted 200,000 share options and following this
grant has a holding of a total of 350,000 share options
· David Landerborn, Chief Operating Officer, has been granted 200,000 share

Each share option, when exercised, gives the right to purchase one share in
Techstep ASA.

The share options will become exercisable (vest) with 1/3 yearly after the grant
date and must be exercised within five years from the grant date.

The strike price per share is NOK 8.75 (year 1), NOK 10.90 (year 2) and NOK
13.60 (year 3), respectively.

The terms of the 2024 share options programme were decided by the Board in
February 2024, but execution of the programme and formal allocation of grants
was postponed due to practical reasons. The grants are conditional and subject
to appropriate resolutions being approved by the Annual General Meeting to be
held on 27 May 2024.

services, while extending its reach into new and existing markets.

Consafe Logistics is a leading supply chain technology company, designing
warehouse management system and warehouse control system (WMS & WCS) to more
than 250 customers across various industries. Headquartered in Sweden, the
company has a footprint in more than 30 countries, including Scandinavia,
Poland, and the Benelux region. Consafe Logistics has decided to wind-down its
hardware sales business, including related support services, to focus solely on
supply chain software design.

Under the agreement, Techstep assumes responsibility for servicing approximately
130 existing customers and facilitating new device sales previously managed by
Consafe Logistics. This includes 10,000 active devices and service agreements
for ~2,200 devices. The hardware and services business represents an average
yearly revenue of SEK 45-55 million the last three years, with a potential to
deliver more capabilities and services from the Techstep portfolio. The
transition of services and customers to Techstep is free of charge, while
Consafe Logistics retains the right to a commission from hardware sales for a
limited time.

Techstep’s dedication to lifecycle management and circular economy influenced
the selection process, underscoring the company’s commitment to responsible and
sustainable business practices. This is a direct result of a new legislation
introduced in Norway from 1 January 2024, requiring climate and environmental
considerations to be weighted at least 30% in public tenders.

By leveraging its expertise in mobile technology solutions, Techstep will be
responsible for delivering, repairing and recycling mobile devices, as well as
giving the municipalities’ employees the tools for self-service through a modern
webshop to order and repair the devices and replace or buy them out in
compliance with Norwegian tax requirements.

preferred mobile technology partner for all type of municipal workers, from

Techstep wins large frame agreement with the Norwegian procurement agency Tradebroker

Techstep has won a frame agreement with the procurement agency Tradebroker for
delivery of mobile devices, accessories and related mobile and circular
technology services and solutions to their member organisations.

Tradebroker currently represents 83 large and medium-sized Norwegian companies
with close to 200,000 employees in public and private sector. Of these, 41
companies have already committed to procuring under this new frame agreement.
The volume of procurement will vary based on the individual calls made by these
members throughout the contract’s duration.

Techstep is the sole supplier on this frame agreement, which replaces a prior
frame agreement Techstep has shared with another supplier.

The award of the Tradebroker frame agreement is subject to a potential appeal
from other participants in the tendering process. The deadline for appeals is
set for 26 August 2024. Provided there are no delays due to an appeal, the
agreement will be effective from 1 October 2024. The contract will initially run
for three years, with an option to extend for an additional two years.
