SmartDevice is Techstep’s mobile device lifecycle solution including Techstep’s
own lifecycle handling software, online store, and self-service management
portal, as well as the option of purchasing mobile devices as-a-service at a
fixed monthly cost.

SmartDevice will help Stendi reduce its IT costs and complexity, in addition to
helping the company’s reach its sustainability goals by allowing for safe reuse
or recycling of their used mobile devices.

“Techstep has supplied Stendi with mobile devices for several years, and we are
pleased to see that they have now decided to evolve to our lifecycle management
solution, SmartDevice. We look forward to building on this progress and to

Techstep acquires cybersecurity SaaS company Crypho

capital of Crypho AS, an end-to-end encrypted enterprise software as a service
(SaaS) messaging and file-sharing application.

Crypho was established in Norway by security and cryptography specialists. The
company delivers secure end-to-end encryption, chat, file sharing and video
communication for organisations. Existing customers include segments such as law
enforcement, government, health and other private sector businesses.

Through its managed mobility solution “SmartControl”, Techstep provides
enterprises with mobile security. Crypho’s end-to-end encrypted messaging and
file-sharing complements Techstep’s existing offering and delivers features
relevant to any organisation.

“With the acquisition of Crypho, we continue to expand and strengthen Techstep’s
product offering. We will bring Crypho’s unique technology and software solution
to our customer base across Europe, providing easy to use, GDPR compliant and
secure communication for any organsiations”, says Børge Astrup, Techstep CEO.

Crypho has an ARR of NOK 1.9 million, and Techstep expect a positive development
during 2022. Techstep will leverage its platform and customer base to scale the
technology and further develop the software solution with its in-house expertise
and R&D capabilities. The acquisition is mainly related to technology and IP and
Techstep will therefore not take on significant new costs following the
acquisition.

The acquisition price is NOK 10 million at enterprise value basis and is fully
financed through a combination of share issue, earn-out and debt.

Following the transaction, Karbon Invest AS has agreed to sell its 33.50%
shareholding in Crypho AS and subscribe for 123,579 new shares in Techstep ASA
(the “Company”) at a price of NOK 3.25 per share (based on 90-day VWAP).

Karbon Invest AS is indirectly controlled by chairman of the board in the
Company, Jens Rugseth. Karbon Invest AS is directly controlled by Rugz AS and
Rugz II AS (together referred to as “Rugz”) and Rugz is directly controlled by
Mr. Rugseth.

Following completion of the transaction, Karbon Invest AS will hold 21,927,928
shares in the Company, entailing an increase in ownership to approximately
10.44% of the outstanding shares in the Company.

SmartControl is a managed software solution that provides the capability to
precisely configure mobile devices according to the customers’ needs and
policies, such as user profiles, apps, and remote management of the mobile
device.

SmartDevice is a mobile device lifecycle solution, offering end-to-end handling
of mobile hardware using Techstep’s own software to manage procurement, service,
and safe, environmentally friendly return of mobiles and tablets.

The agreement is set to reduce Norwegian’s IT costs and complexity, in addition
to helping the company reach its sustainability goals by allowing for safe reuse
or recycling of their used mobile devices. Norwegian will deploy a number of
apps for flight administration and crew handling, as well as aircraft
maintenance and other areas, contributing to Norwegian’s goal of replacing
today’s paper-based processes with digital interactive task handling.

employees may, in certain periods, be offered to purchase or subscribe for
Techstep shares with a 20% discount of the market price at the last date of a
subscription period. An application period has recently been completed, and the
Company received applications for a total of 854,940 new shares in the Company.

The Board of Directors has today resolved to increase Techstep’s share capital
pursuant to the authorisation granted by the annual general meeting held on 21
April 2022 to increase the Company’s share capital in connection with the
Company’s share purchase program.

Techstep’s share capital is resolved increased by NOK 854,940 by the issuance of
854,940 new shares, each with a nominal value of NOK 1.00. The new shares are
issued at a subscription price of NOK 2.344 per share. Following the
registration of the share capital increase with the Norwegian Register of
Business Enterprises (Nw.: Foretaksregisteret), Techstep’s new share capital

completed the Acquisition and assumed 100% ownership of Crypho.

The purchase price for the shares in Crypho, including repayment of certain
shareholder loans, shall in accordance with the share purchase agreement for the
Acquisition be settled by the issuance of new shares in Techstep, and the board
of directors of Techstep has thus resolved to issue an aggregate of 1,498,018
new shares (the “Initial Consideration Shares”) to the sellers of Crypho as
settlement for the initial portion of the purchase price and certain shareholder
loans. The Initial Consideration Shares were issued at a subscription price of
NOK 3,2529 per share, which is equal to the 90-Day volume weighted average share
price (VWAP) of the Techstep shares prior to the date of signing (3 May 2022) of
the share purchase agreement relating to the Acquisition.

The Initial Consideration Shares are issued pursuant to the existing
authorization for the Company’s board of directors to increase the Company’s
share capital, as adopted at the general meeting held on 21 April 2022.
Following the resolution, Techstep’s new share capital will be NOK 211,127,848
divided into 211,127,848 shares, each with a par value of NOK 1. The Company
will register the new share capital with the Norwegian Register of Business
Enterprises (Nw. Foretaksregisteret) and issue a separate announcement when the
registration of the share capital increase is completed. The share capital
increase announced yesterday of NOK 854,940 regarding the employee share
purchase program will be registered in the Norwegian Register of Business
Enterprises after the share capital increase related to the Crypho acquisition.
When both of these two share capital increases are registered, Techstep’s new
share capital will be NOK 211,982,788 divided into 211,982,788 shares, each with
a par value of NOK 1.

In addition to the initial portion of the purchase price, the parties have
agreed that the sellers shall be entitled to a contingent consideration to be
settled in the form of a maximum of 860,770 new shares in Techstep, if and to
the extent the conditions for the contingent consideration are fulfilled. The
contingent consideration is divided into three tranches, relating to certain
technological debt handover items, certain product handover items and Crypho’s
monthly recurring software revenue at year-end 2022, respectively. The
contingent consideration is to be settled in shares in Techstep at the same per
share subscription price applicable to the initial portion of the purchase
price.

Techstep Expense is a solution to manage mobile subscription costs providing
visibility, control, and certainty for the organisation. Through a defined
mobile policy, the cost is split between company and employee, providing freedom
of mobile usage.

SmartDevice is the complete and sustainable portfolio to help enterprises
integrate and manage all mobile devices from procurement to end of life. Users
are empowered to choose, fix, and replace mobile devices whilst enterprises have
visibility and cost control over their mobile fleet.

All Nortel’s customers will have Techstep Expense included in their subscription
plans, commencing from the fourth quarter 2022. The agreement is set to enhance
Nortel’s offering and add new benefits to its customers.

Simultaneously, Techstep will become a Nortel distribution partner, offering
Nortel’s products to Techstep’s customers in Norway, starting from the third
quarter 2022. This extends Techstep’s product offering by giving customers more
flexibility and optionality.

time giving Techstep’s customers the option to buy Nortel’s connectivity

Techstep estimates the annual recurring revenue (ARR) value of the agreement to
a minimum of NOK 3 million, with an initial contract period of three years.
