Vow ASA : Vow ASA and world leading manufacturing company join forces to build biogas plant
Vow ASA, technology provider for industry decarbonization, has signed a
strategic memorandum of understanding with a world leading manufacturing company
to build biogas production plant to reduce CO2 emissions from metallurgical
processes.

The two companies will cooperate on engineering, business modelling and
financing of a dedicated biogas plant for an industrial facility in continental
Europe, with the aim to have the plant operational in 2022. According to the
customer, which is one of the biggest globally, this will be the first dedicated
biogas plant in industry sector.

The biogas will be made using Vow’s patented ‘Biogreen’ pyrolysis technology,
which involves heating sustainable biomass at extremely high temperatures. The
gases emitted during this process are then captured and processed into biogas,
which will directly replace the use of natural gas in the metallurgical plant.
By-products such as bio-coal will also be created during the process, directly
replacing the use of fossil coal.

“We are very excited and committed for this cooperation, which is entirely in
line with our decarbonization strategy. The agreement confirms our relevance for
major industry players seeking to become CO2 neutral. Our view is long term, and
by bringing expertise and technology together, we are about to position Vow for
future growth in the metal production and processing industry” says the CEO of
Vow ASA Henrik Badin.

The customer has informed Vow that they will announce the agreement, which they
consider to be of great strategic significance, in January 2021.

Follum in Eastern Norway.

Vow subsidiary ETIA and ArcelorMittal Europe - Long Products, a leader in the
production of sections, sheet piles, rails and quality wire rod, will work
together to build the first dedicated biogas plant for the steel industry, using
ETIA’s pyrolysis technology, at ArcelorMittal Rodange in Luxembourg.
ArcelorMittal Rodange specializes in the production of grooved rails, supplying
major rail projects around the world.

The two companies will cooperate on engineering, business models and financing,
and aim to have the Rodange biogas plant operational in 2022. The biogas will be
made using Vow’s patented ‘Biogreen’ pyrolysis technology, which involves
heating sustainable biomass at high temperatures. The gases emitted during this
process are then captured and processed into biogas, which will directly replace
the use of natural gas in the Rodange plant’s rolling mill reheating furnace.
By-products such as bio-coal will also be created during the process, and re-
used within ArcelorMittal, directly replacing the use of coal.

The Rodange biogas plant will be ETIA’s first industrial-scale pilot project for
this specific application, and the intention is for similar plants to be built
in Europe, thereby increasing the CO2 emissions saved from replacing the use of
natural gas.

steelmakers with Vow and ETIA technology, to create this biogas plant for
ArcelorMittal Rodange. We see significant potential in the use of biogas as a
replacement for natural gas within ArcelorMittal Europe - Long Products’

2050. This technically challenging project is truly ground-breaking, in its
ability to create synthetic gas for industrial use, from sustainable biomass.”

their mission towards a CO2-neutral future in steel production. We see this as

ArcelorMittal Europe has committed to reducing CO2 emissions by 30% by 2030 and
has an ambition to be carbon-neutral by 2050. The company is pioneering two
breakthrough carbon-neutral technology routes as part of its strategy: Smart
Carbon and innovative DRI. The Long Products business owns Europe’s only DRI-EAF
facility in Hamburg, where a project is planned to test the ability of hydrogen
to reduce iron ore and form DRI on an industrial scale, as well as testing
carbon-free DRI in the EAF steelmaking process.

Today’s announcement of the MoU with Vow ASA marks ArcelorMittal Europe - Long
Products’ second major project to reduce the segment’s CO2 emissions.

Vow first announced this MoU in a statement to the stock market on 18 December
2020 without naming the Client at that time.

The Scanship systems will be installed on two cruise ships to enter service in
2024 and 2026. The vessels will be operated under European brand and in joint
venture with one of the largest Miami based cruise ship companies. Scanship has
previously equipped six cruise ships under the same European brand.

The technology to be delivered by Scanship will purify all wastewater generated
from 6,500 people onboard to the highest international discharge regulations, in
line with newly enforced Baltic sea standard and according to continuous Alaskan
water discharge requirements.
The contract includes a 5.7 million euro option contract for two additional
vessels.

Betula Energy, which is the new name of former entity BioGren AS, will establish
bioenergy and biocarbon production from forest wood mass in the form of pellets,
biocarbon and bio-oils.

Demand for biocarbon in the Nordic region is expected to increase significantly
in the next few years. Large, international industrial groups are undergoing a
significant green transformation to achieve their goals of significant
reductions in the use of fossil coal by 2030. Biocarbon has qualities that
enable it to replace fossil coal as a reducing agent in the metallurgical
industry.

“Technology and solutions from Vow will play a key role in this change. We are
in the process of showing not only the Norwegian, but also the international
industry, that we have technological solutions that accelerate the green energy
transition,” says Henrik Badin, CEO of Vow ASA.

The plant in Bamble will be the second in Norway where Vow’s technology is used
in this way. At Follum near Hønefoss, Vow’s wholly owned subsidiary Vow
Industries plans to build a similar plant. Here, wood waste from the forest
industry and recycled wood from the construction industry will be converted into
CO2-neutral energy in the form of biocarbon for the metallurgical industry, gas
for district heating, and bio-oils for the petrochemical industry, Badin
continues.

Synergies in the production of bioenergy are important

Betula Energy will produce homogeneous wood particles as a raw material and
feedstock for one production line for biocarbon for the metallurgical industry,
and one production line for wood pellets as a replacement for fossil coal in
thermal power plants. With such configuration, synergies can be achieved by
using the syngas from biocarbon production to dry wood particles for both
production lines. Betula Energy will handle reception, cutting, drying, and
pelleting for both production lines. This provides economies of scale.

"At the Betula Energy’s facility, detailed control of production is planned
through all stages to ensure the desired and consistent quality of the products.
The choice of Vow’s technology is consistent with this principle and will ensure
the quality of the biocarbon produced, says Gisle Hegstad, general manager of
Betula Energy.

Vow will supply the process equipment for the biocarbon production, and orders
will be placed by Betula Energy once they have secured financing planned within
2021. For Vow, this order may result in the delivery of process equipment worth
up to NOK 200 million.

Market with great potential

Today, the metallurgical industry in Norway consumes annually close to one
million tonnes of fossil based reducing agents. This corresponds to around seven
percent of the nation’s CO2 emissions. In the Nordic countries, this consumption
is four-five times greater.

The market for biocarbon is already large and growing. The first construction
phase for Betula Energy will be able to produce 15,000 tonnes of green and
climate-neutral biocarbon, and corresponding volumes of bio-oils.

Vow ASA : Second half and full year 2020 : Fifth consecutive year of growth, record high performance within Cruise projects

Vow ASA reported revenues for 2020 at NOK 460 million, up 21% compared to 2019,
and NOK 47 million in EBITDA (before non-recurring items), corresponding to a
10% margin. The year was marked by continued strong performance in Cruise

NOK 28 million, an improvement of NOK 35 million compared with 2019.

“While newbuilds and retrofit projects in cruise make most of our order backlog,
we are increasingly focused on our Landbased business which was awarded several
landmark contracts for valorisation of waste, biomass, and industry
decarbonising,” says Henrik Badin, CEO of Vow ASA.

“In 2020, Landbased celebrated several transformative achievements, including
agreements with leading industry players Repsol and ArcelorMittal. We are
currently replicating our successful and proven delivery model in cruise for
projects on land. Aftersales in cruise, meanwhile, continued to be negatively
impacted by Covid-19 as cruise ships are still docked,” Badin adds.

Vow secured new contracts to a total value of NOK 369 million in 2020, and the
order backlog was NOK 952 million at the end of December 2020, up from NOK 890
million the year before. Since then, orders worth an additional NOK 60 million
have been confirmed and reported.

For the second half of 2020, Vow reported revenues of NOK 212 million mainly
driven by continued high activity in cruise projects. EBITDA before non-
recurring items came in at NOK 22 million, representing a margin of 10%.

In December 2020, Vow launched Vow Industries as an incubator for business
development, and today, Vow is introducing Vow Green Metals, a new separate
entity, which will be spun off to existing shareholders and listed, likely
before summer 2021. Vow Green Metals will build, own and operate plants and
deliver high value biocarbon and CO2 neutral gas for metal industries.

“Demand for biocarbon is expected to increase significantly in the next few
years, driven partly by increasing CO2 taxation and corporate net zero
strategies. With the launch of Vow Metals, we are providing large, international
industrial groups with the technology to achieve their goals of CO2 neutrality”,
Badin says.

Vow Green Metals will build, own, and operate plants that produce high value
biocarbon and CO2 neutral gas for metallurgical industries. The company’s shares
will be distributed to current Vow shareholders, and the company will aim for
listing before summer of 2021.

“With the launch of Vow Green Metals, we will be accelerating the green
transition in the metallurgical industry, as our biocarbon will replace fossil
coke as a reducing agent in metallurgical processes. We will also produce CO2
neutral gas and other low-carbon fuels”, says Henrik Badin, CEO of Vow ASA.

Vow Green Metals’ first plant is currently being planned at Follum in Eastern
Norway for completion in 2022, pending financing and final investment decision.
Vow has already secured agreements with forest owner Viken Skog and municipal
waste company Lindum to supply forest waste and waste wood respectively as
feedstock, and agreements with metals giant Elkem and district heating company
Vardar to deliver biocarbon and CO2 neutral gas.

The plant at Follum will be designed and built by Vow, which will also provide
the processing equipment. This will add between NOK 200 million and NOK 250
million to Vow ASA’s Landbased order backlog when the new company is spun off
and listed.

“Demand for biocarbon is expected to increase significantly in the next few
years, driven partly by increasing CO2 taxation and corporate net zero
strategies. The demand for biocarbon in Norway alone is estimated at 400 000
tonnes annually by 2030. For comparison, initial capacity at Follum will be
10 000 tonnes per year. Our plans for Vow Green Metals include further expansion
in the Nordics as well as larger production facilities to meet industry needs
across Europe,” Badin says.

He notes that in addition to Elkem, Vow has recently signed co-operation
agreements with ArcelorMittal, the world’s largest steel producer, the global
energy company Repsol and Betula Energy, a start-up company in Norway.

According to earlier plans and announcements from Vow, the Follum plant and the
company’s biocarbon initiatives were part of Vow Industries. This is a separate
legal entity, which will remain wholly owned and part of Vow ASA, and act as an
incubator for other potential spin-offs in the future.
