Argeo ASA: Fourth-quarter and unaudited full-year 2024 results

Revenue for Q4 amounted to USD 5.4 million, marking an increase of 440% year-over-year (YoY). EBITDA amounted to USD -5.7 million, alongside an EBIT of USD -7.9 million. Net profit for the quarter was USD -8.5 million, improving from USD -9.4 million in Q4 2023. Argeo’s full year revenues increased by 430% improving from USD 10.1 million in 2023 to USD 53.5 million in 2024.

Key developments (Company highlights)
In the fourth quarter Argeo was awarded a 5-year Site Investigation frame agreement with Total Energies, and 8-year multiclient agreement with Staatsolie of Suriname. Subsequent to the quarter, Argeo in first position after a tender competition for ROV & AUV Support Vessel (RSV) contract for a total of four years in South America. Site Investigations (SI) encompass a seamlessly integrated portfolio of geophysical (AUV) and geotechnical (GT) work scopes. Insourcing this capability is a strategic move for Argeo, driven by increasing client demand. “By integrating this service into our global SI offerings, we enhance efficiency, deliver greater value, and strengthen our market position,” says Crantz.

Backlog
Firm backlog of USD14m per year-end 2024 for Q1 2025 production and USD176m of additional expected contracts currently in negotiations (including 4-year contract) giving a total backlog of USD190m. Total tender volume currently stands at USD 160m. USD 4m in remaining backlog for NCPOR is differed until later in 2025 as addon to potential new work in the region.

Outlook
The deep-water market remains robust, with high activity levels in West Africa and South America, presenting significant growth opportunities for Argeo. The “Venture” commenced work in Namibia on 20 May 2024 after transiting from Norway. The project has taken somewhat longer than initially estimated due to an unexpectedly long yard-stay and poorer weather conditions than expected. In total, the Venture has spent close to 10 months on project, delivering over 7000-line km of AUV geophysical data and close to 200 geotechnical samples in water depth exceeding 3000 meters.

The contract and work program reaffirm our capability to deliver top-tier deep-water services and demonstrated our ability to execute integrated geophysical and geotechnical projects, where the geotechnical component is derived from geophysical data that is efficiently processed on board.

Following the announcement of the completion of the Private Placement, more than 25 million shares (i.e. more than 2 times the size of the Subsequent Offering) have traded at or below the Subscription Price (with a volume-weighted average price per share for this volume of NOK 6.9479) on the Oslo Stock Exchange. Accordingly, any shareholder wishing to neutralize the dilutive effect of the Private Placement has had sufficient opportunity (i.e. enough volume traded since 12 February 2025) to purchase shares in the market at prices at or below the Subscription Price (NOK 8.00 per share). In large-scale tender processes within the oil and gas industry, particularly for long-term contracts in the subsea services segment, such processes take time to complete. This is normal. Argeo ASA: Approval and publication of prospectus

Asker, 2 April 2025. Reference is made to the stock exchange release from Argeo ASA (“Argeo” or the “Company”) (Euronext Oslo Børs: ARGEO) published on 12 February 2025 announcing the completion of a private placement of new shares in the Company, raising gross proceeds of NOK 150 million (the “Private Placement”).

The listing prospectus for the 9,875,000 new shares issued in tranche 2 of the Private Placement (the “Tranche 2 Shares”) was approved by the Financial Supervisory Authority of Norway today, 2 April 2025 (the “Prospectus”). The Tranche 2 Shares were issued on a separate ISIN and have not been tradable until approval of the Prospectus. Following approval of the Prospectus, the Tranche 2 Shares will now be registered in the VPS with the same ISIN as existing shares, being ISIN NO0013257410. The Prospectus will, subject to regulatory restrictions in certain jurisdictions, be made available at www.argeo.no.
