Shareholders allocated Warrants have a fourth opportunity to exercise the
Warrants during the period from 13 January 2025 to 17 February 2025 (the
“Fourth Exercise Period”). To exercise warrants during the Fourth Exercise
Period, a completed exercise notice form must be received by Fearnley
Securities within the Fourth Exercise Period by email to

The purpose of the strategic review is to evaluate structures and
opportunities that could accelerate the company’s growth and/ or enhance
shareholder value, without this entailing the need for capital raising.

With a good track record in terms of biological performance, BioFish is an
attractive supplier of high-quality, healthy smolt and post-smolt.
Geographically, BioFish is ideally located in an area with high density of
salmon farmers. BioFish holds an aquaculture license for 5 million smolt and a
discharge license for 2,200 tons.

Pareto Securities AS has been appointed as financial advisor to assist in the
process.

Further updates regarding the outcomes of this strategic review and its
implications for the company’s operations and strategic direction will be
communicated in due course.

contracts, the scope of this agreement brings total confirmed annual sales to
approximately 720 tons for 2025, 2026 and 2027.

The agreement also includes an intention between the parties to discuss
additional deliveries.

“This milestone agreement is a recognition of our strong track record of
consistently delivering robust, high-quality smolt and post-smolt to
satisfied, loyal customers. With these agreements signed, we ensure that
two-thirds of our annual volumes for the coming years are now sold, which
gives us good earnings visibility, while at the same time providing some
capacity to take on new orders in a strong market”, says CEO Sondre Hagerup
Johnsrud.

For 2024, BioFish has delivered 523 tons, in line with previously projected
sales volumes of ~500-550 tons. For 2025, annual volumes are anticipated to
increase to 900-1,100 tons.

Selskapet har allerede nå sikret salg av 720 tonn hvert år ut 2027, ca 50% mer enn de solgte i hele 2024.

Samtidig drar de opp guidingen i 25 til 1000-1100 tonn. Altså dobling av produksjonen fra 24.

Totalte utgifter rundt 75 mill??? Tipper bare.
Ebitdea på 57 mill. Gjelda er vel rundt 50?

Greier de ebitdea på 60 mill i 2026 blir det vel utbytte? 0,2kr???

Alt er bare skudd fra hofta her altså.

Tror ikke du er langt unna! Tipper de får mellom 110-120kr per kg og har en ebit margin på ca 20%.

Warrants could subscribe for new shares in the Company at a price of NOK 1.20.
The Fourth Exercise Period ended yesterday, 17 February 2025.

Based on a preliminary count, the number of Warrants exercised in the Fourth
Exercise Period will be 1,893,608. An update will be provided as soon as the
new share capital has been registered with the Norwegian Registry of Business
Enterprises.

Remaining Warrants may be exercised during periods each half year until their
expiration in January 2026.

the quarter, compared to no revenues or deliveries in the corresponding period
last year. For the full year 2024, BioFish delivered a total of 523 tons, in
line with previously announced guidance.

During the fourth quarter, BioFish reached several key milestones, including
completion of the BioFish Land acquisition, facility upgrades, and strong
biological performance of smolt and post-smolt deliveries.

“We are particularly proud of the feedback we receive from our customers on
the quality of our deliveries, thanks to the efforts of our competent
colleagues at the BioFish facilities. This has contributed to strengthening
long-term relationships and helped us securing multiple agreements for future
deliveries,” said Sondre Johnsrud, CEO at BioFish.

A milestone contract was secured in Q1 2025 to deliver ~1.2 million post-smolt
per year in 2026 and 2027, with an average weight of 600 grams. It also
includes intent to discuss additional deliveries.

“Together with previously announced contracts, total confirmed annual sales
volume for 2025-2027 has now reached ~720 tons, implying that two-thirds of
expected 2025 volume is sold out. This gives us good earnings visibility,
while at the same time providing some capacity to take on new orders in a
strong market, contributing to a favourable outlook for 2025,” Johnsrud adds.

For 2025, BioFish reiterates its volume guidance to deliver sales volumes of
900-1,100 tons of high-quality smolt and post-smolt. Volume growth from
scheduled deliveries, combined with operational and organisational
improvements nearing completion, are expected to improve the company’s cash
position, and generate positive cash flow and net profits already in Q1 2025
onwards.

After year-end, a strategic review was initiated to explore growth
opportunities for BioFish and increase shareholder value. The process does not
require capital raising, as the company is sufficiently financed for planned
operations and investments. Updates on outcomes to be expected towards the end
of Q2 2025.

BioFish will receive approximately ~25 tons of smolt in April 2025 from the
same customer, and this smolt will in turn be delivered back to this customer
at an agreed time.

Upon delivery, the post-smolt will amount to a total volume of ~120 tonnes,
which comes in addition to the annual volume of 900-1,100 tons expected for
2025. The contract has been secured under favourable market terms.
