Carasent ASA (“Carasent”) refers to the stock exchange release from EG A/S
(“EG”) 29 April 2024 regarding EG’s intention to make a cash tender offer for
all shares in Carasent at NOK 20 per share and Carasent’s immediate comments
in a subsequent stock exchange release.

In response to Carasent’s communication that it may seek to entertain
discussions and permit due diligence with interested parties, shareholders
holding above 39% of the shares have informed Carasent that they are not
minded to accept any offer which is not significantly above the level proposed
by EG. This includes the 16.6% stake of Vitruvian Partners.

Due to EG’s announced intention to make an offer, Carasent presently remains
inclined to continue to discuss opportunities for a transaction with EG and
others. It is not known whether any such discussions will result in any
proposed transaction or the price and other terms of such proposed
transaction, be it in the form of a voluntary offer for Carasent’s shares or
in any other form.

Carasent does not intend to make any public announcement in respect of any
such discussions unless and until such discussions might have resulted in any
definitive agreement in respect of any such proposed transaction.

Carasent group signs contract to supply Ad Curis to Frelsesarmeen

Frelsesarmeen and Carasent Norway have entered into an agreement to implement
the EHR system Ad Curis at Frelsesarmeen’s addiction care and recovery clinics
in Norway. The annual recurring revenue from the contract is NOK 3.3 million.

Frelsesarmeen has 20 clinics providing addiction care and recovery, which will
now replace their current EHR with Ad Curis.

The yearly value of the contract after the implementation process is NOK 3.3
million, with an addition of NOK 6 million of consultancy revenue during the
implementation period, estimated to be from June until the end of 2025.

The board of directors of Carasent ASA (“Carasent” or the “Company”) has today
resolved to adopt a merger plan for a cross-border merger, subject to approval
by an extraordinary general meeting in Carasent, with a newly established
wholly-owned Swedish subsidiary[1] under name change to Carasent AB (publ)
(“Carasent SWE”). The cross-border merger is, as previously announced,
intended to be carried out by Carasent merging with Carasent SWE with the
latter as acquiring entity, to the effect that shareholders will have their
Carasent shares one for one exchanged with Carasent SWE shares listed only on
Nasdaq Stockholm (the “Relisting”).

The Company’s intention to relist has been previously announced at 2023’s
Capital Markets Day, as well as in recent quarterly reports. A majority of
Carasent’s operations and customer base are located in Sweden - approx. 80% of
revenue as of FY 23 was generated in the country. Furthermore, the Company
believes that such listing on Nasdaq Stockholm will enhance share liquidity
and attract a broader shareholder base. Against this background, the board of
directors of the Company has resolved to adopt a merger plan for a
cross-border merger, to facilitate the Relisting.

The Company intends to relist its shares on Nasdaq Stockholm by transferring
the business currently operated in Carasent to Carasent SWE, whose shares will
subsequently be listed on Nasdaq Stockholm. For this purpose, the board of
directors of Carasent has today adopted a merger plan pursuant to which the
assets and liabilities of Carasent will be transferred to Carasent SWE through
a cross-border merger by way of absorption. Carasent SWE is a Swedish
wholly-owned subsidiary of the Company and has no operations of its own.
Subsequent to completion of the cross-border merger, the shareholder
structure, board of directors and management of Carasent SWE will be identical
to the current shareholder structure, board of directors and management of
Carasent. Carasent SWE will be described in more detail in a listing
prospectus to be approved by the Swedish Financial Supervisory Authority,
which will contain practical information for shareholders with respect to
delivery and trading of their Carasent SWE shares after Relisting. Completion
of the cross-border merger is conditional upon, inter alia, obtaining relevant
approvals from Nasdaq Stockholm and relevant governmental authorities. The
cross-border merger and Relisting are estimated to be completed during
December 2024. Further information on key dates etc. will follow.

The cross-border merger requires a resolution by the extraordinary general
meeting (“EGM”) of the shareholders of Carasent. Further information and the
proposed resolutions will be included in the notice of the EGM which will be
announced separately within short. The EGM is planned to be held in early
October 2024.

The merger plan for the cross-border merger together with appended
documentation and other relevant documents are available at the Company’s

stock option program with terms of four (50% of the options) and five (50% of

Warrants in Carasent ASA cannot be continued in their current form after the
cross-border merger. The Company has agreed with each of the chairman and the
CEO that the warrants sold each of them by the Company in 2022 will be
cancelled, subject to, and, immediately prior to, the consummation of the
cross-border merger and Relisting. The Company will refund the purchase prices
they paid. The chairman and the CEO will use the amounts to be refunded in
open-market purchases of Carasent SWE shares. Carasent SWE will succeed to
Carasent’s rights to enforce the agreement pursuant to the merger plan for the
cross-border merger.

The cross-border merger remains subject to approval by the Company’s
shareholders at the extraordinary general meeting to be held on 4 October 2024
and to other conditions precedent, inter alia, obtaining relevant approvals

long successful track record in the German market. Carasent has updated its
financial targets for 2025 to reflect the acquisition.

Acquisition of Data-Al

Founded in Germany in 1988, Data-Al provides the EHR solutions Data-Al and
Data-Cur. Data-Al has a local organisation of 30 employees with deep knowledge
of local requirements, and a strong market position with more than 1,000
customers across most parts of Germany. Data-Al works with the same type of
customers as Webdoc, small to medium sized private clinics.

Data-Al’s financial metrics are typical of the industry, including sticky
revenue streams and low customer churn, which provide a stable foundation for
long-term growth. Data-Al’s revenues and EBITDA in 2023 were approximately EUR
4.0 million and EUR 0.5 million. The transaction values Data-Al at an
enterprise value of EUR 8 million, with potential additional earnout payments
of up to EUR 4 million pending future growth.

Updated financial targets

Following the acquisition of Data-Al, Carasent is updating the financial
targets for 2025 to account for the additional revenue and EBITDA contribution
expected from the acquisition. The organic financial targets excluding Data-Al
remain unchanged.

Financial targets 2025 (previous targets):

Revenues around NOK 360 million (320 million)

EBITDA around NOK 85-90 million (80 million)

EBITDA – capex around NOK 45-50 million (40 million)

EBITDA – capex of NOK 60 million excluding Germany

Carasent is executing its strategy to reach targets with the current company
structure. Additional potential acquisitions and divestments are not included.
The financial targets are intended for a long-term perspective, and there will
be variations between quarters. The new targets for 2025 replace the financial
targets announced on 24 April 2024.

godkänna en ansökan om upptagande till handel av Bolagets aktier under
förutsättning att vissa sedvanliga villkor uppfylls, däribland att ett

day of trading and listing of the Carasent ASA shares on Oslo Børs will be 4
December 2024. The shares in Carasent AB are expected to start trading on
Nasdaq Stockholm on 9 December 2024.

As announced on 30 August 2024, the Carasent ASA board of directors has
resolved on a cross-border merger plan to effect a planned relisting of its
shares on Nasdaq Stockholm (the “Relisting”). Carasent ASA’s Extraordinary
General Meeting approved the merger plan on 4 October 2024 as previously
announced.

The cross-border merger is planned to be completed after close of trading on
Oslo Børs on 4 December 2024, upon which Carasent ASA shareholders will have
their shares in Carasent ASA exchanged one-for-one with shares in Carasent AB.
The shares in Carasent AB are expected to start trading on Nasdaq Stockholm on
9 December 2024.
