(“Skovgaard”) for 80% of the share in Odin Energy Holding P/S (“Odin”).

Today Cloudberry announces the completion of the Transaction, adding a total of
106 MW net to Cloudberry primarily in the favorable DK1 price region. All assets
in the previously announced Tranche 2 were included in the Transaction.

The final purchase price for 80% of the shares in Odin Energy Holding P/S was
DKK 1 265 million. Cloudberry has received the cash flow from 1[st] of January
2023, primarily as a reduction of the purchase price while the remaining is left
as cash in Odin.

“We are extremely pleased to close this transaction to further reinforce the
partnership with Skovgaard. We already see the collaboration moving forward on a
positive note with exciting short- and long-term development opportunities to
come,” says Anders Lenborg, CEO Cloudberry.

To partly finance the acquisition, Cloudberry Production AS has drawn DKK 532
million from its bank facility, which together with the existing debt in Odin
(approximately DKK 212 million net to Cloudberry per 31.12.22) yields a 50% loan
to value net to Cloudberry. Further, Cloudberry has not been exposed to the
weakening NOK as more than 95% of the currency risk for the equity was hedged at
signing 10th of February.

In the transaction, Odin has entered into an agreement with Skovgaard concerning
the payment of a difference between Odin’s realized power price for 2023 and a
2023 reference price from the November 2022 power curve. If the realized price
is below the reference price, Skovgaard will cover the difference multiplied by
the production and vice versa. The payment is limited to EUR 6 million and is
expected payable in Q1 2024.

The expected annual production is 60 GWh with a long-term ~97% uptime guarantee
and a 30-year service agreement with Vestas. Total capex cost is estimated to
be slightly above EUR 30 million. Site preparation is expected to start Q3 2023
with expected revenue generation by year-end 2024.

The project has a strong strategic fit in Cloudberry’s portfolio adding new
renewable energy close to Stockholm, Sweden (SE-3 region). The environmental
footprint is expected to be low and fully aligned with the EU taxonomy.
Munkhyttan I will be connected to the nearby and existing grid lowering both
cost and the environmental footprint for the life-cycle of the project.

“After a thorough procurement process, we are pleased to start the construction
of Munkhyttan I. The project will build upon the successful Hån project (Vestas)
and current Sundby project (Vestas) with significant know-how and local
environmental focus in the project team. Due to favorable production estimates
and relatively low balance of plant costs, we aim for double digit equity
returns for the lifetime of the project,” says Charlotte Bergqvist, Chief
Development Officer in Cloudberry.

The project will be financed by existing cash (~50%) and debt (~50%).
Cloudberry also has an option on Munkhyttan II, a similar sized project
currently under development.

Nessakraft, representing a total estimated annual production of 77 GWh. The
transaction shows significant value creation throughout Cloudberry’s value
chain, yielding an internal rate of return (IRR) of above 55% p.a resulting in a
price above two times the booked equity of the assets.

Recycling of capital is an important tool for Cloudberry’s value creation. The
sale of these assets will realize a significant return for the Company and
generate free cash of approximately NOK 500 million, which Cloudberry intends to
redeploy into new projects at lower costs within Cloudberry’s core markets.

The total transaction value is NOK 703 million, on a debt and cash free basis.
The equity value of the shares to be sold is NOK 511 million, realizing a
significant gain for Cloudberry. The transaction is structured as a share sale
of Åmotsfoss Kraft AS, Selselva AS and Nessakraft AS. All the three projects
were acquired by Cloudberry in 2021, where Åmotsfoss and Nessane, being green
field projects, were commissioned at acquisition. The transaction is expected to
close 30 June 2023 and is not subject to any conditions. Cloudberry’s Operation
segment will continue to operate the assets going forward.

portfolio with a transaction value of NOK 703 million, yielding an internal rate
of return (IRR) of above 55% p.a. to Cloudberry or 2.0x the booked equity.
· Strong growth in profitability. Consolidated and proportionate EBITDA of
NOK 281m (32m) and NOK 281m (37m) in the second quarter respectively (same
quarter last year). The increase in profitability mainly relates to a gain of
sale of three hydropower plants (19 MW) and increased power production

Invitation to extraordinary general meeting

The Board of Directors has resolved to ask the general meeting for a board
authorization for the option to acquire up to 7,000,000 own shares, at a
purchase price of up to NOK 14.60 per share (representing book equity per share
excluding minority interests). The authorization covers approximately 2.4% of
the Company’s share capital. The background for the proposal is that Cloudberry,
subject to the prevailing market conditions, observes that the most discounted
kWh’s in the Nordic market is the current market value of our own portfolio
implicitly from the share price. With a cash balance of above NOK 1 bn (Q2 2023)
the option to buy back own shares is in line with our flexible business model,
will require less than 10% of the excising cash and is not expected to influence
targeted growth opportunities. The Board will convene an extraordinary general
meeting, expected to be held 28 September 2023, to deal with the proposal.

proposal for taxation of the on-shore wind industry.

The initial proposal was introduced September 2022 with planned effect from the
fiscal year 2023. It was later postponed to enter into effect for the fiscal
year 2024. Compared to the initial proposal by the government, the updated
proposal on 6[th] of October 2023 has some improvements with the most material
for Cloudberry being:

i. The proposed resource tax (NO: Grunnrenteskatt) for Norwegian, onshore wind
is lowered from an effective tax rate of 40% to 35%. The Norwegian government
also propose an interest compensation when calculating the resource rent tax.

ii. The high price contribution tax (NO: Høyprisbidrag) of 23% of prices above
70 øre/kWh is proposed to be terminated from 01 October 2023, and is as such no
longer in effect. This is approximately one year earlier than expected.

The proposal from the government is not final and it will be further discussed
in parliament with an expected settlement date later this year. Although the new
proposal is a small step in the right direction, it is still far from the
envisaged investment neutrality for new and existing projects. Cloudberry will
continue to actively work with all stakeholders to improve the proposal towards
an investment neutral tax and urges a broad political settlement to promote long
term stability and acceptable frame conditions for renewable investments in
Norway. In the meantime, Cloudberry will focus its initiatives towards Norwegian
hydro and activities in Sweden and Denmark.

Cloudberry will revert with an update on the consequences of the new taxation
for our portfolio when the proposal is final. We remain positive that the
government and the parliament will adjust the proposal to ensure acceptable
terms for the renewable industry in Norway.

Nordic counterpart. The contract locks in DKK 73m (NOK 116m) in proportionate
revenue over a three-year period.

The PPA is a three-year monthly baseload contract for a fixed annual volume of
31.5 GWh in DK-1 with a fixed power price of DKK 0.77/kWh (NOK 1.22 per kWh).
The contract will cover about 4% of Cloudberry’s total expected production
during 2024. The PPA will commence in January 2024 and last until December
2026. All figures are proportionate to Cloudberry. Cloudberry will in addition
to the PPA receive revenue from the sale of Guarantees of Origin (“GOs”).

Referring to Cloudberry’s capital market day, Cloudberry continues to execute on
its value creation and risk reducing strategy. “We are very pleased to enter
into PPA’s at this price level, which is well above the current power price
forecasts . The contract shows the willingness by European institutions to pay
for renewable energy in the medium to long-term. With a larger portfolio in
production, we are now able to enter into such agreements while being very
conscious of shortfall risk”, says CEO Anders Lenborg.

Cloudberry will continue to exploit and execute on its risk reducing strategy
and increase the amount of contracted volumes over the coming quarters given
accretive price levels.

The share buy-back program will be executed in accordance with the authorization
granted to the Board of Directors by the Extraordinary General Meeting held 28
September 2023, with a maximum price of NOK 14.60 per share.

The program is expected to commence around 1 November 2023 and will be completed
on 31 December 2023, at the latest. Phase II of the buy-back program is expected
to launch in January 2024 and be completed prior to the next Annual General
Assembly. The purpose of the program is to reduce the capital of the Company.

The shares will be bought back in accordance with the requirements in Commission
Delegate Regulation (EU) No 2016/1052 of 8 March 2016 and Regulation (EU) No
697/2014.

The share buy-back program will be managed by the independent financial
investment firm Pareto Securities, who will make its trading decisions
independently of, and without influence by, Cloudberry.
