Crayon Group Holding ASA – Fixed income investor meetings

March 15, 2024 – Crayon Group Holding ASA (“Crayon”) has mandated Danske Bank and Pareto Securities as Joint Lead Managers to arrange a series of fixed income investor meetings commencing 18 March 2024.

A new 4-year NOK 1,200 million senior unsecured floating rate bond issue may follow, subject to inter alia market conditions. The net proceeds from the contemplated bond issue will be used to refinance the outstanding NOK 1,800 million issued under the 2021/2025 senior unsecured bond framework due 15 July 2025 with ISIN NO0011045478 (“Existing Bonds”).

In conjunction with the contemplated new bond issue, Crayon will offer a conditional buyback of the Existing Bonds, contingent upon subscription in the new bonds. Subject to completion of the contemplated new bond issue, Crayon will call the remaining net outstanding amount of the Existing Bonds in whole.

In connection with the contemplated new bond issue, Crayon has received commitment from Danske Bank for a NOK 500 million increase in the current revolving credit facility (“RCF”). The increased RCF will be available for general corporate purposes and will enhance the group’s financial flexibility and is subject to the successful placement of the new bond issue.

Crayon Group Holding ASA - Successfully completed new senior unsecured bond issue and notice of exercise of call option

March 21, 2024 – Crayon Group Holding ASA (“Crayon”) has successfully completed a new 4-year senior unsecured bond issue with an initial issue amount of NOK 1,200 million. The bonds will carry an interest rate of 3m NIBOR plus a margin of 2.75% and the issue date is expected to be 8 April 2024. An application will be made for the bonds to be listed on Oslo Stock Exchange.

Concurrently with the new bond issue, Crayon has repurchased bonds for approximately NOK 700 million in the outstanding 2021/2025 senior unsecured bonds with ISIN NO0011045478 (“Existing Bonds”).

Crayon has furthermore notified Nordic Trustee AS today of the exercise of its call option for the remaining outstanding Existing Bonds with original maturity date 15 July 2025, and each Bondholder is hereby given notice thereof.

The exercise of the call option is conditional upon certain conditions as set out in the call option notice being satisfied no later than 8 April 2024.

Subject to satisfaction of the aforementioned conditions, the remaining Existing Bonds will in accordance with the bond terms of such bonds be repaid at 101.481% of the Nominal Amount (plus accrued and unpaid interest on the redeemed amount). Settlement is expected to be 11 April 2024.

End of subscription period under the employee share incentive program

The employees have been offered to subscribe at the volume-weighted average share price from March 15, 2024 to March 31 2024, minus a 20% discount, resulting in a subscription price of NOK 62.19 per share.

Gross Profit NOK 1 474m Up 17%
Adjusted EBITDA NOK 203 m Up 10%
Cash flow from Operations NOK 97m Up 28%

Adjusted EBITDA ended at NOK 203m, reflecting a margin of 14%. Measures to improve profitability within Consulting was implemented in Q124 and will have effect from Q2 and in the second half of the year, supporting the company’s Adjusted EBITDA Outlook of 18-20% for the full year.

Cash flow from operations ended at NOK 97m. Net Working Capital ended at NOK -1.1bn, an improvement of NOK 867m compared to the same quarter previous year. Crayon continues to implement measures to strengthen working capital.

Crayon appointed an authorized Cloud Commerce Manager for Broadcom in Asia Pacific

7 May 2024 — Crayon, a global leader in IT services and innovation, announced today it has been chosen as an authorized Broadcom Cloud Commerce Manager (CCM) provider for VMware Cloud Service Provider (VCSP) partners in the Asia Pacific region.
