Jeg håper virkelig om de først skal hente penger nå at de henter en skikkelig i sum og ikke 30 mill som gir de kun et kvartal. Man vet aldri hvordan og hvor lang tid inntektsbringende salg går, så håper de henter så det monner en gang og ikke smått mange ganger.

Spørsmålet er like greit mye om det skal hentes penger gjennom en standard emisjon og eventuelt når. Hente kun 30 mill gir selvsagt ikke mening. Selv om det ikke er svære summer heller som behøves gitt at Limoneira går i boks med oppstart Q1 2024, hvor man bør kunne få på plass ytterligere prosjekter i de påfølgende månedene/kvartalene med ditto inntekter.

Ikke sjekket, men antar ordlyd og innhold er ganske likt som ifjor.
De kunne vel vanskelig skrevet det noe anderledes uten å sende signaler til markedet på ny og enda en halvvering i kurs.
EGF og det dunkes gjennom dersom de skal kjøre en betydelig emi på et tidspunkt framover.

The strategic review is making progress on exploring options for Desert Control’s intentions to change its go-to-market and business model for the Middle East region by transitioning to a potential royalty-based licensed operator structure. The strategic review process has generated incoming interest from multiple parties. The Company has entered non-binding letters of intent with selected parties with whom it is anticipated to reach final agreements by around mid-year.

The change of business model aims to unlock cash and reduce operating costs for Desert Control. The pivot towards a licensing model will leverage the capacity and reach of local operators in the Middle East while allowing Desert Control to dedicate additional resources to drive commercialization in the United States and other markets.

The Company confirms that arrangements have been made for an event, with final location to be determined, as published by the Greater Yuma Economic Development Corporation on LinkedIn on 12 June 2023. The arrangements have been made for extending networks with the Middle East and arranging contacts with leading research organisations within the field of desert agriculture in Yuma, Arizona. The event is also aimed at facilitating a potential signing of agreements further to the non-binding letters of intent already entered into, as described above.

Although practical arrangements have been made, Desert Control emphasizes that discussions are still ongoing, and that no assurances can be given as to the outcome or timing of the review process or the signing of any definite agreements. Desert Control does not intend to make any further public comment regarding the review until it has been completed or the Company determines that disclosure is required or appropriate.

Desert Control’s production of Liquid Natural Clay (“LNC”) for the Middle East region is currently managed and operated by its wholly owned subsidiaries Desert Control Middle East LLC and Desert Control Liquid Natural Clay Manufacturing (Sole Proprietorship) LLC. Further, Desert Control holds a 49% shareholding of Mawarid Desert Control LLC. The majority 51% of Mawarid Desert Control LLC, is owned by Mawarid.

The Company has now entered into agreements pursuant to which Mawarid will acquire Desert Control’s 49% ownership in Mawarid Desert Control LLC. Further, Mawarid will acquire Desert Control Liquid Natural Clay Manufacturing (Sole Proprietorship) LLC. In connection with the contemplated transaction, Mawarid will also acquire mobile LNC production units currently operated by Desert Control and enter into an exclusive royalty-based licensing agreement for the production, sales, and distribution of LNC in the United Arabic Emirates (“UAE”) and a general license to operate in additional countries in the Middle East and North Africa region (MENA).

Completion of the agreements is subject to customary terms and conditions, including certain public authorizations, all of which are expected to be met. Desert Control will, through the agreements, have taken an important leap towards restructuring its operations in the Middle East. The board of directors of Desert Control (the “Board”) believes that it will be possible to implement the Company’s vision in the Middle East more efficiently with the support and resources of its partners in the new structure. At the same time, shareholders of Desert Control will benefit from the value creation generated from royalty-based licensing. For the initial implementation of the agreements, a consideration of USD 1,800,000 will be payable to Desert Control in two tranches in relation to the transfer of the 49% ownership in Mawarid Desert Control LLC and the 100% ownership in Desert Control Liquid Natural Clay Manufacturing (Sole Proprietorship) LLC to Mawarid. During the term of the license period, Desert Control will receive a customary royalty payment calculated as a percentage of revenues.

22 June 2023, the Company announced an agreement where Mawarid Holding Investment (MHI) acquires Desert Control’s LNC production company in the UAE along with LNC production assets and Desert Control’s shareholding in the Abu Dhabi based JV Mawarid Desert Control for $1,8 million. MHI becomes Desert Control’s exclusive licensed operator for the UAE with ambitions to expand across the Middle East region.

3 July 2023, the Company announced an agreement with Heart SA to become a licensed operator for Desert Control in the Kingdom of Saudi Arabia (KSA). Heart SA will acquire one LNC production cluster (4 mobile LNC production units) for $1 million and an anchor the strategic partnership by becoming a shareholder in Desert Control AS with an investment of $1 million in a directed share issue at NOK 10,- per share.

Key results of the Strategic Review include:

Strengthened Liquidity through Partnership Agreements in the Middle East:
The Company successfully expanded its strategic partnership with Mawarid Holding Investment in the United Arab Emirates (UAE), and further signed a new agreement with Heart SA to produce, sell, distribute, and implement Desert Control’s Liquid Natural Clay (LNC) in the Kingdom of Saudi Arabia (KSA). This milestone results in an addition of approximately NOK 40 million in increased liquidity for Desert Control.

Operational Cost Reduction from Transition to Royalty-Based Licensed Operator Model:
The Company’s shift to a licensed operator model, targeted for completion during H2 2023, aims to reduce monthly operational costs by approximately NOK 1.5 million. The transition also introduces a royalty-based revenue stream from Middle Eastern partners, providing a consistent source of income throughout the term of the licensing agreements.

U.S. Update – Continued Progress and Steadfast Execution:

With ten new pilot projects signed year to date, Desert Control is on track to reach its target of 20 pilot projects in the U.S. by year’s end. The Company targets a >50% conversion rate to larger projects and aims for the first contract for full-scale deployment to be signed by the end of the year.
