and other large, irrigated properties-to receive significant financial
incentives when implementing Desert Control’s solution.

Under these programs, eligible projects can receive rebates covering up to 50%
of the total installed cost of Desert Control’s solution, including materials,
installation, engineering, and related services. Payouts are calculated based on
verified water savings and can extend for up to 10 years, with partial incentive
payments potentially available in advance at the utility’s discretion.

“This is a major milestone for Desert Control and a clear validation of our

Weems. “Our clients are now eligible for substantial financial support through
MWD and LADWP programs, significantly strengthening the return on investment for
deploying our technology.”

Desert Control’s technology is designed for large, irrigated properties such as
golf courses, sports fields, parks, home-owner-association landscapes (HoA’s),
universities, and campuses. The solution improves soil’s ability to retain
moisture and nutrients, reducing irrigation demand while supporting healthier
and more resilient turf and landscaping vegetation. Recent pilot programs in
California demonstrate water savings from 25% to 60%, alongside improved turf
quality, soil health, and operational efficiency.

With the new program approvals, clients who meet the following criteria may be
eligible for incentives:

· Located within the MWD service area, which includes LADWP and 25 other
member agencies
· Operate large, irrigated landscapes with 3 years of water use data available
· Participate in baseline and post-installation monitoring, with adjustments
for weather conditions

Eligible project expenses include materials, third-party labor, irrigation
system upgrades, and installation.

For Desert Control, this eligibility opens up accelerated growth opportunities
across key markets in California. With water costs rising and regulatory
pressure mounting, the ability for clients to fund up to half their
implementation costs through public incentive programs dramatically strengthens
the company’s commercial value proposition.

These programs also open the door for performance-based financing models,

Following recent policy announcements by the U.S. administration-to implement a
16% import tariff on Norwegian goods effective April 9, 2025-Desert Control has
conducted an internal review to assess both the direct implications of this
measure and the broader potential impact of recent U.S. trade actions. Based on
current information and the company’s operational structure, Desert Control does
not foresee any material effect on its U.S. operations, delivery capabilities,
or supply chain at this time.

Desert Control operates in the United States through its wholly owned
subsidiary, Desert Control Americas Inc., and serves the U.S. market through a
fully domestic value chain. This includes sourcing raw materials, local project
execution, and in-market manufacturing of Desert Control’s proprietary mobile
production systems for soil treatment.

· Limited Exposure to Affected Trade Categories: The announced tariff measures
primarily apply to physical goods. Services such as digital support, consulting,
and technology deployment remain outside the scope of current trade actions.
· U.S.-Based Manufacturing of Production Units: Mobile production systems for
the U.S. market are built locally and are, therefore, not directly subject to
import tariffs. While the units are manufactured in the United States, certain

its U.S. subsidiary, Desert Control Americas Inc. (DCAM), has executed the final
service agreement for its water conservation solution with Woodland Hills
Country Club (WHCC), formalizing the terms outlined in the binding Memorandum of
Understanding (MoU) announced on 9 December 2024.

The agreement involves the full deployment of Desert Control’s proprietary water
-conservation solution across 43 acres of WHCC’s golf course. Implementation is
scheduled to commence in the week of April 15, 2025, with May anticipated to be
the first full month of operation under the agreement, marking the start of
monthly recurring revenue (MRR) generation for Desert Control.

The service agreement is structured under the company’s Pay-As-You-Save (PAYS)
model, in which Desert Control funds implementation and earns revenue from a
share of actual water cost savings. Savings are calculated by comparing real
water usage to a predefined historical baseline, multiplied by the applicable
water rate each month. Revenue is tied directly to verified savings, calculated
with objective data from the client’s metered water use, ensuring transparency
and high confidence in revenue recognition. This creates a direct, transparent,
and performance-based revenue stream aligned with client value creation.

The total agreement value for DSRT has the potential to exceed NOK 8.5 million
over five years, based on achieving water savings above 25%. For WHCC, the
agreement reduces its largest, fastest-growing operational expense for golf
course maintenance-irrigation-while maintaining top-tier golf course conditions.
For Desert Control, the agreement secures predictable, performance-tied MRR with
long-term upside, converting upfront investment into recurring revenue based on
measurable outcomes.
