Austevoll, Norway, 2 October 2023: Reference is made to the stock exchange
announcement made on 29 September 2023 by DOF Group ASA (the âCompanyâ)
regarding the approval and publication of a prospectus in connection with the
listing on the Oslo Stock Exchange of 123,276,652 new ordinary shares in the
Company.
The Companyâs board of directors has today resolved to convert all of the
123,276,652 B-shares outstanding to new ordinary shares (âNew Ordinary Sharesâ)
in an exchange ratio of 1:1 (the âConversionâ) in accordance with the Companyâs
articles of association.
The B-shares resolved converted to New Ordinary Shares are currently registered
under ISIN NO 0012855651, but will be transferred to the same ISIN as the
existing ordinary shares of the Company, i.e. ISIN NO 0012851874. The ISIN
change is expected to take place today, 2 October 2023, and be effectuated two
trading days thereafter.
It is expected that the first day of trading in the New Ordinary Shares on the
Oslo Stock Exchange will be on or about 3 October 2023. Thus, the New Ordinary
Shares are expected to trade under the current ISIN (being ISIN NO 0012855651)
on 3 October 2023 and 4 October 2023, and the first day of trading in the New
Ordinary Shares under the same ISIN as the ordinary shares (being ISIN NO
0012851874) is expected to be 5 October 2023. The aforementioned ISIN shift will
not interfere with trading in the New Ordinary Shares, as trades made with
ordinary T+2 settlement on 3 October 2023 and 4 October 2023 will be settled
with shares under the new ISIN (NO 0012851874) two trading days after such
trades being made.

of NOK 2.50.
