Reference is made to the stock exchange notice published on 14 May 2024 regarding a potential secondary placement of existing ordinary shares (the “Shares”) in Elopak ASA (“Elopak” or the “Company”) by Ferd AS (the “Seller”).
The Seller has successfully sold 22,000,000 Shares in the Company, representing approximately 8.2% of the issued and outstanding Shares in the Company, at NOK 33.50 per share (the “Offering”).
Following completion of the Offering, the Seller holds 139,465,870 Shares in the Company, representing approximately 51.8% of the outstanding Shares and votes. As a result of the Offering, the free float in the Company will increase from approximately 35.0% to approximately 43.2%. The Offering is unconditional as of the time of allocation, and the Sale Shares will be tradeable upon allocation as from 15 May 2024. Settlement will take place on a delivery versus payment basis on 21 May 2024.
The Offering attracted strong interest and was multiple times oversubscribed. On this basis, the Offering was upsized from 20,000,000 Shares to 22,000,000 Shares.
In connection with the Offering, the Seller has committed to a 90-day lock-up period with the Managers (defined below) for the remaining shares in Elopak that the Seller holds, subject to certain customary exemptions.
The purpose of this transaction is to increase the free float in the Elopak share and allow asset reallocation for Ferd. Ferd remains committed to being a long-term, significant owner in the Company and has strong conviction in Elopak’s future prospects. CEO of Ferd, Morten Borge, comments: “Elopak is enjoying solid operational and commercial performance supported by its successful strategy execution and strengthened positioning. I am very pleased to see the company delivering ahead of the targets communicated during the IPO in June 2021 and we look forward to continuing this journey.”
Ferd is represented on the Board of Directors of the Company through Manuel Arbiol Pascual, being a primary insider.
Arctic Securities AS and Skandinaviska Enskilda Banken AB (publ) acted as joint bookrunners in connection with the Offering (the “Managers”).
