Endúr ASA – Mandatory notification of trade – Redelivery of shares

Endúr ASA – Notice of written resolution – increasing redemption

Reference is made to the stock exchange announcement by Endúr ASA (the “Company”) on 16 September 2021 regarding the adoption of the proposal pursuant to the notice of written resolutions dated 10 September 2021 (the “Adopted Proposal”) under the Company’s bond issue with ISIN NO0010935430 (the “Bonds”) whereby it was resolved, inter alia, that the Issuer shall redeem 10.00 per cent. of the outstanding Bonds (equivalent to NOK 110 million).

Endúr ASA – Increased bond redemption

Endúr ASA – New contracts awarded

The Endúr Group has been awarded new contracts for a combined contract value of NOK 435 million. Endur’s work and production on the underlying projects will commence immediately, continuing through to 2024. The scope of the contracts aligns with the Group’s core competencies and are within both of the group’s largest business segments “aquaculture solutions” and “marine infrastructure”.

The new contract awards are a reflection of both favourable underlying market conditions as well as Endur’s position as a preferred supplier in its main industry sectors. The new contract volume adds to the Group’s already substantial order backlog.

Endúr ASA: Cancellation of Subsequent Offering

Reference is made to the stock exchange announcement by Endúr ASA (the “Company”) published on 16 November 2021 regarding the successfully completed private placement of NOK 170 million through the issue of new shares in the Company at a subscription price of NOK 0.75 per share (the “Private Placement”). In the announcement the board of the Company also expressed that it would consider undertaking a subsequent offering with non-tradeable subscription rights of up to 40,000,000 new shares at the same subscription price as in the Private Placement, depending inter alia on the development of the price of the shares in the Company after completion of the Private Placement.

Since completion of the Private Placement the Company’s shares have consistently traded below the subscription price in the Private Placement and the total traded volume at these price levels has been above the size of the potential subsequent offering. Endúr ASA: Issuance of shares in connection with employee share purchase program

Reference is made to Endúr ASA’s (the “Company”) annual general meeting on 21 May 2021, where the Company’s board of directors was granted an authorisation to increase the Company’s share capital by issuing new shares in connection with an employee share purchase program in the Company.

Solid start på året for Endúrs datterselskap, Sjøsterk

Året har begynt godt for Endúr Sjøsterk AS, et heleid datterselskap av Endúr ASA. Allerede før januar er omme har selskapet signert tre kontrakter med en samlet verdi på knappe 100 millioner kroner.

– Vi har så langt i 2022 signert kontrakter med Ballangen Sjøfarm, Gigante Salmon og Høgskulen på Vestlandet. Samlet verdi på kontraktene er på nesten 100 millioner kroner. Året har begynt godt, sier daglig leder i Sjøsterk, Mons-Ove Hauge.

Ballangen Sjøfarm er et ekspansivt oppdrettsselskap med en årlig produksjon av laks på 11.000 tonn. Selskapets produksjonsfasiliteter ligger i Ofotfjorden i Evenes og Narvik kommune. Selskapet er delvis eid av Cermaq som i november 2021 bestilte en fôrflåte av Sjøsterk. Nå er det Ballangen Sjøfarm som er bestiller av en Sjøsterk 602-flåte. Flåten som i helhet blir produsert i betong, er på 20 x 40 meter og har en lastekapasitet på 600 tonn. Flåten får en boligdel på toppen og skal leveres i desember 2022.

Sjøsterkflåten som Gigante Salmon har bestilt er en bolig- og arbeidsflåte på 17×34 meter. Flåten har en lagringskapasitet på 600 tonn og skal leveres i mai neste år. I Gigante Salmons egen børsmelding om flåtebestillingen, som de sendte ut i går (27.01.2022), skriver de at selskapets strategi er å benytte velkjent og utprøvd teknologi fra klassisk lakseoppdrett sammen med nye løsninger og slik utvikle framtidsrettede havbruksløsninger. Å velge en oppdrettsflåte fra Sjøsterk er i tråd med denne strategien. Flåten skal benyttes ved deres nye landbaserte oppdrettssatsing i Rødøy kommune på Helgeland i Nordland.
– Flåten er selve operasjonssentralen i det nye anlegget, og det er gledelig å ha denne kontrakten på plass. Det er en avgjørende forutsetning for driften av anlegget, sier Helge E. W. Albertsen, CEO i Gigante Salmon AS.

Han forteller at Gigante-konsernet har kjøpt to oppdrettsflåter fra Endúr Sjøsterk tidligere og at erfaringene er gode.
– Signeringen av denne kontrakten er en viktig milepæl for prosjektet og selskapet, sier Albertsen.

I tillegg har Høgskulen på Vestlandet signert en viktig kontrakt på en flåte som skal benyttes til dykkebase ved dykkerutdanningen i Bergen. Kontrakten er et resultat av offentlig anbudskonkurranse der Endúr Sjøsterk nådde lengst med forslag på løsning og pris. Dykkeflåten skal leveres i Q4 inneværende år. Samlet verdi på de tre kontraktene er på tett på 100 millioner kroner, en positiv tilvekst til Endúr ASAs ordrereserve som per Q3 2021 hadde en samlet ordrereserve på i overkant av 2,2 milliarder kroner.

– Kontraktene sikrer gode arbeidsplasser og bidrar til god aktivitet i våre produksjonsfasiliteter like utenfor Bergen. Vi er glade for alle kontrakter, men det er spesielt gledelig at aktører som har bestilt flåter fra oss tidligere kommer tilbake gang etter gang. Det tar vi som en bekreftelse på at vi leverer et produkt som tilfredsstiller kunder med høye krav til kvalitet og driftssikkerhet, sier Hauge.

Endúr ASA: Marcon secures strategically important foothold in northern Sweden

21 February 2022 – Swedish marine infrastructure company Marcon-Gruppen i Sverige AB (Marcon) – a wholly owned subsidiary of Endúr ASA - has entered into an agreement to acquire Dykab AB, a company providing marine infrastructure services out of Luleå, a city located in Norrbotten, Sweden’s northernmost county.

The primary purpose of the acquisition is to secure a strategic local foothold and platform from which to grow Marcon’s activities in the northern part of Sweden. It will enable Marcon to easier serve this geographical region also with the group’s current resource and asset base.

“This acquisition is fully in line with Endúr’s strategy of being a consolidator in a highly fragmented marine infrastructure market. For Marcon, securing a local platform from which to expand our activities in northern Sweden is strategically important when considering the major infrastructure investments that will be undertaken here. The acquisition also fills our last geographical gap in Sweden, thereby making it significantly easier for us to cost-efficiently serve the market in northern Sweden,” says Jörn Ryberg, CEO of Marcon.

Infrastructure investments of more than SEK 1,000 billion are planned for northern Sweden over the coming decade, whereof approximately SEK 700 billion in Norrbotten alone. The acquisition of Dykab AB provides a cost-effective platform for Marcon to capitalise on this development.

Dykab AB earned revenues of approximately SEK 20 million in 2021. The agreed consideration for acquiring 100 percent of the shares in Dykab AB is approximately SEK 9 million. The three sellers of Dykab AB have committed to continue in their positions in the company, thus providing operational continuity. The sellers shall also reinvest approx. one third of the consideration in Endúr shares.

Marcon is a market leader within marine infrastructure in Sweden. The company performs a range of services connected to marine infrastructure construction and marine services, as well as other adjacent services including hydrographical services, dredging, rentals, inspections and diving.

Endúr ASA: Record high revenues | Fourth quarter and full-year 2021 interim financial results

25 February 2022 – Endúr ASA (Endúr) delivered consolidated revenues of NOK 663.2 million in the fourth quarter 2021, up 50 percent from the same quarter last year (Q4 2020: NOK 443.5 million proforma). This is the company’s highest quarterly revenues ever, both actual and pro-forma. Adjusted EBITDA was NOK 62.2 million, up 66 percent from the fourth quarter last year (NOK 37.6 million proforma). EBIT ended at NOK 29.1 million in the fourth quarter 2021, a significant improvement from the same quarter last year (NOK -51.8 million proforma).

“It is important to note that we are delivering record revenues in the fourth quarter of the year. We are engaged in outdoor construction and maintenance activities that are impacted by seasonal effects, so to deliver such strong growth at the start of the winter season is highly encouraging,” says Jeppe Raaholt, CEO of Endúr.

Endúr is a leading provider of marine infrastructure and land-based aquaculture solutions. The group conducts business segment reporting through two core business segments: Marine Infrastructure and Aquaculture Solutions, plus a third segment comprised of Endúr’s legacy business and group functions.
The Marine Infrastructure segment achieved record production and results in the fourth quarter 2021. The Aquaculture Solutions segment, driven by Artec Aqua, continued its very high growth rate, but margins were affected by organizational investments undertaken for rigging the company for further growth, as well as earning some revenues in the quarter without margin (cost compensation only) where the actual project cost exceeded the agreed target. Endúr Sjøsterk’s result in the period contributed negatively to the segment’s margin in the quarter.

“We are achieving strong growth across both segments. After an unusually cold and long winter in Sweden last year, which put a lot of projects on hold, we have seen somewhat of a ‘ketchup effect’ in the Swedish marine infrastructure market in the second half of 2021. However, there is still pent-up demand in this market,” adds Jeppe Raaholt.

Endúr had a solid order backlog of NOK 2,162 million at year-end, up from NOK 1,391 million (proforma) a year prior. The order backlog at year-end 2021 does not include the Heads of Terms agreement that Artec Aqua entered into with Salmon Evolution on 7 February 2022 for phase 2 of Salmon Evolution’s land-based grow-out facility at Indre Harøy in Norway. This project could involve estimated revenues of NOK 1.3 – 1.4 billion for Artec Aqua. The final design and construction agreement is expected to be effectuated in the second quarter of 2022. Neither does the order backlog include other announced projects for which Artec Aqua has entered into letters of intent.

“We retain our positive outlook for both the aquaculture and marine infrastructure segments. We expect both markets to continue growing and we are well positioned to capitalise on this,” adds Jeppe Raaholt.

Endúr’s net interest-bearing dept was NOK 687 million at year-end 2021, down from NOK 894 million at the end of the third quarter 2021.

For the full-year 2021, Endúr delivered consolidated proforma revenues of NOK 2,186.0 million (2020: NOK 1,793.7 million), proforma adjusted EBITDA of NOK 187.8 million (2020: NOK 222.9 million), and proforma EBIT of NOK 13.8 million (2020: NOK 29.3 million).

Endúr ASA: Marcon awarded long-term frame agreement in the Stockholm region

3 March 2022 – Stockholms Vattenentreprenader AB (“Sventab”), a wholly owned subsidiary of Endúr-owned Swedish marine infrastructure group Marcon, has today been awarded a long-term frame agreement by Stockholms Hamn AB for maintenance and repairs of quays and quay equipment as well as construction work.

The frame agreement stipulates a call off structure with Sventab ranked as nr. 1, and has been awarded following a public tender process, has a duration of two years plus six one-year extension options, for a maximum total of eight years. Stockholms Hamn AB estimates that the contract value is approximately SEK 10–30 million per year, equivalent to a revenue potential of between SEK 80–240 million over the full eight-year period.

The frame agreement includes maintenance work on quays, fixed quay equipment, concrete ramps, erosion protection, bridges and pontoons. It covers the following Swedish harbours: Stockholms Hamn, Norviks Hamn, Kapellskärs Hamn and Nynäshamns Hamn.

“The Swedish marine infrastructure is extremely active and still improving. This contract, which is considered low-risk project execution, is an excellent example of the type of work that has now resurfaced following last year’s hiatus caused by Covid-19 and an unusually cold winter period that caused frozen waterways,” says Jörn Ryberg, CEO of Marcon.
