Reference is made to Endúr ASA’s (the “Company”) annual general meeting held on 23 May 2023, where the Company’s board of directors was granted an authorisation to increase the Company’s share capital by issuing new shares in the Company for general corporate purposes.
The Company has completed the employee share purchase program for 2024 (“ESPP2024”), and is pleased to announce that it has received applications from the group’s employees to purchase subscribe for up to a total of 123,123 new shares at a share price of NOK 32.7525 per share (the “Subscription Price”).

All permanent employees and board members have been given the opportunity to subscribe shares in the Company at a discount in accordance with the resolution made by the general meeting, for the amount of either NOK 16,000, NOK 48,000 or NOK 160,000 in the Company (after discount). The Subscription Price per share of NOK 32.7525 is based on the volume weighted average closing price (NOK 40.9406) of the Company’s share during the application period reduced by a discount of 20%. The new shares are subject to 6 months lock-up.

– Pål Reiulf Olsen (Chairman of the Board), acting through Poca Invest AS, has been allocated 4,885 shares. Following the transaction, Pål Reiulf Olsen holds 98,248 shares and 20,000 share options in the Company.
– Kristine Landmark (Board member), has been allocated 4,885 shares. Following the transaction, Kristine Landmark holds 25,885 shares in the Company.
– Pål Skjæggestad (Board member), acting through Skjæggestad Invest AS, has been allocated 4,885 shares. Following the transaction, Pål Skjæggestad holds 18,885 shares in the Company.
– Jeppe Raaholt (CEO), acting through Råbjørn AS, has been allocated 4,885 shares. Following the transaction, Jeppe Raaholt holds 214,570 shares and 80,000 share options in the Company.
– Einar Olsen (CFO), acting through Red Devil Holding AS, has been allocated 4,885 shares. Following the transaction, Einar Olsen holds 37,728 shares and 60,000 share options in the Company.
– Hanne Snipen (CAO), has been allocated 488 shares. Following the transaction, Hanne Snipen holds 2,543 shares and 10,000 share options in the Company.
– Elisabet Mørk (VP Finance), has been allocated 1,465 shares. Following the transaction, Elisabet Mørk holds 2,870 shares and 5,000 share options in the Company.

Following completion of the ESPP2024, Based on the applications received from the employees and pursuant to the authorisation granted by the Company’s ordinary general meeting on 23 May 2023, the board has today resolved to increase the Company’s share capital by up to NOK 61,061.50 by issuing up to 123,123 new shares, each at a nominal value of NOK 0.50, at the a Subscription Pprice of NOK 32.7525 per share. Following registration of the new share capital, the Company will have a share capital of NOK 18,446,075.00, consisting of 36,892,150 shares, each with a nominal value of NOK 0.50.
