Reference is made to Endúr ASA’s (the “Company”) annual general meeting held on 4 March 2025, where the Company’s board of directors was granted an authorisation to increase the Company’s share capital by issuing new shares in the Company for general corporate purposes.
The Company has executed an employee share purchase program for 2025 (“ESPP2025”), with a subscription period from 31 March 2025 to 8 April 2025, and is pleased to announce that it received applications from the group’s employees to purchase subscribe for up to a total of 383,340 new shares at a share price of NOK 59.42336 per share (the “Subscription Price”).

All permanent employees and board members have been given the opportunity to subscribe shares in the Company at a discount, for the amount of either NOK 16,000, NOK 48,000, NOK 160,000 or NOK 320,000 in the Company (after discount). The Subscription Price per share of NOK 59.42336 is based on the volume weighted average closing price of the Company’s share during the application period reduced by a discount of 20%. The new shares are subject to 6 months lock-up.

– Pål Reiulf Olsen (Chairman of the Board), has been allocated 5,385 shares. Following the transaction, Pål Reiulf Olsen holds 146,399 shares and 10,000 share options in the Company.
– Kristine Landmark (Board member), has been allocated 2,692 shares. Following the transaction, Kristine Landmark holds 33,577 shares in the Company.
– Jostein Devold (Board member), has been allocated 5,385 shares. Following the transaction, Jostein Devold holds 10,643 shares in the Company.
– Jeppe Raaholt (CEO), acting through Råbjørn AS, has been allocated 5,385 shares. Following the transaction, Jeppe Raaholt holds 308,857 shares and 720,000 share options in the Company.

– Hanne Snipen (CAO), has been allocated 2,692 shares. Following the transaction, Hanne Snipen holds 5,565 shares and 15,000 share options in the Company.
– Elisabet Mørk (VP Finance), has been allocated 5,385 shares. Following the transaction, Elisabet Mørk holds 8,915 shares and 10,000 share options in the Company.

Following completion of the ESPP2025, based on the applications received from the employees and pursuant to the authorisation granted by the Company’s ordinary general meeting on 4 March 2025, the board has resolved to increase the Company’s share capital by NOK 191,670.00 by issuing 383,340 new shares, each at a nominal value of NOK 0.50, at a Subscription Price of NOK 59.42336 per share. Following registration of the new share capital, the Company will have a share capital of NOK 25,348,000, consisting of 50,696,000 shares, each with a nominal value of NOK 0.50.
