aksjespareordning har den 22. mai 2025 fått tildelt aksjer.

Videre har enkelte primærinnsidere som deltar i Equinors langtidsinsentivprogram
den 22. mai 2025 fått tildelt aksjer til en kurs på NOK 243,70 pr aksje i
forbindelse med selskapets langtidsinsentivprogram.
Langtidsinsentivprogrammet er et fast lønnselement som blir beregnet som en
andel av deltakernes grunnlønn, og er på 20-25 prosent avhengig av den enkelte
deltakerens stilling. Netto årlig beløp investeres i Equinor aksjer. Aksjene er
bundet i tre år.

Certain primary insiders, and their close associates, participating in Equinor’s
share saving plan, have on 22 May 2025 been allocated shares.

Further, certain primary insiders participating in Equinor’s long term incentive
programme, have on 22 May 2025 been allocated shares at a share price of NOK
243.70 per share in connection with the company’s long-term incentive programme.
The long-term incentive programme is a fixed, monetary compensation calculated
as a portion of the participant’s base salary, ranging from 20-25 per cent
depending on the individual’s position. The net annual amount is invested in
Equinor shares. The shares are subject to a three-year lock-in period.

close associates are set forth in the attached overview.

Further, the nomination committee recommends a re-election of Jon Erik
Reinhardsen as chair and Anne Drinkwater as deputy chair of the board, in
addition to re-election of Finn Bjørn Ruyter, Haakon Bruun-Hanssen, Mikael
Karlsson, Fernanda Lopes Larsen and Tone Hegland Bachke as members of the board
of directors. Current member, Jonathan Lewis will resign from the board of
directors as of 30 June 2025. It is recommended that Dawn Summers’ election
takes effect from 1 September 2025.

Dawn Summers served as Interim Chief Operating Officer at Harbour Energy from
2024 - 2025. In this position, she was responsible for ensuring business
continuity and smooth operations integration following Harbour Energy’s
acquisition of Wintershall Dea, where she was as Chief Operating Officer and
board member from 2020-2024. In this role, she was responsible for safe business
delivery and also led efforts to develop early-stage carbon capture and storage
(CCS) and hydrogen projects. Before this, Summers held COO roles at Beach Energy
from 2018-2020 and Origin Energy from 2016-2018. She was executive Head of HSE,
Operations & Developments with General Energy from 2013-2015 and has held
several positions with BP plc from 1995-2013.

Summers is active in European energy policy. As former Chair of the European
Board of the International Association of Oil & Gas Producers (IOGP), she led
strategic engagement with EU institutions on energy transition policy and energy
security. She also served as President of GasNaturally, promoting secure
approaches to climate resilience across the gas value chain.

Summers is a strong advocate for diversity and inclusion in the energy sector
and committed to mentoring the next generation of women leaders in STEM fields.

Summers has a Bachelor of Engineering (with Honours) in Chemical Engineering
from Edinburgh University and Executive Operations Leadership from MIT Sloan
School of Management in Massachusetts, USA.

The election to the board of directors of Equinor ASA takes place in the
company’s corporate assembly meeting Monday 2 June 2025. It is proposed that the
election takes effect from 1 July 2025, with the exception of Dawn Summers who
is proposed elected with effect from 1 September 2025, all with effect until the
ordinary election of members to the board of directors in June 2026.

Operating Officer og styremedlem fra 2020-2024. I Wintershall Dea var hun

Summers hatt COO-stillinger i Beach Energy fra 2018-2020 og Origin Energy fra
2016-2018. Hun var også administrerende direktør for HMS, drift og utvikling hos
General Energy fra 2013-2015. Summers har også bred erfaring fra BP fra perioden
1995-2013.

Summers er aktiv i europeisk energipolitikk. Som tidligere styreleder for det
europeiske styret i International Association of Oil & Gas Producers (IOGP)
ledet hun strategisk engasjement med EU-institusjoner om
energiomstillingspolitikk og energisikkerhet. Hun var også president i
GasNaturally, hvor hun arbeidet for å sikre løsninger for å begrense
klimagassutslipp i hele gassverdikjeden.

Summers har fremmet arbeidet for mangfold og inkludering i energisektoren og
veileder neste generasjons kvinnelige ledere innen vitenskap, teknologi,
ingeniørfag og matematikk.

Summers har en bachelorgrad i ingeniørfag (med utmerkelse) i kjemiteknikk fra
Edinburgh University og Executive Operations Leadership fra MIT Sloan School of
Management i Massachusetts, USA.

Valg til styret i Equinor ASA finner sted i selskapets bedriftsforsamlingsmøte
mandag 2. juni 2025. Det foreslås at valget får virkning fra 1. juli 2025 med

september, alle velges med virkning inntil det ordinære valget av

Election to Equinor’s board of directors

In a meeting in the corporate assembly of Equinor ASA (OSE:EQNR, NYSE:EQNR) on
2 June 2025 Dawn Summers was elected as a new member of the board of directors
of Equinor ASA.

The corporate assembly re-elected Jon Erik Reinhardsen as chair and Anne
Drinkwater as deputy chair of the board, in addition to re-election of Finn
Bjørn Ruyter, Haakon Bruun-Hanssen, Mikael Karlsson, Fernanda Lopes Larsen and
Tone Hegland Bachke as members of the board of directors. The current member,
Jonathan Lewis will resign from the board of directors as of 30 June 2025. Dawn
Summers is elected as a new member of the board of directors of Equinor ASA.

The election of the shareholder representatives to the board of directors of
Equinor ASA enters into effect from 1 July 2025, with the exception of Dawn
Summers who is elected with effect from 1 September 2025, all with effect until
the ordinary election of shareholder-representatives to the board of directors
in June 2026.

Further, the corporate assembly re-elected Hilde Møllerstad, as employee-
representative and elected Frank Indreland Gundersen and Geir Leon Vadheim as
new employee-representatives of the board of directors of Equinor ASA. Also,
Anette Heggholmen, Terje Werner Hansen and Hans Einar Haldorsen were elected as
deputy members for the employee-representatives of the board.

The election of employee-representative members to the board of directors enters
into effect from 1 July 2025 and is effective until the ordinary election of
employee-representatives to the board of directors in 2027.

Following the completion of the above transactions, Equinor ASA owns a total of
93,637,393 own shares, corresponding to 3.35% of Equinor ASA’s share capital,
including shares under Equinor’s share savings programme (excluding shares under
Equinor’s share savings programme, Equinor owns a total of 84,746,271 own
shares, corresponding to 3.03% of the share capital).
