Goodtech har vunnet service- og vedlikeholdsavtale med Renovasjons- og Gjenvinningsetaten i Oslo Kommune

Goodtech har inngått en 24/7 service- og vedlikeholdsavtale med Oslo Kommune og Renovasjons- og Gjenvinningsetaten («REG»), hvor Goodtech skal sikre oppetid gjennom automasjonstjenester til forbrenningsanleggene på Haraldrud og Klemetsrud, samt biogassanlegget på Romerike.

Avtalen omfatter en ramme på service- og vedlikeholdsarbeid på eksisterende fasiliteter, men kan også benyttes for større prosjekter. Omfanget av kundebehovet sammenfaller med mesteparten av Goodtechs tjenesteportefølje, og har en varighet til 31.12.2027, med opsjon på 1 + 1 år. Årlig verdi på rammen av avtalen vil avhenge av behovet, men er estimert inntil 10-15 millioner norske kroner i året.

Goodtech ASA - Award and exercise in RSU program and mandatory notification of trades

Award of new RSUs
Reference is made to the Annual General Meeting on 24 April 2025, where a new annual RSU allocation program (“RSU 2”) was implemented for those employees that rolled off the existing share-based incentive program (“RSU 1”) initiated in June 2022. The new RSU 2 program entitles select Leading Employees to receive RSUs with a three-year vesting period. Eligibility depends on retaining Restricted Shares acquired under RSU 1 and continued employment by the company. Participants who divest any RSU 1 Restricted Shares will no longer qualify for future RSU 2 allocations.

For the year 2025, the Board of Directors has awarded 99,900 RSUs to Leading Employees of the Company. Of the 99,900 RSUs, the primary insiders were awarded the following:

• Erling Gresvoll Olsen, Chief Sales Officer, has received 16,700 RSUs.

Exercise of existing RSUs - settlement and Mandatory Notification of Trades
Under the Company’s share-based incentive program RSU 1, investments made by Leading Employees are to be matched by Goodtech ASA based on a multiple of the initial number of invested shares following a three-year vesting period. On 24 June 2025, 512,302 Matching Shares from the prior years’ awards have vested and automatically exercised. In accordance with the terms and conditions of the RSU Matching Program, a total of 512,302 shares will be transferred to employees from the treasury shares acquired by the Company under its share buy-back program completed in 2022.

Following the transfer of shares to settle the Matching share obligation, the Company’s registered share capital remains unchanged at NOK 59,257,742, divided into 29,628,871 shares, each having a face value of NOK 2.0.

The total settlement of shares to primary insiders is as follows:
• Margrethe Hauge, Chief Executive Officer, has received 199,599 Matching Shares. Following this, Mrs. Hauge controls 359,865 shares in the Company’s share capital and holds 25,000 RSUs.
• Magne Reierson, Chief Operating Officer, has received 39,920 Matching Shares. Following this, Mr. Reierson controls 77,235 shares in the Company’s share capital and holds 16,700 RSUs.
• Erling Gresvoll Olsen, Chief Sales Officer, has received 133,066 Matching Shares. Following this, Mr. Olsen controls 222,237 shares in the Company’s share capital and holds 16,700 RSUs.
• Johan Håkansson, Director Business Development Sverige, has received 13,306 Matching Shares. Following this, Mr. Håkansson controls 43,853 shares in the Company’s share capital and holds 34,482 Matching Shares yet to be vested.

The remaining employees have in aggregate received 126,411 Matching shares and 41,500 RSUs.

Following this settlement and award of new RSUs, the Company will have a total of 488,990 outstanding Matching shares and RSUs. Subject to fulfilling the vesting conditions, each RSU and Matching share entitles the holder to one share in the Company.

Employees receiving Matching shares under RSU 1 program are entitled to sell a maximum of 50% of the Matching shares to cover taxes within the first 6 months of being allocated the shares, after which the remaining Matching shares may be sold.

Goodtech reports continued growth and improved profitability for the first half year 2025

Goodtech ASA delivered solid organic growth and substantial margin improvement in the second quarter of 2025, with EBITA up 70% year-over-year and a stable order backlog of NOK 345 million. The company remains robustly capitalized and with the focus on core operations, the company is well positioned for continued profitable growth.

Net operating revenue after external project costs increased to NOK 126.9 million (NOK 120.1 million in Q2 2024), representing 5.7% organic growth.

EBITDA rose sharply to NOK 15.2 million (NOK 10.2 million), a 50% increase year-over-year, with an EBITDA margin of 12.0% (8.5%).

EBITA increased to NOK 8.5 million (NOK 5.0 million), up 70% from the previous year.

Order intake totaled NOK 170 million (NOK 297 million), with a stable order backlog quarter-on-quarter at NOK 345 million (NOK 386 million).

The company had 302 employees at the end of Q2, up from 294 the previous year.

Goodtech remains robustly capitalized, with an equity ratio of 53% and cash and cash equivalents of NOK 71.3 million as of 30 June 2025.

The group has no outstanding debt, and total available liquidity stands at NOK 151.3 million.

Highlights H1 2025

Net operating revenue after external project costs reached NOK 263.7 million, up 9.7% from NOK 240.4 million in H1 2024.

EBITDA increased to NOK 30.4 million (NOK 22.1 million), corresponding to an EBITDA margin of 11.5% (9.2%).

EBITA rose to NOK 18.1 million (NOK 12.1 million), with the EBITA margin improving to 6.9% (5.0%).

Goodtech secures Offshore Wind Contract with Equinor for Baltyk 2 & 3 Projects

Goodtech is pleased to announce yet another milestone contract within offshore wind, strengthening our position in the offshore wind market. Today, we were awarded a contract by Equinor to provide the SCADA and control room solution for the operation center of Bałtyk 2 & 3 windfarms.

Bałtyk 2 and Bałtyk 3 are offshore wind power projects being developed by Equinor and Polenergia in the Baltic Sea, off the Polish coast. With a combined planned capacity of up to 1.44 GW, these projects will generate renewable electricity for over two million Polish households and play a vital role in Poland’s transition to a low-carbon energy system. Once operational, Bałtyk 2 and Bałtyk 3 are expected to reduce CO₂ emissions by several million tons annually while strengthening the country’s energy security.

Goodtech will deliver the Central Control Room solution for the offshore wind farms Baltyk 2 and 3. The delivery includes a common SCADA system for monitoring and situational awareness, telecommunications equipment and solutions to ensure safe and efficient operations. In addition, Goodtech will supply complete control room equipment including operator workstations, large screen display solutions, KVM technology, and server room equipment. The project will commence in November 2025 and is expected to be completed during Q1 2027.

Goodtech signs new framework agreement with Hafslund Celsio

Goodtech has entered into a new framework agreement with Hafslund Celsio for the delivery of IT consulting services and technical equipment in operational technology environments. The agreement has an estimated value of at least NOK 32 million over a period of 4 years, and a maximum value of NOK 64 million if the optional extension periods of 1+1+1+1 years are exercised.

The agreement continues an existing collaboration and includes, among other things, the delivery of specialized IT consultants with expertise in OT security and system integration, equipment and licenses for Hafslund Celsio’s facilities in Greater Oslo, as well as sustainable solutions with requirements for zero-emission service vehicles and environmental management systems.

Goodtech ASA initiates buyback of own shares

Goodtech ASA (the “Company”) has engaged SB1 Markets AS (the “Manager”) to explore the opportunity to acquire up to 120,000 shares in the Company (the “Offer”).

The shares will be used as part of company’s share-based incentive program for Leading employees. The buyback of own shares will be conducted in accordance with the authorization provided by the Company’s annual General Meeting on 24 April 2025.

The Offer will be carried out through a reverse bookbuilding process. The Manager will gather and accumulate sales orders from existing shareholders. Once a sales order is placed, it cannot be withdrawn or changed by the selling shareholder, and the selling shareholder is bound to sell the offered shares to the Company on the offered terms if and at such time the Offer is accepted by the Company, irrespective of whether the Company decides to purchase a lower amount of shares from a selling shareholder than offered for sale by the respective shareholder. The final purchase price per share will be set based on the sales orders received at a level representing a satisfactory price and offering volume (to be determined by the Company at its sole discretion). The final purchase price will be identical for all selling shareholders.

The bookbuilding period commences immediately and is expected to close at 16.30 hours (CET) on 13 November 2025. The bookbuilding period can be changed at the Company’s and the Manager’s sole discretion. If the transaction is to be completed, pricing will follow shortly after the bookbuilding period. Based on the above closing time, allocation is expected to be made on 14 November 2025, and settlement is expected to take place on or about 18 November 2025 through a delivery versus payment (DVP) transaction. If the bookbuilding period is changed, the dates will be adjusted correspondingly.

In the event that the total number of received sales orders at the final purchase price exceeds the number of shares the Company wishes to purchase (or such decreased number of shares the Company wishes to purchase), the allocation will, to the extent possible, be made on a pro rata basis based on the volume offered by each selling shareholder with the objective of treating all shareholders equally based on their indicated interest in participating in the Offer at the final purchase price. The Company reserves the right to, at any time, terminate and not complete the Offer or make any amendments with regards to the volume or other terms of the Offer.

Goodtech awarded automation and control systems contract for Antec Biogas

Goodtech has signed a contract with Antec Biogas AS to deliver a comprehensive automation and control solution for the biogas facility in Hornindal, Norway. The agreement includes a process control and emergency shutdown system along with an asset performance management solution.

The estimated contract value is NOK 15–20 million, with completion scheduled by end of 2026.

This solution provides Antec with control, safety, and performance monitoring together in one scalable architecture which will allow them to easily scale activity and retain operational control,” says Margrethe Hauge, CEO of Goodtech.

Once completed, the facility will be able to process 150.000 tons of biomass per year into liquid biogas (LBG) to fuel transport and maritime sectors, with remains being produced into bio-fertilizer. This will significantly reduce carbon emissions, and future expansions will also include CO2 capture to reduce the carbon emissions further.

Annual Financial Statements Approved by the Board

The Board of Directors of Goodtech ASA approved the annual financial statements for the financial year 2025 at its meeting today 20 March 2026. The approved accounts show no material changes compared with the preliminary annual results published on 13 February 2026.

The Board proposes a dividend of NOK 0.50 per share based on the annual financial statements for 2025.
