Primary insiders of Huddlestock Fintech AS (“Huddlestock” and “the Company”); Board members and Executive Committee members have been allocated shares from their subscriptions in the capital increase announced May 7, 2021.

Per Øyvind Berge – Member of the Board of Huddlestock has purchased 83,334 shares at NOK 6.00 per share. After the purchase, Per Øyvind Berge holds 5,408,334 shares through his company Grunnfjellet AS.

Murshid Ali – Member of the Board of Huddlestock has purchased 25,000 shares at NOK 6.00. After the purchase, Murshid Ali holds 6,887,189 shares in the Company through his 100% owned Berker Group AS. In addition, he owns 1,000 shares in his personal name, Murshid Ali.

John E. Skajem – Chief Executive Officer has purchased 100,000 shares at NOK 6.00 per share. After the purchase, John E. Skajem owns 703,000 shares.

Cecilia Luras - Director of Strategy & Investor Relations has purchased 15,000 shares at NOK 6.00 per share. After the purchase, Cecilia Luras owns 15,000 shares.

(Stavanger, NORWAY – 11 June 2021) Huddlestock Fintech AS (HUDL, OSE: HUDL) announces close of Visigon Nordic AB deal.

Reference is made to the stock exchange announcement of Huddlestock Fintech AS (the “Company” or “Huddlestock”) dated 5 May 2021 and 1 June 2021 regarding the Company’s acquisition of Visigon Nordic AB and the results of the Rights Issue (the “Capital Raise”).

Huddlestock is delighted to announce the closing of the deal to acquire Visigon Nordic AB. As per the announcement made May 5, 2021, the acquisition was paid for in the following split: 60% cash payment and 40% share exchange by the issuance of Huddlestock-shares. The final price paid for Visigon Nordic AB was NOK 56 million, implying a valuation of 1.4x 2020 sales and 6x EV/EBITDA.

As a part of the closing today of said acquisition, the board of directors today resolved to issue 3,838,448 new shares (“New Shares”) via a private placement directed to the sellers of Visigon Nordic AB. The sellers of Visigon Nordic AB (“Sellers”) will subscribe for the New Shares pro rata. The contribution by the Sellers is made by assigning 300 shares, pro rata, in Visigon Nordic AB to the Company.

The Company has today in addition also resolved to issue 516 520 new shares to Vision Invest Stavanger AS, Gjedrem Holding AS, John Skajem, Colibri Invest AS, Cecilia Luras and Nith Vegaya (“Subscribers”). The share capital increase shall be by contribution in kind from the Subscribers by Offsetting a debt of NOK 3 099 120. The shares will be divided proportionately between the Subscribers by the size of the Company’s debt to the Subscribers. The issuance of new shares was approved by Huddlestock’s Board of Directors.

Following the registration of the capital increases as set out above, Huddlestock will have a share capital of NOK 226,674.713 divided into 119,302,481 shares.

Stavanger, Norway, 26 August 2021 – Huddlestock Fintech AS today released its Unaudited Financial Report for the First Half-year and Second Quarter 2021, a transformational quarter for the company. In June, Huddlestock acquired the leading Nordic expert consultancy for financial institutions, Visigon Nordic AB supplementing Huddlestock’s existing portfolio of wealth tech software.

Huddlestock CEO, John Skajem commented: “With our larger team of expert consultants from Visigon, we see many opportunities for growth and synergies. At home in the Nordics, Visigon’s market position and reputation constitutes a fantastic customer proposition together with Huddlestock Technology, whereas Huddlestock’s footprint internationally can be a door opener for Visigon’s services outside the Nordics.”

With its suite of ground-breaking technology solutions for digitizing processes for wealth managers, custody banks and trading venues, Huddlestock has a strong pipeline of projects for both the Bedrock connectivity platform for online trading and the Apex B2B solution for custody banks. During Q2, the company continued to sign up new clients; including Aledius GmbH and AVL Investment Fonds. However, as a result of lengthy periods of lock-down due to the global health pandemic in its key markets, Germany and Malaysia, the indicative project delivery timeline for a number of client contracts has been delayed.

“The global health pandemic that has ravaged the globe during 2020 and 2021 has delayed our delivery plans for Huddlestock’s technology in the short term. We are in close dialogue with our customers, and we expect to go live with several of them during the second half-year 2021 and the first quarter 2022,” John Skajem said.

Visigon continued its good development, onboarding 2 new clients during the first half-year and extending and increasing the customer engagement with a major Swedish bank after the end of the period. Significant revenues are already committed for the second half-year.

“We see strong demand for the technology Huddlestock offers, and with Visigon we have further improved our relevance for the finance industry, our market reach and ability to execute. Our long-term target to reach revenues of NOK 200 million in 2024 stands firm, and we target the signing of 1-2 Apex contracts and 4-6 Bedrock contracts per year on average over the coming 4 year period,” John Skajem said.

During the first half-year 2021, Huddlestock had pro-forma revenues, including full contribution from Visigon as if it was acquired 1 January, of NOK 23.8 million and, adjusted for non-recurring items linked to the acquisition, an EBITDA loss of NOK 2.2 million. Reported revenue, in which Visigon was consolidated as of June, was NOK 3.0 million and the EBITDA loss was NOK 3.7 million. The numbers included NOK 1.5 million of one-off cost related to the acquisition of Visigon. As a result of the delayed project pipeline, postponing revenue from Huddlestock Technology, the company’s revenue target for 2021 has been lowered from NOK 51 million to NOK 41 million. The EBITDA target is lowered from NOK 5.3 million to NOK 1 million.

(Stavanger, NORWAY – 6 September 2021) On September 3rd 2021, a consortium of investors, including Huddlestock Fintech co-founders Michel van Tol, Peter van Kleef and Murshid M. Ali, have concluded an agreement to acquire 49% of the Danish FinTech company MakeImpact! ApS through a share-swap involving Huddlestock Fintech shares.

The share-swap agreement has been concluded outside of the remits of Huddlestock Fintech AS and the below is purely for informational purposes pertaining to transparency and reporting of primary insider trade.

The acquisition will be financed through a share-swap agreement between the consortium and MakeImpact! ApS, whereby the current owner(s) of MakeImpact! ApS will receive shares in Huddlestock Fintech AS in exchange for shares in MakeImpact! ApS.

A total amount of 773,810 Huddlestock Fintech AS shares will be transferred in exchange for a 49% stake in MakeImpact! ApS with a NOK 4.20 reference price.

To finance the share-swap agreement with MakeImpact! ApS:

Murshid M. Ali will be selling 309,524 shares in Huddlestock Fintech AS. Subsequent to the sale Murshid M. Ali will own 6,268,141 shares in Huddlestock Fintech AS through his company Berker Group AS

Peter van Kleef will be selling 309,524 shares in Huddlestock Fintech AS. Subsequent to the sale Peter van Kleef owns 20,589,222 shares in Huddlestock Fintech AS through his company Blue Oceans Enterprises Ltd.

(Stavanger, NORWAY – 17 September 2021) Huddlestock Fintech AS (HUDL, OSE: HUDL), through its leading fintech technology consultancy Visigon, and in partnership with Adenza (formerly known as Calypso), has entered into a collaboration with EKF, Denmark’s Export Credit Agency to deliver and host a full suite of treasury management services.

In close collaboration with Adenza, Huddlestock’s expert fintech consultancy Visigon won the tender to implement a cross-asset, front-to-back and fully integrated treasury platform based on Adenza’s Calypso for the Danish Export Credit Agency, EKF. EKF is now fully live with its new treasury solution after the last project delivery in the beginning of June 2021.

Since winning the tender, after an extensive EU public tender process in 2020, Visigon has delivered the full implementation project by providing strategic planning, project management and expert business- and technical consulting, assuring seamless implementation of Adenza’s Calypso treasury solution and tailoring to EKF’s specific needs. Going forward, Visigon will be managing and supporting the treasury solution for EKF, hosted in Visigon’s cloud service.

The platform provides EKF with real-time information on critical banking and trading activities to make informed decisions about funding, liquidity and risk management across asset classes, including FX, FXD, MM, Interest Rate Derivatives (IRD) and Fixed Income. The system enables EKF to optimize their balance sheet, automate workflows and realize operational efficiencies.
