Today the Company received clearance from competition authorities and as such the main conditions precedent for the Transaction have been fulfilled. Closing of the Transaction is expected to take place during the first half of April 2022, whereby SIBA Invest will receive 35,242,424 newly issued shares in the Company, which will equal 32.78 % of the total issued and outstanding share capital and votes in the Company at the time of closing of the Transaction (based on 107,497,579 shares). Consequently, the 25 % disclosure threshold in the Norwegian Securities Trading Act Section 4 2 has been triggered.

In 2021, the Group increased revenues to NOK 11 billion, corresponding to a 12
per cent growth from the year before and continued to strengthen its cost
leadership position. This translated into a 41 per cent adjusted EBIT growth for
2021, corresponding to an adjusted EBIT margin increase of 0.7 percentage
points. Profit before tax came to NOK 347 million, up 37 per cent from 2020.
“The migration to online shopping continues to be a positive driver for our
business, and we continue to expand our market share. Despite softer market
demand for consumer electronics towards the end of the year, we reported solid
revenue growth in 2021, primarily driven by strong progress across the B2B and
Distribution segments,” says Komplett ASA CEO Lars Olav Olaussen.
“Looking ahead, we anticipate the online migration to continue, and we are well
positioned to continue to increase our share of the market. In recent weeks, we
have all been saddened by the acts of war taking place in Ukraine. While the
human suffering is clearly our main concern, we must also acknowledge that
economic uncertainty may have an adverse impact on consumer spending and demand
in our markets,” says Lars Olav Olaussen.

by way of the Company acquiring all the shares in NetOnNet from its sole
shareholder SIBA Invest Aktiebolag (“SIBA Invest”) (the “Transaction”).

Komplett is pleased to announce that the Transaction has been completed today,
on 4 April 2022. Pursuant to the resolution made by the Company’s general
meeting on 16 March 2022, SIBA Invest has today subscribed for 35,242,424 new
shares in Komplett, representing 32.78% of the shares and votes in the Company
from registration of the share capital increase in the Norwegian Register of
Business Enterprises (Nw. Foretaksregisteret). Furthermore, Komplett has paid to
SIBA Invest the agreed cash consideration of NOK 1,500m with the addition of
4.0% interest per annum from 30 September 2021 until today financed with a
bridge loan facility as announced 9 February 2022.
Bringing together Komplett and NetOnNet will strengthen the position of the
combined group as a leading online-first electronics platform in the Nordic area
with an aggregated revenue in 2021 of NOK 18.5 billion. The transaction is
expected to enable realisation of cost synergies, mainly related to sourcing, of
at least NOK 200 million on an annual basis with expected full effect within 24
months of the completion of the transaction. Komplett will retain its strong
financial position and attractive dividend policy after the Transaction.

The Company will announce when the capital increase pertaining to the
Transaction has been registered with the Norwegian Register of Business
Enterprises. From such time, Komplett will have a share capital of NOK
42,999,031.60, divided into 107,497,579 shares, each with a nominal value of NOK
0.40.
The new shares subscribed by SIBA Invest will be issued on the temporary and
unlisted ISIN NO0012490020, pending publication of a listing prospectus for the
consideration shares. The shares held by SIBA Invest will be transferred to ISIN
NO0011016040 and listed following publication of the listing prospectus.
SIBA Invest and the main owner Canica Invest AS have entered into lock-up
agreements with Komplett under which they have undertaken not to sell or
otherwise dispose of the shares in Komplett for a period of 180 days from
completion of the Transaction. Both SIBA Invest and Canica Invest AS intend to
remain long-term shareholders in Komplett.

Q1-22: Improved competitive advantage

succeeded in sustaining a stable revenue of NOK 2 606 million despite a softer
B2C market and following record-strong growth in the first quarter of 2021.

While revenue in the B2C segment declined by 14.6 per cent compared with the
first quarter last year, the B2B and Distribution segments grew revenues by 20.5
per cent and 19.8 per cent, respectively. This demonstrates the attractiveness
of the Group’s multi-segment business model.

“This first quarter of 2022 has been an eventful period for Komplett with robust
and sustained double-digit revenue growth across the B2B and Distribution
segments on top of solid progress in 2021. In recent months, growth in the B2C
electronics market has levelled off following a period of unmatched growth.
Coupled with intense campaign activity this translated into top-line decline in
B2C. From a long-term perspective, the electronics market fundamentals remain
strong, and the favourable online migration continues, but we expect the softer
market conditions to continue in the coming quarters,” said Lars Olav Olaussen,
CEO of Komplett.

Efficient operation and good cost control led to a net decline in operation
expenses excluding Ironstone, but lower gross margins and currency effects drove
the adjusted EBIT result down to NOK 37 million, corresponding to an adjusted
EBIT margin of 1.4 per cent.

During the quarter, the Group also made solid progress on key strategic
initiatives, including completing the combination with NetOnNet.

“In February, we announced the decision to join forces with NetOnNet, a Swedish
-based e-commerce company with a highly recognised and appreciated consumer
brand and a long track record of profitable and sustainable growth. The
transaction is an important milestone on the way to our long-term targets, along
with organic growth initiatives,” added Lars Olav Olaussen.

combination with NetOnNet AB (“NetOnNet”).

As stated in the release, Komplett has financed the NOK 1,500m cash
consideration paid to the NetOnNet shareholder with a bridge loan maturing in
April 2023 which Komplett at the time intended to replace with proceeds from the
issuance of new shares in due course.

The board of directors is of the view that it is in the best interest of
shareholders to reduce the size of the planned share issue in the current
market. The board of directors has therefore decided that no dividend shall be
proposed for 2021 and thereby reducing the need for new equity by approximately
NOK 310m (based on the board’s former NOK 2.90 per share dividend proposal). The
Company is also considering refinancing a portion of the remaining part of the
NOK 1,500m bridge loan with long-term debt and thereby further reduce the size
of the planned share issue.

The final financing structure will support Komplett’s dividend policy which
remains a pay-out of 60-80% of net profit adjusted for any non-recurring and
special items going forward.

markedsutfordringene har konsernet oppnådd en organisk vekst på 12 prosent årlig
(CAGR) siden 2019.

Kompletts totale omsetning, inkludert omsetning fra NetOnNet, økte med 48
prosent til 3,6 milliarder kroner i andre kvartal. Eksklusive bidraget fra
NetOnNet, falt konsernets inntekter med 14 prosent, hovedsakelig på grunn av
utfordrende markedsforhold som særlig påvirker B2C-segmentet.

Driftsinntektene for B2C-segmentet, inkludert 1,5 milliarder kroner fra
NetOnNet, økte til 2,5 milliarder kroner i kvartalet, sammenlignet med 1,3
milliarder kroner for samme periode i 2021. Eksklusive NetOnNet falt inntektene
med 27 prosent, hovedsakelig på grunn av mer konservativt forbruk og lavere
etterspørsel innenfor sentrale kategorier.

B2B-segmentet fortsatte veksten med driftsinntekter på 351 millioner kroner i
kvartalet sammenlignet med 330 millioner kroner i 2021. Distribusjonssegmentet
vokste fra 708 millioner kroner i andre kvartal 2021 til 713 millioner kroner.

Som en konsekvens av lavere etterspørsel blant forbrukerne har hele bransjen
opplevd at lagrene fylles opp etter en periode med historisk høy etterspørsel.
For å kompensere for dette har konsernet redusert varebeholdningen tilsvarende
500 millioner kroner siden starten av 2022, hvorav en reduksjon tilsvarende
omtrent 350 millioner kroner skjedde i andre kvartal. Arbeidet med dette
forventes å fortsette i tredje kvartal.

Volumnedgang i B2C-segmentet kombinert med økt press på bruttomarginer som følge
av prispress i bransjen har vært hoveddriveren bak konsernets driftsresultat på
minus 10 millioner kroner, som tilsvarer en negativ driftsmargin på 0,3 prosent.
For første halvår 2022 var driftsresultatet 27 millioner kroner mot 186
millioner kroner i fjor, tilsvarende en driftsmargin på 0,4 prosent.

“Første halvår 2022 ble preget av utfordrende markedsforhold etter perioder med
historisk vekst. Dette har ført til lavere etterspørsel og lageroppbygging i
hele bransjen, noe som har satt press på marginene våre. For å kompensere for
dette har vi jobbet iherdig for å redusere varebeholdningen og er glad for å se
at denne innsatsen har resultert i en reduksjon tilsvarende 500 millioner kroner
siden begynnelsen av året. Jeg er også glad for å kunne si at til tross for den
globale inflasjonen, har vi klart å redusere netto driftskostnader i kvartalet,
noe som bekrefter vår bransjeledende posisjon når det kommer til lave
driftskostnader”, sier Lars Olav Olaussen, administrerende direktør i Komplett.

Siden oppkjøpet av NetOnNet i april i år har Komplett Group også jobbet for å
realisere kostnadssynergier gjennom forhandlinger med leverandører.
Transaksjonen forventes å muliggjøre kostnadssynergier på minst 200 millioner
kroner, og arbeidet med dette er allerede godt i gang. NetOnNet er konsolidert i
Kompletts regnskapstall fra 1. april 2022 og rapporteres som en del av B2C
-segmentet fra og med andre kvartal i 2022.

“Vi er trygge på at markedsuroen vi har sett de siste seks månedene er
midlertidig og at Komplett er attraktivt posisjonert for langsiktig vekst. Vi
har jobbet hardt for å nå vår bransjeledende kostnadsposisjon og vil fortsette å
jobbe mot våre vekstmål i kommende kvartaler. Jeg er veldig stolt av teamet, som
har bevist vår evne til å gjennomføre og følge opp strategiske mål samtidig som
vi tilpasser oss et turbulent marked”, legger Olaussen til.

these market challenges, the Group has delivered growth of 12 per cent yearly
(CAGR) since 2019 from organic expansion.

Komplett Group’s total revenue, including NetOnNet, increased by 48 per cent to
NOK 3 570 million in the second quarter. Excluding the contribution from
NetOnNet, the Group’s revenue decreased by 14 per cent, mainly due to
challenging market conditions which are mainly impacting the B2C segment.

Operating revenue for the B2C segment, including NOK 1 500 million revenue from
NetOnNet, increased to NOK 2 504 million in the quarter, compared with NOK 1 317
million for the same period in 2021. Excluding NetOnNet, revenues declined by 27
per cent, mainly due to conservative consumer spending and lower demand in core
categories.

The B2B segment continued its growth trajectory with operating revenue reaching
NOK 351 million compared with NOK 330 million in 2021. The Distribution segment
grew from NOK 708 million in 2021 to NOK 713 million in the second quarter of
2022.

As a consequence of lower consumer demand, the entire industry has experienced
inventory build-up following a period of historically high consumer demand. To
offset this, the Group has successfully reduced inventory by NOK 500 million
since the start of 2022, of which a reduction of approximately NOK 350 million
took place in the second quarter. This work is expected to continue in the third
quarter of 2022.

Volume decline in the B2C segment in parallel with added pressure on gross
margins from price pressure across the industry has been the main driver behind
the Group’s EBIT result of negative NOK 10 million, which corresponds to a
negative EBIT margin of 0.3 per cent. For the first half of 2022, EBIT was NOK
27 million compared to NOK 186 million last year, corresponding to an EBIT
margin of 0.4 per cent.

“The first half of 2022 can be characterised by challenging market conditions
following periods of historic growth. This has led to lower demand and inventory
build-up across the industry, which has put pressure on our margins. In response
to this, we have worked diligently to reduce our inventory levels and are
pleased to see that these efforts have resulted in a NOK 500 million reduction
in trade stock since the start of the year. I am also pleased to report that
despite operating in an inflationary environment, we have achieved a net
improvement in operating cost in the quarter, which supports our industry
-leading opex share,” said Lars Olav Olaussen, CEO of Komplett.

Since the completion of the NetOnNet acquisition in April this year, Komplett
Group has also worked towards realising cost synergies through supplier
negotiations. Overall, the transaction is expected to enable cost synergies of
at least NOK 200 million, and the work is well underway. NetOnNet has been
consolidated into Komplett’s financial statements as of 1 April 2022 and is
reported as a part of the B2C segment as of the second quarter of 2022.

instability is temporarily and that Komplett is attractively positioned for long
term growth. We have worked hard to attain our industry-leading cost position
and will continue working towards our growth prospects in the coming quarters. I

through on strategic objectives while adapting to a turbulent market
