corresponding to 0.13% of KA’s share capital.

the date of the execution of such transactions. The aggregated form will
indicate the aggregated volume and the weighted average price per day and per

in commercial vehicles.

Extensive power is required to activate the clutch in commercial vehicles with
manual transmissions. A clutch servo allows drivers to operate the clutch with
minimal effort. KA’s clutch servo proportionally amplifies the pedal force with
the help of air.

Developed by KA’s global team of engineers, the clutch servo is suitable for
various transmissions and installations. It provides complete aluminum housing,
is lighter in weight and has better performance. The modular design incorporates
an additional pneumatic valve for various safety features along with a position
sensor that is customized according to need. It has an optimized service ability
and high durability.

KA’s Morse Shanghai facility will produce and supply this product to one of the
top three commercial vehicles manufacturer in China. The contract starts in 2025
and will last for seven years.

“KA’s D600 clutch servo is the perfect synergy of innovation and efficiency that
is offered in our product line to our customers,” says David Redfearn, Chief
Sales Officer, adding, “KA’s has developed great customer intimacy, and we will
continue to develop, align, and embed our clutch technology in vehicles for our
key customer in the Chinese market.”

effect from January 1, 2024. With this change, KA will simplify its company
structure. Going forward, KA will consist of two business areas, Drive Control
Systems (DCS) and Flow Control Systems (FCS).

Under the leadership of Robert Pigg, the current Senior Vice President of the
Off-Highway business unit and now the Executive Vice President of Drive Control
Systems (DCS), the business area is strategically positioned to leverage
collective expertise.

DCS will specialize in supplying a diverse range of products and systems, such
as Actuators, Steer-by-Wire, Shift-by-Wire, Steering Columns, Pedals, Hand
Controls, Head Restraints, and others.

With DCS, KA can better streamline work processes, optimize cost, centralize
product development and business functions. It will also bring together
technological know-how, and years of experience from KA’s business units to
boost systems innovation within the company. This structural change will help KA
to further focus on Driver Controls and Powertrain Actuation, while continuously
seeking opportunities to modernize the company’s product portfolio, evaluating
the global footprint, right-sizing the company, and actively supporting customer
requirements.

“With the creation of the DCS business area, KA will move a step closer to
becoming a complete systems provider with a strong focus on commercial and off
-highway vehicles,” says Linda Nyquist-Evenrud, interim President & CEO of KA
adding, “An integrated business area will allow KA to focus on product
innovation, product line introductions and will fuel synergies between On
-Highway, Off-Highway, Driveline and Headrest businesses.”

Following the formation of DCS, Christian Amsel will return to his role as Chief
Technology Officer at KA after successfully serving as the interim Executive
Vice President of the P&C Business Segment. Amsel will continue to drive
innovation and technological advancements within the company.

KA’s Gear Control Unit automizes the gear shift functionality in heavy-duty
trucks. With integrated actuators on the transmission and operated by compressed
air, controlled with electrically operated valves, the gearshift operation is
performed in a precise way with comfort for the driver and efficiency for
improved fuel consumption. In addition to the mechanical unit with several
actuators and shift forks, the electronics and sensors are also part of the
scope.

This nine-year contract secured by KA is a result of a close collaboration
between KA’s three Tech Centers-Norway, Canada, and China. KA’s Wuxi, China
plant will supply the product to the leading heavy-duty truck manufacturer based
in China.

“KA is proud to win this significant Automated Manual Transmission contract,”
says David Redfearn, KA’s Chief Sales Officer, adding, “This contract nomination
proves, once again our capabilities in developing and industrializing commercial
vehicle powertrain applications. Winning this with one of the biggest OEMs in

The awards are worth:

Over EUR 34 million in lifetime revenue for hose and tube assemblies (Flow
Control Systems)

KA’s hose and tube assemblies transport fluid (including fuel, oil, and vapor)
around vehicles, and can withstand extreme temperatures. This is a 10-year
contract and KA’s Epila, Spain and Normanton, United Kingdom plants will produce
and supply the product.

Over EUR 15 million in lifetime revenue for lever shifters (Shift-by-Wire)
used in EVs (Powertrain & Chassis)

The lever shifters are being designed and developed by KA. The modular lever
shifter includes rotation in directions to suit shift patterns and meet a force
to give the end user an optimum shift feature. The concept includes a custom
finish with illuminated symbols/buttons. A high level of safety compliance is
included based on the software needs i.e., cyber security. This is an eight-year
contract, and KA’s Vrable, Slovakia plant will produce and supply the product.

The long-term agreement extension is for FCS Couplings’ compressed air systems.
KA’s state-of-the-art engineered air brake systems, Raufoss Couplings® and
Raufoss ABCT System are designed to meet individual specifications and
requirements of the commercial vehicle OEM. In addition to offering KA’s
customers the optimal system performance, Raufoss ABC system enables an
efficient vehicle assembly process.

KA’s plants in Raufoss, Norway and Cluses, France will produce and supply the
product for a commercial vehicle OEM based in Europe.

“This contract extension is confirmation by the OEM that the KA Couplings
system’s key pillars- sustainability, efficiency, and safety, are top priorities
also for current and next generation medium-duty (MD) and heavy-duty (HD)

a contract extension and a new contract worth over EUR 19 million total in
estimated lifetime revenue.

These four-year contracts are awarded by Tier 1 customer for KA to supply the
products globally across two vehicle platforms including an all-electric
vehicle. KA has developed and produced the headrest mechanisms in the Mullsjo,
Sweden facility.

This product is a KA-developed rear seat and electric foldable concept of head
restraint. This unique foldable mechanism keeps the passenger safe in case of an
accident by reducing whiplash.

After the above-mentioned transactions KA owns a total of 8,100,000 own shares,
corresponding to 0.85% of KA’s share capital.

As communicated November 15, KA will publicly announce information about the
transactions relating to the buy-back program, in a detailed form and in an
aggregated form, no later than by the end of the seventh trading day following
the date of the execution of such transactions. The aggregated form will

Ruud joined KA in 1996 and has, since March 2023, served as KA’s interim EVP for
IS&T.

“I am pleased to announce the official appointment of Henrik Ruud as EVP of KA’s
IS&T,” says Linda Nyquist-Evenrud, KA’s interim President & CEO, adding, “Having
served as interim EVP IS&T for the past nine months, this permanent appointment
reflects Ruud’s commitment and valuable contributions to KA. I am confident he
will drive KA’s global IS&T agenda forward and focus on steering the company’s
digitalization journey.”

“I am honored to be officially appointed as the EVP of IS&T organization in KA,”
says Ruud. “In this new role, my plan is to develop partnerships with all
functions, improve and digitalize business processes, advance utilization of
current systems as well as new technology, and enable the company by fostering a
learning culture.”

Before transitioning to IS&T, Ruud held various positions within Finance at KA,
both in Sweden and the United Kingdom. With this appointment, Ruud joins KA’s
Global Leadership Team and will continue to be based in Kongsberg, Norway.
