Kongsberg Gruppen ASA (“KONGSBERG”) has during the period 8-10 February 2022 repurchased 17,835 shares in KONGSBERG at an average price of NOK 272.96, and with this concludes the open market repurchase of the 2021-2022 share buyback programme as announced on 19 May 2021.

The total programme comprised about 1,52 million shares, of which 760,125 shares were repurchased in the market for a total consideration of NOK 199.9 million. The remaining shares will be purchased from the Kingdom of Norway through the Ministry of Trade, Industry and Fisheries and hence the Ministry’s ownership interest in KONGSBERG of 50.004% will remain unchanged.
The approx. 1.52 million shares will be cancelled and redeemed following approval by the Annual General Meeting in May 2022, whereby the number of registered KONGSBERG shares will be reduced by approx. 1.52 million from today’s 178.83 million. The shares that have been repurchased in the open market have had an immediate cash effect whereas the pro rata shares from the Norwegian state will be paid simultaneously with the capital reduction in mid-2022.
The weighted average price for the shares was NOK 262.98 and with this KONGSBERG concludes its about NOK 1.8 billion shareholder remuneration for 2020. The remuneration included ordinary dividends of NOK 3.00 per share, special dividends of NOK 5.00 per share in addition to the NOK 400 million share buyback programme, where the market part now has been finalised.
As announced on 5 January 2022 the purchase of about NOK 9 million of KONGSBERG shares related to a long-term incentive plan for management will be carried out during the period 11- 25 February 2022, followed by the purchase of no more than NOK 320 million of KONGSBERG shares related the 2022 employee share programme.
The buyback program has been carried out in accordance with the Market Abuse Regulation (EU) No 596/2014 (“MAR”) and Commission Delegated Regulation (EU) No 2016/1052 (“Safe Harbour Regulation”).
After the above-mentioned transactions KONGSBERG owns a total of 782 084 own shares, corresponding to 0.44% of KONGSBERG’s share capital.
