KONGSBERG enters into agreement for share buyback for up to NOK 500 million

Kongsberg Gruppen ASA (“KONGSBERG”) has on 13 May 2022 put in place a non-discretionary agreement with Danske Bank for the repurchase of KONGSBERG shares for up to NOK 250 million in the market. Under the agreement, Danske Bank will manage the programme and make its own trading decisions independently of, and uninfluenced by KONGSBERG. Share repurchases will start no earlier than 20 June 2022 and will be finalised no later than 13 January 2023.

The buyback program is carried out in accordance with the Market Abuse Regulation (EU) No 596/2014 (“MAR”) and Commission Delegated Regulation (EU) 2016/1052 (“Safe Harbour Regulation”). The execution will depend on market conditions, the programme may be discontinued, and KONGSBERG may terminate the programme before the threshold set out above is reached.

The remaining up to NOK 250 million of shares will be purchased from the Norwegian state pursuant to an agreement between KONGSBERG and the Ministry of Trade, Industry and Fisheries. According to the agreement the Ministry is committed to participate in a share buyback programme on a proportionate basis so that the Ministry’s ownership interest in KONGSBERG of 50.004% remains unchanged. The compensation for the Ministry’s shares and the following redemption of these shares is expected to occur in the second quarter 2023.

The buybacks will be made in accordance with the authorisation granted to the Board of Directors by the Annual General Meeting (“AGM”) on 11 May 2022. According to the authorisation, a maximum of 10 million shares, however limited by a total consideration of NOK 500 million, may be purchased at a minimum of NOK 50 and a maximum of NOK 600 per share. The authorisation is valid until the next AGM, albeit not beyond 30 June 2023.

KONGSBERG will seek approval from the 2023 AGM for cancellation of the shares repurchased under the programme and a corresponding redemption of the proportionate number of shares owned by the Norwegian state.

This information is subject to the disclosure requirements pursuant to Section 5-12 of the Norwegian Securities Trading Act and article 5 of the EU Market Abuse Regulation.

Forsvarsmateriell har forlenget avtalen med KONGSBERG om å oppgradere F-16 for videre salg

Kongsberg Aviation Maintenance Services (KAMS) har forlenget sin eksisterende kontrakt med Forsvarsmateriell om overhaling og klargjøring av ytterligere et parti tidligere norske F-16 kampfly for salg. Kontrakten inkluderer også overhaling av motorene og har en verdi på 200 MNOK.

Arbeidet vil foregå ved KAMS’ anlegg på Kjeller ved Oslo og vil sikre at F-16-kompetansen opprettholdes i Norge i årene som kommer. Flyene vil bli satt tilbake til driftsstatus og deretter vedlikeholdt slik at de er klare for tjeneste igjen. KAMS har 40 års erfaring med å vedlikeholde, reparere og oppgradere Norges F-16-flåte.

Våre jagerfly er blant de best vedlikeholdte i verden, og sentralt i dette arbeidet har vært det pågående vedlikeholdet og oppgraderingene som KAMS utfører. Jeg er derfor sikker på at våre fly vil tjene Draken og Romania godt i en årrekke fremover. I tillegg bidrar denne kontrakten til å opprettholde en viktig nasjonal kompetanse innen jagerflyvedlikehold i Norge, sier Magnus Hansvold direktør avhending i Forsvarsmateriell.

KONGSBERG signs 28 MEUR Contract for deliveries to new Cadeler Vessel

KONGSBERG has through Kongsberg Maritime, signed a contract of around EUR 28 million for delivery of a comprehensive technology package for a new Foundation Installation Vessel to be built for the Danish service provider Cadeler by Chinese shipbuilder COSCO Shipping (Qidong) Offshore. The vessel will be delivered to the owner in 2025. This is the third contract KM has received for Cadeler installation vessels.

“This is a very advanced vessel designed for the rapidly evolving offshore wind market,” says Egil Haugsdal, President, Kongsberg Maritime. “The bespoke solutions we have devised for the wind turbine installation vessels and this newly announced Foundation Installation Vessel as well as the contracts we have won, confirms both our position in this market as well as our effort to facilitate and encourage sustainable marine operations.”

KONGSBERG has received an order for Naval Strike Missiles worth MNOK 639

Kongsberg Defence & Aerospace AS (KONGSBERG) has received an order from Raytheon Missiles & Defence for Naval Strike Missiles (NSM) to the US Navy Over-The-Horizon Weapon System (OTH WS) program worth MNOK 639. Raytheon is prime contractor to the US Navy.

The order is related to the OTH WS framework agreement announced 31 May 2018 with a total cumulative scope of BNOK 7.8.

Kongsberg Digital signerer kontrakt med Mediterranean Shipping Company for digitalisering av nærmere 500 fartøy

Den fem-årige avtalen omfatter leveranse av Kongsberg Digitals datainfrastruktur Vessel Insight og applikasjonen Vessel Performance for hele MSC sin flåte, som består av nærmere 500 fartøy.

Med Vessel Insight og Vessel Performance-applikasjonen kan Mediterranean Shipping Company (MSC) trekke ut og kontekstualisere data fra sensorer og kontrollsystemer på fartøyene. Via applikasjoner i skyen og om bord kan MSC benytte dataene til visualisering og analyse for å redusere utslipp og operasjonelle kostnader for fartøyene.

Share program for employees

Today, 20 June 2021, Kongsberg Gruppen ASA has started the transfer of 858 110 own shares at price NOK 352.49 per share in conjunction with a share program for employees. The shares are purchased in the market from 25th of March 2022 to 7th of June 2022 and the share price corresponds to the average purchase price adjusted for dividends. The participants receive 25 % discount on the purchase price. The discount from market price is subject to taxation. A total of 4,363 employees participated in the program. The maximum number of shares per employee was 277. There is a lock-in period of one year for the shares.

KONGSBERG to upgrade the Combat System at RNoN Corvettes, Skjold Class

Kongsberg Defence & Aerospace has been assigned by Norwegian Defence Materiel Agency to upgrade the combat system on the Royal Norwegian Navy’s Skjold Class, to contribute to the life extension. The contract amount is 267 MNoK.

The Skjold Class is a vital asset for the Navy and in addition to a ship technical modernization, the combat system will be upgraded with a similar system that is in operation on the Nansen Class today. Kongsberg Defence & Aerospace is proud to deliver the combat system and to contribute to life extension of the Skjold Class.
