The options contracts were granted to employees in 2019 with a “cap” of three times strike price. Upon exercise, the company has the right to settle its option contracts in cash by paying the difference between the share price and the strike price, with a maximum settlement fee equal to the difference between the “cap” and the strike price. Based on the current share price, the Board has authorized the company to exercise its right to settle its options contracts in cash by paying the difference between the “cap” and the strike price for outstanding 2019 options vesting in first half 2022, which have all reached cap. This option settlement will result in a cash payment of NOK 43,759,926 (~USD 4.7 million). There are no more outstanding options after this exercise.
The vested PSUs were granted to the executive management team May 3, 2019, as part of the long-term incentive program approved by the Annual general meeting held on April 24th, 2019. The performance shares were issued conditional upon the achievement of a certain set of objectives. At the end of the performance period, all performance KPIs have been achieved and the max threshold of two times the numbers of shares was met. The Board of Directors has authorized the use of treasury shares to settle the vested shares.
The vested RSUs were granted to all employees April 29, 2020, as part of the long-term incentive program approved by the Annual general meeting held on April 22, 2020. The Board of Directors has authorized the use of treasury shares to settle the vested shares.
On April 29, 2022, the primary insiders mentioned below ordered for a portion of the received shares to be immediately sold by a third party in order to cover the tax liability.
EVP Product Management, Kjetil Holstad, has transferred the rights for 3,811 shares.
SVP Quality & Sustainability, Ebbe Rømcke, has transferred the rights for 4,268 shares.
SVP Legal, Marianne Frydenlund, has transferred the rights for 3,506 shares.
Employee representative, Joel Stapleton, has transferred the rights for 575 shares.
On April 29, 2022, employees excluding primary insiders, ordered for 246,280 shares to be immediately sold by a third party.
In total 604,406 treasury shares will be used, of which 258,440 shares will be sold and 345,966 shares will be transferred to employees.
The sales amount will be finally determined on the basis of the price subsequently obtained by the third party in the market and will be announced in a separate stock exchange notice when known.
All expenses related to the vested options, PSUs and RSUs have already been recognized in previous quarters, and the settlement has no net impact on the operating expenses of the company in the current or future quarters.
Subsequent to the transaction, Nordic Semiconductor holds 1,214,631 own shares. There will be no share capital increase to cover the exercise of share options, PSUs and RSUs.
