Norwegian Block Exchange Enters Agreement to Acquire JuJu AS Customer Base

Norwegian Block Exchange AS (“NBX”), a leading digital asset service provider in the Nordics, has entered into a binding letter of intent (Term Sheet) to acquire the customer base of Norwegian cryptocurrency exchange JuJu AS (“JuJu”).

The transaction is structured as an asset deal, whereby NBX acquires JuJu’s customer base, KYC/AML documentation and associated rights. NBX does not assume JuJu’s technology, employees or historical liabilities.

The total consideration amounts to up to NOK 5,000,000, payable exclusively in newly issued NBX shares:

Fixed consideration: NOK 1,000,000 in NBX shares to be issued at closing, corresponding to 1,608,749 shares based on a fixed reference price of NOK 0.6216 per share.

Contingent consideration (earn-out): Up to NOK 4,000,000 in NBX shares, payable on a strictly proportional basis depending on revenues generated by the migrated customers. The same reference price per share applies.

Closing is expected to take place in June 2026, subject to execution of a final share purchase agreement (SPA), board approval and completion of due diligence.

The transaction is consistent with NBX’s strategy to grow its customer base in the Norwegian market. Migrated customers will gain access to NBX’s full product suite, including trading, staking and stablecoins, as well as upcoming products and services.

NBX Granted MiCA Licence – Gains Access to the Entire European Economic Area

Norwegian Block Exchange AS (“NBX”) has been granted authorisation as a Crypto-Asset Service Provider (CASP) by the Financial Supervisory Authority of Norway (Finanstilsynet) under the EU Markets in Crypto-Assets Regulation (MiCA).

The authorisation enables NBX to offer regulated crypto-asset services across the EEA under a single regulatory framework, and opens for cross-border services in a single regulated market of approximately 450 million people across 30 EEA countries.

The licence covers the following crypto-asset services:

Custody and administration of crypto-assets on behalf of clients

Operation of a trading platform for crypto-assets

Exchange of crypto-assets for funds

Exchange of crypto-assets for other crypto-assets

Execution of orders on behalf of clients

Reception and transmission of orders on behalf of clients

Transfer services for crypto-assets on behalf of clients

Through the application process, Finanstilsynet has assessed NBX’s business against the requirements under MiCA. The authorisation confirms that the company meets the requirements for authorisation under MiCA, including requirements relating to governance, risk management, internal control, security and operational resilience.

“This is an important day for NBX. The MiCA licence enables us to offer our services across the EEA under a single regulatory framework and marks the beginning of the next phase in the company’s development. At the same time, the authorisation confirms that our organisation, technology and governance framework meet the standards expected by European authorities from a regulated provider,” said Stig Aleksander Kjos-Mathisen, Chief Executive Officer of NBX.

NBX believes that a clear and harmonised regulatory framework is essential for increasing trust in digital assets and for further adoption among both retail and institutional customers. The company will continue developing its regulated service offering, including trading services, custody services and issuance of e-money tokens.

The MiCA licence strengthens NBX’s position as a regulated digital asset provider in the Nordic region and supports the company’s long-term strategy of combining innovation with high standards for customer protection, operational resilience and regulatory compliance.

Tillatelsen gir NBX adgang til å tilby regulerte kryptotjenester i hele EØS under ett felles regelverk, og åpner for grensekryssende virksomhet i et samlet marked med om lag 450 millioner innbyggere fordelt på 30 EØS-land.

Gjennom søknadsprosessen har Finanstilsynet vurdert NBXs virksomhet opp mot kravene i MiCA. Tillatelsen bekrefter at selskapet oppfyller kravene for å få tillatelse under MiCA, herunder krav til virksomhetsstyring, risikostyring, internkontroll, sikkerhet og operasjonell robusthet.

Norwegian Block Exchange AS – Registration of share capital increase and mandatory notifications of trade

Oslo, 9 July 2026. Reference is made to the previous stock exchange notices from Norwegian Block Exchange AS dated 27 February and 3 June 2026 regarding the close of the Put Option periods under the agreement with LDA Capital. (“LDA”), which is described in the stock exchange notice published on 27 June 2025.

POA 5, 6, and 7 are closed. Under these, the Board of Directors has issued a total of 21,734,783 new shares. In addition, as described in the stock exchange notice published on 4 June 2026, the Board of Directors has received notice of the exercise of convertible loans from Observatoriet Invest AS, Vegard Kristiansen, and Per Øyan AS. Following this exercise, a total of 73,456,592 new shares have been issued. Pursuant to the existing loan agreement, Observatoriet Invest AS (a legal person closely associated with board member Bjørn Kjos) and Nye KM Aviatrix Invest AS (a legal person closely associated with board member Anna Kjos-Mathisen) have been redelivered shares. No interest or fees were paid for facilitating the loan. Further details regarding the transactions are available in the attached forms.
