On the 12th of February 2019 Ocean Yield ASA entered into an option agreement with Aker Energy AS (“Aker Energy”) for a long-term bareboat charter of the FPSO Dhirubhai-1. The initial option period expires on 1st of May 2019 with an extension period of up to 30 days against an additional compensation.

Aker Energy has today exercised its option to extend the initial option period by 30 days.

Upon delivery, the vessel commenced a 15 years’ bareboat charter to Okeanis Eco
Tankers Corp (“Okeanis Eco Tankers”) with a 5 years’ sub-charter to Koch
Shipping Pte. Ltd.

Okeanis Eco Tankers was established in 2018 by the Alafouzos family to take over
its fleet of modern tanker vessels and tanker newbuildings. With seven tankers
built 2015 to 2018 and eight VLCCs for delivery in 2019, the company will focus
on eco-designed vessels fitted with scrubbers. The company is listed on the Oslo
Stock Exchange under the ticker “OET”.

Fornebu, 7th May 2019, Ocean Yield ASA (“Ocean Yield” or the “Company”) announces results for the first quarter ending 31st March 2019.

· Declared the 23rd consecutive quarterly dividend of USD 0.1910 per share for Q1 2019.
· EBITDA for Q1 2019 was USD 51.9 million and EBITDA adjusted for finance lease effects was USD 67.8 million.
· Net profit after tax for Q1 2019 was USD 8.4 million and Adjusted net profit was USD 8.4 million. The FPSO and the Connector had a negative contribution of USD 11.8 million in the quarter.
· Acquisition and delivery of one modern Suezmax tanker for a total consideration of USD 49.0 million, net of a seller’s credit of USD 7 million, with a 13-year bareboat charter to Okeanis Eco Tankers Corp.
· Agreement with Aker Energy AS regarding an option for a long-term bareboat charter of the FPSO Dhirubhai-1 for oil and gas production in Ghana. Post quarter end, this option has been extended by another 30-days until 30th May 2019.
· During the first quarter, a new short-term time charter contract for the vessel Connector was secured. Post quarter end, another contract has been secured for a period of 28 days plus options, with start-up immediately following the previous contract. The firm period of this contract runs until 26th May 2019. If all options are exercised, the vessel will be employed until mid-June.
· Post quarter end, Ocean Yield agreed to acquire two modern Ultramax dry bulk vessels for a total consideration of USD 42 million net of a seller’s credit, with 11-year bareboat charters to Scorpio Bulkers Inc.
· Post quarter end, the first in a series of four newbuilding VLCCs with fifteen year bareboat charter to Okeanis Eco Tankers Corp. and with five year sub charter to Koch Shipping Pte. Ltd. was delivered.

Lars Solbakken, CEO of Ocean Yield, said in a comment:
“Results in the first quarter were negatively impacted by no revenues from the FPSO and very limited revenues from the subsea vessel Connector. With respect to the FPSO, we continue the dialogue with Aker Energy with the aim of securing a new long-term charter for use of the FPSO in Ghana, and Aker Energy has now extended the option period until 30th May 2019. Ocean Yield now has a fleet of 60 vessels on long-term charter, including four VLCCs for delivery during Q2-Q3 that will contribute positively to earnings going forward.”

On the 12th of February 2019 Ocean Yield ASA (“Ocean Yield” or “the Company”) entered into an option agreement with Aker Energy AS (“Aker Energy”) for a long-term bareboat charter of the FPSO Dhirubhai-1. The option period expired on the 1st of May but was extended until the 30th of May 2019. Ocean Yield has today agreed with Aker Energy to further extend the option period until 1st September 2019 against an additional compensation.

Aker Energy is currently evaluating different opportunities for the FPSO at the Deepwater Tano Cape Three Points (DWT/CTP) block offshore Ghana. As there is uncertainty related to a contract for Dhirubhai-1 with Aker Energy, Ocean Yield is in parallel pursuing other employment opportunities for the FPSO. In that respect, Ocean Yield has entered into an agreement to perform a fully paid Engineering Study for the potential use of the unit on behalf of a non-related independent oil company.

When reviewing future dividends of Ocean Yield, the prospects for long-term employment of the FPSO will be taken into consideration. If no satisfactory employment can be firmed up within the end of Q1 2020, an adjustment of the current dividend level of USD 0.191 per share per quarter will be considered. Based on the expected earnings from the existing portfolio of vessels with long term charters and the company’s continued growth ambitions, a quarterly dividend of about USD 0.15 per share as from Q1 2020 is currently considered to be an appropriate dividend level until a new employment contract is secured for the FPSO.

Highlights

· Declared dividend for Q2 2019 of USD 0.1910 per share. This is the 24th
consecutive quarterly dividend.
· EBITDA for Q2 2019 was USD 56.8 million and EBITDA adjusted for finance
lease effects was USD 74.5 million.
· Net profit after tax for Q2 2019 was USD 5.3 million. This includes an
increase in the provision for decommissioning expenses related to the FPSO of
USD 4.5 million. Net profit from vessels with long-term charters was USD 19.2
million and Net Profit from vessels without long-term charter was USD -13.8
million.
· Adjusted net profit was USD 11.3 million.
· Extension of option agreement with Aker Energy AS regarding an option for a
long-term bareboat charter of the FPSO Dhirubhai-1 for oil and gas production in
Ghana. The option period was extended until 1st September 2019. Ocean Yield is
in parallel pursuing other employment opportunities for the FPSO.

“The second quarter was yet another active quarter for Ocean Yield, where we
agreed to acquire three new vessels with long-term charter to reputable
counterparties, in addition to taking delivery of two VLCCs and extending the
option agreement for the FPSO with Aker Energy. The latest dry bulk transactions
emphasises Ocean Yield’s ability to provide competitive leasing transactions to
reputable counterparties. The fleet now counts 61 vessels and we intend to
continue to grow the fleet of vessels with long-term charter in order to
increase and further diversify the charter backlog”.
